INSURANCE ON FILE CsL�: fl -LB -JY <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES N-2417-260 <br />We: <br />64 CLERK OF COUNCIL <br />64 <br />KT& I S AGREEMENT WITH HALL AQUATIC DESIGN <br />O: PROS ( ) TO PROVIDE DESIGN SERVICES FOR <br />SANTA ANA ZOO EXHIBIT <br />Silvia Cuevas <br />THIS AGREEMENT' is made and entered into this 16th day of November, 2017 by and between <br />Hall Aquatic Life Support Design Consultants, LLC, a Georgia Limited Liability Company, <br />("Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />design review and consultation services of a proposed giant otter exhibit at the Santa Ana <br />Zoo including short and long term operational and maintenance considerations and impacts <br />for the animals, zoo staff and the public. <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />a. Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required <br />to fully and adequately complete the design and consultation services described and set <br />forth Item #1 of the Proposal dated October 19, 2017, identified as Exhibit A, attached <br />hereto and incorporated by reference. <br />b. Consultant agrees and understands that commencement of work regarding Items #2-4 <br />in Exhibit A are subject to continued funding for this project. Commencement of work <br />regarding any of these listed items shall be mutually agreed upon by both parties. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services for <br />City, the rates and charges identified in Exhibit A. The total amount to be expended <br />under this agreement shall not exceed $12,000, contingent on funding for item #'s 2-4, <br />for the term of this Agreement. This total amount shall include the $4,800 to pay for <br />services related to Itern #1 in Exhibit A. <br />Page 1 of <br />
