shall remain in full force and effect, and shall in no way be affected, impaired or invalidated <br />thereby. <br />§5.05 Exclusivity <br />Each party to this Agreement acknowledges that no representations, inducements, promises <br />or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of <br />any party, which are not embodied herein, and that no other agreement or amendment hereto shall <br />be effective unless executed in writing and signed by both City and SABC. <br />§5.06 Conflict of Interest Clause <br />SABC covenants that it presently has no interests and shall not have interests, direct or <br />indirect, which would conflict in any manner with performance under this Agreement. <br />§5.07 OC Streetcar Project <br />SABC, and its members, officers, employees, and representatives, agree not to commence, <br />participate in, or assist with any action, legal proceeding, cause of action or suits in law or equity, <br />of whatever kind or nature, in any way, directly or indirectly, against the City, or any parry, on any <br />issue related to the OC Streetcar Project, and knowingly, voluntarily, unconditionally, irrevocably, <br />and expressly forever discharge and release any damages and/or claims, now known or arising in <br />the future, against the City, or any party, on any issue related to the OC Streetcar Project. Any <br />violation of this provision shall be considered a breach of the Agreement subject to immediate <br />termination and cancellation of all funding at the sole and absolute discretion of the City. <br />(signature page follows) <br />9 <br />
