EXHIBIT 1 <br />FIRST AMENDMENT TO CONSULTANT AGREEMENT WITH <br />NORTH STAR DESTINATION STRATEGIES. INC. FOR <br />THIS FIRST AMENDMENT TO AGREEMENT is made and entered into this 17`x' day of April, <br />2018, by and between North Star -Destination. Strategies, Inc. ("Consultant"), and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California ("City"). <br />MOW:\ -M <br />A. The City and Consultant entered into Agreement No. A-2016-075, dated April 19, <br />2016, for Consultant to provide community branding services ("said <br />Agreement"). <br />B. In accordance with the terms and conditions of said Agreement, the Parties desire <br />to amend Section 3 — TERM to extend the time period of said Agreement. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions of said Agreement, except as herein modified, the parties agree as follows: <br />/// <br />Section 3, TERM, shall be amended to read as follows: <br />"This Agreement shall commence on the date first written above and continue <br />through October 18;2018, unless terminated earlier in accordance with Section <br />14 below. The term of this Agreement may be extended upon a writing executed <br />by the City Manager and the City Attorney." <br />2.
