CITY and CONSULTANT shall hereinafter collectively be referred to as "the Parties". RECITALS A. The Parties to this Renewal Agreement initially entered into a pet vaccination services and CITY facilities use/lease contract (N-2009-064, dated July 1, 2012, (hereinafter "said Agreement') by which CONSULTANT having special skill and knowledge in the field of providing low cost vet vaccination clinics to the public agreed to perform such services to CITY without cost to CITY and to pay a CITY facilities use/lease rebate fee to CITY. & The Parties subsequently renewed said Agreement four (4) times: N-2009-062-001, 002, 003, 004. C. CONSULTANT represents that CONSULTANT is able and willing to provide such continuing pet vaccination services to CITY. D. In undertaking the performance of this Renewal Agreement, CONSULTANT represents that it remains knowledgeable and, competent in its field and that any services performed by CONSULTANT under this Renewal Agreement will be performed in compliance with such standards may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set firth, the Parties agree as follows: I. SCOPE OF SERVICES CONSULTANT shall conduct low cost dog and cat vaccination clinics, including de- worming, flea control and diagnostics, for City residents, at the rates set forth in Exhibit A, attached hereto and incorporated by this reference. During the Term of this Renewal Agreement, including any extensions thereto, the rates set out in Exhibit A shall be subject to adjustment to reflect annual changes in customary pet examination and vaccination charges, together with pet vaccine, pet pharmacy, pet wellness costs and other associated pet vaccination veterinarian clinic services. The Parties shall mutually agree in setting the dates, tunes and locations of the clinics; provided, however, the Parties mutually agree that it is their intent to offer a minimum of one (1) clinic every Saturday and Sunday, exclusive of I mutually agreed to black -out dates. CONSULTANT shall advertise the clinics through generally accepted media and shall provide clinic attendees with educational materials regarding how to protect pets from contagious diseases. CONSULTANT shall provide site fee rebates equal to five percent (5%) of the gross sales, up to $800, and seven percent (7%) on sales $801 and over, for each clinic held in the City. CONSULTANT may report and deduct the cost of facility and/or adjacent street parking fees for CONSULTANT's staff and associated CITY dog licensing consultant staff. Parking costs for clinic patrons may not be deducted and are not subject to reporting. Such rebates shall be received by CITY on a quarterly basis with a clear statement indicating the services provided, authorized parking deductions taken, and fees received at each clinic. 2. OBLIGATIONS OF THE CITY a. CITY will advertise the vaccination clinic dates, times and locations in its license renewal reminder notices mailed to pet owners. b. CITY will disseminate flyers at City Hall and other CITY locations, for upcoming vaccination clinics. C. CITY agrees to post banners and posters in well -traveled CITY locations, indicating the time, date and location of the clinics, the types of services offered and general price information, in accordance with the Santa Ana Municipal Code. d. CITY agrees to periodically publicize the vaccination clinics in public advertising, such as public service announcements and printed calendar events in local publications. 3. TERM This Renewal Agreement shall be for an initial term of three years and shall commence on October 1, 2018 and terminate on September 30, 2021, unless terminated earlier in accordance with Section 12, below. This Renewal Agreement may be extended for an additional period of two (2) years from October 1, 2021 to September 30, 2023, upon a writing executed by the City Manager and the City Attorney. 4. INDEPENDENT CONTRACTOR CONSULTANT shall, during the entire tern of this Renewal Agreement, be construed to be an independent contractor and not an employee of CITY. This Renewal Agreement is not intended nor shall it be construed to create an employer-employee relationship, a joint venture relationship, or to allow CITY to exercise discretion or control over the professional manner in which CONSULTANT performs the services which are the subject matter of this Renewal Agreement; however, the services to be 2 provided by CONSULTANT shall be provided in a manner consistent with all applicable standards and regulations governing such services. CONSULTANT shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 5. INSURANCE Prior to undertaking performance of work under this Renewal Agreement, CONSULTANT shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as described below: a. Commercial General Liability Insurance. CONSULTANT shall maintain commercial general liability insurance naming CITY, its officers, agents, volunteers, and employees as additional insured(s) and shall include, but not be limited to protection against claims arising from bodily and personal injury, including death resulting therefrom and damage to property, resulting from any act or occurrence arising out of CONSULTANT's operations in the performance of this Renewal Agreement, including, without limitation, acts involving vehicles. The amounts of insurance shall be not less than the following: single limit coverage applying to bodily and personal injury, including death resulting therefrom, and property damage, in the total amount of $1,000,000 per occurrence. CONSULTANT shall supply CITY with a fully executed additional insured endorsement upon execution of this Renewal Agreement naming CITY as an insurance Certificate Holder. b. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non -owned automobiles. C. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the Labor Code, CONSULTANT, if CONSULTANT has any employees, is required to be insured against liability for worker's compensation or to undertake self- insurance. Prior to commencing the performance of the work under this Renewal Agreement, CONSULTANT agrees to obtain and maintain any employer's liability insurance with limits not less than $1,000,000 per accident. d. If CONSULTANT is or employs a licensed professional such as an architect or engineer: Professional liability (errors and omissions) insurance, with a combined single limit of not less than $1,000,000 per claim. C. The following requirements apply to the insurance to be provided by CONSULTANT pursuant to this section: (i) CONSULTANT shall maintain all insurance required above in full force and effect for the entire period covered by this Renewal Agreement. Certificates of insurance shall be furnished to CITY c upon execution of this Renewal Agreement and shall be approved in form by CITY. (ii) Certificates and policies shall state that the policies shall not be canceled or reduced in coverage or changed in any other material aspect without thirty (30) days prior written notice to CITY. f. If CONSULTANT fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish CITY with required proof that insurance has been procured and is in force and paid for, CITY shall have the right, at CITY's election, to forthwith terminate this Renewal Agreement. Such termination shall not affect CONSULTANT's right to be paid for its time and materials expended prior to notification of termination. CONSULTANT waives the right to receive compensation and agrees to indemnify CITY for any work performed prior to approval of insurance by CITY. 6. INDEMNIFICATION CONSULTANT agrees to and shall indemnify and hold harmless the CITY, its officers, agents, employees, consultants, special counsel, and representatives from liability: (1) for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including health, and claims for property damage, which may arise from the direct or indirect operations of the CONSULTANT or its contractors, subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section 1 of this Renewal Agreement; and (2) from any claim that personal injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects arising from this Renewal Agreement. This indemnity and hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in this Section or by reason of the teens of, or effects, arising from this Renewal Agreement. The CONSULTANT further agrees to indemnify, hold harmless, and pay all costs for the defense of CITY, including fees and costs for special counsel to be selected by CITY, regarding any action by a third party challenging the validity of this Renewal Agreement, or asserting that personal injury, damages, just compensation, restitution, judicial or equitable relief due to personal or property rights arises by reason of the terms of, or effects arising from this Renewal Agreement. CITY may make all reasonable decisions with respect to its representation in any legal proceeding. 7. CONFIDENTIALITY If CONSULTANT receives from CITY information which due to the nature of such information is reasonably understood to be confidential and/or proprietary, CONSULTANT agrees that it shall not use or disclose such information except in the performance of this Renewal Agreement, and further agrees to exercise the same degree C! of care it uses to protect its own information of like importance, but in no event less than reasonable care. "Confidential Information" shall include all nonpublic information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and/or agent of the other party is covered by this Renewal Agreement. The foregoing obligations of non-use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the CONSULTANT disclosed in a publicly available source; (c) is in rightful possession of the CONSULTANT without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by the CONSULTANT without reference to information disclosed by CITY. 8. CONFLICT OF INTEREST CLAUSE CONSULTANT covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Renewal Agreement. 9. NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this Renewal Agreement shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other telegraphic communication in the manner provided in this Section, to the following persons: To CITY: Clerk of the City Council City of Santa Ana 20 Civic Center Plaza (M-30) P.O. Thereafter, any communication shall be addressed and transmitted to the new address. If sent by mail, notice shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, notice shall be effective or deemed to have been given twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends, federal, state, County or City holidays or City Hall Closures Days shall be excluded. 10. EXCLUSIVITY AND AMENDMENT This Renewal Agreement represents the complete and exclusive statement between the City and CONSULTANT, and supersedes any and all other agreements, oral or written, between the Parties. In the event of a conflict between the terns of this Renewal Agreement and any attachments hereto, the terms of this Renewal Agreement shall prevail. This Renewal Agreement may not be modified except by written instrument signed by the City and by an authorized representative of CONSULTANT. The Parties agree that any terns or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, that terms and conditions hereof, shall not bind or obligate CONSULTANT nor the City. Each party to this Renewal Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party which is not embodied herein. 11. ASSIGNMENT Inasmuch as this Renewal Agreement is intended to secure the specialized services of CONSULTANT, CONSULTANT may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void. Nothing in this Renewal Agreement shall be construed to limit the City's ability to have any of the services which are the subject to this Renewal Agreement performed by City personnel or by other consultants retained by City. 12. TERMINATION This Renewal Agreement may be terminated by the City upon thirty (30) days written notice of termination. In such event, CONSULTANT shall be entitled to receive and the City shall pay CONSULTANT compensation for all services performed by CONSULTANT prior to receipt of such notice of termination. 0 13. DISCRIMINATION CONSULTANT shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. CONSULTANT affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. t4. JURISDICTION -VENUE This Renewal Agreement and all questions relating to its validity, interpretation, performance, and enforcement shall be government and construed in accordance with the laws of the State of California. This Renewal Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Renewal Agreement shall be determined and governed by the laws of the State of California. Both Parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Renewal Agreement. 15. PROFESSIONAL LICENSES CONSULTANT shall, throughout the term of this Renewal Agreement, maintain all necessary licenses, permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by the laws and regulations of the United States, the State of California, the City of Santa Ana and all other governmental agencies. CONSULTANT shall notify the City immediately and in writing of her inability to obtain or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for termination of this Renewal Agreement. 16. COORDINATION OF WORK OR SERVICES A. No extra work may be undertaken unless a written "Change Order" is first given by the Contract Officer or his/her designee, to CONSULTANT, incorporating therein any material adjustment in the contract and/or the time to perform this Agreement, which said adjustments are subject to the written approval of CONSULTANT. B. Contract Officer CITY will appoint a Contract Officer who will be in charge of the contract maintenance and administration of this Agreement for CITY and have authority to enter into Change Orders with CONSULTANT pursuant to this Agreement. It shall be CONSULTANT's responsibility to assure that CITY's Contract Officer is kept informed of the progress of the performance of the consulting services set forth in this Agreement and CONSULTANT shall 7 refer any decisions which must be made by CITY to the Contract Officer, The Contract Officer shall have authority to sign all documents on behalf of CITY required hereunder to carry out the terms of this Agreement. Unless otherwise specified herein, any approval of CITY required hereunder shall mean the approval of the Contract Officer. ADDITIONAL WORK OR SERVICES A. Extra Work or Services CITY shall have the right at any time during the performance of the work or services set forth in this Agreement, without invalidating said Agreement or any amendments thereto, to elect to exercise any existing option specified in the Scope of Services for extra work or services or to order extra work or services beyond that specified in the Scope of Services or make changes by altering, adding to or deducting from said work or services. B. Change Order No extra work or services or election to exercise any existing option for extra work or services may be undertaken unless a written "Change Order" is first given by the Contract Officer to the CONSULTANT, incorporating therein any material adjustment in the contract and/or the time to perform this Agreement, which said adjustments are subject to the written approval of the CONSULTANT. 18. MISCELLANEOUS PROVISIONS a. Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective Parties to each of the terms of this F Renewal Agreement, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Renewal Agreement. C. This Renewal Agreement must be signed below and may be signed in counterpart and delivered by fax, email as a PDF (Portable Document Format) file attachment, or by other means that displays the original or a copy of the signatures. Any subsequent amendments may be signed and delivered in the same manner. This is because the virus is relatively new (it was first reported in 2003), and dogs have no natural immunity to it. K-9 Influenza H3N8 has been dinicly proven to significantly reduce the severity of the influenza and the length of time that a dog is sick. Lyme: One of the most common tick transmitted diseases in the world. Transmission of the disease has been reported in dogs throughout the United States, but is most pravelent in the upper Midwestern States, the Atlantic seaboard, and the Pacific coastal states. FVR is the most important of these diseases and is found worlwide. FVR is very contagious and can cause severe disease, including death from pneumonia in young kittens. Calicivirus: It is one of the most important viral causes of respiratory infections in (Part of 4inI) cats. Most cats are exposed to this virus at some time in theit lives. Once infected, many cats never completely rid themselves of the virus. These carrier cats either continuously or intermittenly shed organisms for long periods of time perhaps for life and serve as a major source of infection to other cats. Panleukopenia: Is a highly contagious and deadly viral disease of cats. The virus is (Part of 4inI) extremely hardy, is able to survive extremes of temperature and humidity for many months and is resistant to most available disinfectants. Chlamydia: Is a bacterial infection that causes cats to suffer feline chlamydiosis, (Part of 4inI) which looks like conjunctivitis and -an upper respiritory infection. It is not life threatening. Feline Leukemia: Is the leading viral killer of cats. The virus is spread from cat -to -cat (FeLv) through bite wounds, through casual contact with an infected cat, and from infected mother cat to her kittens. The most at risk are outdoor cats, indoor/outdoor cats. Feline Infectious Peritonitis: Cats that carry any coronavirus is potentially at risk for developing (FIP) FIR. However, cats with weak immune systems are most likely to develop the disease, including kittens, cats already infected with feline leukemia virus (FeLV), and geriatric cats. Most cats that develop FIP are under two years of age, but cats of any age may develope the disease.
