FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT FOR

SERVICES
THIS FIRST AMENDMENT to the above -referenced agreement is entered into on August 28,
2019, by and between Dr. Maureen Sassoon, MS, MPH ("Consultant"), and the City of Santa Ana,
a charter city and municipal corporation organized and existing under the Constitution and laws of
the State of California ("City").
RECITALS
A. The parties entered into Agreement No. N-2019.144, dated August I, 2019, by which
Consultant agreed to provide as needed occupational & environmental health & safety
consulting services to the City ("Agreement").
D. The Agreement remains in effect for a two-year term through June 30, 2021, with provisions
for an extension.
C. The City had utilized Consultant's services under a previous agreement. In February 2019,
the City had an unexpected need for Consultant's services which resulted in invoices that
exceeded the previous agreement amount. Recently, it came to the attention of City staff that
there was an outstanding invoice in the amount of $625 for services rendered in February 2019.
The parties wish to amend the current agreement to allow for the payment of an outstanding
invoices due to Consultant for services performed between February I, 2019 and July 31, 2019.
The Parties therefore agree:
Section 2b, Compensation, is amended to allow for payment of any outstanding invoices to
Consultant for services rendered February 1, 2019 to July 31, 2019.
2. Except as modified by this First Amendment, all terms and conditions of the Agreement shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to the
Agreement on the date and year first written above.
