Proms' �� w Constitution and the laws of the State of California, as the legal owners ("Owner") of the property
�tiriyo5 located at 1111 North Bristol Street (Assessor Parcel Number 405-274-10), in the City of Santa Ana,

County of Orange (the "Property") do hereby grant to the Southern California Edison Company, a
California Corporation (collectively referred to as the "SCE"), the right to enter the Property and hereby
grants to SCE a License and Right -of -Entry for the following purpose:
Conduct environmental testing by taking soil samples, and if necessary'remediate by shallow
soil excavation, and hauling away contaminated soil. See site location in the attached EXHIBIT A.
SCE agrees to indemnify and hold harmless the Owner from any liability arising out of SCE's exercise of
this License and Right -of -Entry. SCE further agrees to repair any damage to said Property caused by the
exercise of this License and Right -of -Entry at its sole cost and expense and to restore said Property, as
near as practicable, to the state in which it existed prior to the use of the Property by SCE.
The rights herein granted to SCE, are exclusive, and SCE agrees not to assign, transfer, lease, pledge, or
otherwise dispose of its License and Right -of -Entry without the prior express written approval of the
Owner.
This License and Right -of -Entry shall expire upon completion of said work, and in any event, no later
than July 31, 2020, unless extended by written agreement between the Owner and SCE.
