THIS MEMORANDUM OF ASSIGNMENT (this "Memorandum"), made and entered 7.i
into as of July 1, 1996, is by and between the COUNTYWIDE PUBLIC FINANCING
IA AUTHORITY, a joint exercise of powers authority organized and existing under and by virtue
(^ of the laws of the State of California, as lessor (the "Authority"), and U.S. TRUST COMPANY
OF CALIFORNIA, N.A., a national banking association organized and existing under the laws
flof the United States of America, as trustee (the "Trustee");
WITNESSETH:
In the joint and mutual exercise of their powers, in consideration of the mutual
covenants herein contained, and for other valuable consideration, the parties hereto recite and
agree as follows:
Section 1. Recitals.
(a) The Authority and each of the Cities of Brea, Buena Park, Fullerton, Garden Grove,
Orange, Santa Ana,Seal Beach, Stanton and Tustin (collectively, the "Cities") have entered into
those certain Lease Agreements, each dated as of July 1, 1996 (the Lease Agreements"), each of
which is recorded concurrently herewith, under which the Authority has leased to the Cities
certain land,buildings and facilities, including the land which is described more fully in Exhibit
A attached hereto and by this reference incorporated herein (the "Leased Premises").
(b) Under the Lease Agreements, the Authority has agreed to lease the Leased Premises
to the Cities in the manner and on the terms set forth therein, which terms include, without
limitation, the obligation of the Cities to pay Lease Payments (as defined in the Lease
Agreements) to the Authority,as the rental for the lease of the Leased Premises.
(c) Under the Lease Agreements and under an Indenture of Trust, dated as of July 1,
1996,by and between the Authority and the Trustee (the "Indenture"), the Authority is required
to cause to be deposited certain sums of money to be credited,held and applied in accordance
therewith.
(d) For the purpose of obtaining such moneys, the Authority has assigned and
transferred to the Trustee,under the Indenture,certain of its rights under the Lease Agreements
for the purpose of securing the bonds of the Authority designated the "Countywide Public
Financing Authority 1996 Revenue Bonds"issued under the Indenture in the aggregate principal
amount of $27,725,000 (the "Bonds").
(e) The Authority has requested the Trustee to enter into this Memorandum for the
purpose of memorializing such assignment of record.
Section 2. Assignment.
The Authority hereby transfers, assigns and sets over to the Trustee, for the benefit of
the Owners of Bonds executed and delivered under the Indenture, all of the rights of the
Authority in the Lease Agreements (other than the rights of the Authority under Sections 4.7,
7.3 and 9.5 thereof),including but not limited to the right to receive and collect all of the Lease
Payments (including prepayments thereof) from the Cities under the Lease Agreements,and the
right to exercise such rights and remedies conferred on the Authority pursuant to the Lease
Agreements as may be necessary or convenient to enforce payment of the Lease Payments and
prepayments thereof. All rights assigned by the Authority shall be administered by the Trustee
in accordance with the provisions of the Indenture and for the benefit of the Owners of Bonds.
Section 3. Acceptance.
The Trustee hereby accepts the assignments made herein for the purpose of providing for
the payments due pursuant to the Indenture to, and the rights under the Lease Agreements and
Indenture of, the Owners of the Bonds delivered pursuant to the Indenture, all subject to the
provisions of the Indenture.
Section 4. Conditions.
This Memorandum shall confer no obligations or impose no duties upon the Trustee
beyond those expressly provided in the Lease Agreements and the Indenture.
Section 5. Counterpart Signatures.
This Memorandum may be executed in several counterparts, each of which shall be an
original and all of which shall constitute but one and the same agreement.
