1996 REVENUE BONDS
INCUMBENCY AND SIGNATURE CERTIFICATE m AUTHORITY
The undersigned hereby state and certify:
(i) that they are the duly appointed, qualified and acting Treasurer and Secretary,
respectively, of the Countywide Public Financing Authority, a joint powers authority duly
organized and existing under the laws of the State of California (the "Authority"), and as such,
are familiar with the facts herein certified and are authorized and qualified to certify the same;
(ii) that the Authority is administered by a Board of nine Directors, one Director was
appointed by the governing body of each of the Cities of Brea, Buena Park, Fullerton, Garden
Grove, Orange, Santa Ana, Seal Beach, Stanton and Tustin (each, a "Member"), each Director
shall hold office until the governing body of his or her related Member shall have appointed a
successor;
(iii) that the signatures set forth opposite the names and titles of the following persons
are the true and correct specimen, or are the genuine, signatures of such persons, each of whom
holds the office designated:

(iv) that the bonds issued by the Authority designated "Countywide Public Financing
Authority 1996 Revenue Bonds", in the aggregate principal amount of$27,725,000, dated July
31, 1996 (the "Bonds"), have been executed by the facsimile signature of the within-named
Treasurer, and attested to by the facsimile signature of the within-named Secretary, and that
the seal of the Authority is impressed hereon and has been reproduced on the Bonds in
facsimile.
