COUNTYWIDE PUBLIC FINANCING AUTHORITY
1996 REVENUE BONDS
OFFICER'S CERTIFICATE
The undersigned hereby states and certifies:
(i) that he is the duly appointed, qualified and Financial Services Director of the City
of Brea, a general law city and municipal corporation duly organized and existing under the
laws of the State of California (the "City"), and as such, is familiar with the facts herein
certified and is authorized and qualified to certify the same;
(ii) that he is an "Authorized Representative" of the Member, as such terms are
defined in that certain Indenture of Trust, dated as of July 1, 1996 (the "Indenture"), by and
between U.S. Trust Company of California, N.A., as trustee, and the Countywide Public
Financing Authority(the"Authority");
(iii) that, the City Council of the City duly adopted the following resolution and
ordinance, which resolution and ordinance have not been amended, modified, supplemented,
rescinded or repealed and remain in full force and effect as of the date hereof:
(a) Resolution No. 96-67, entitled "A Resolution Approving Financing
Proceedings for the City's Share of the Countywide 800 MHZ
Communications System, Approving Issuance of Revenue Bonds by the
Countywide Public Financing Authority for such Purchase, and
Approving Related Documents and Official Actions", adopted June 4,
1996, and
(b) Ordinance No. 988, entitled "An Ordinance of the City Council of the
City of Brea Approving the Public Lease Back of Certain Facilities with
the Countywide Public Financing Authority",adopted June 18, 1996;
(iv) that, by all necessary action, the City has duly authorized and approved the
execution and delivery of the Official Statement, dated July 16, 1996 (the "Official Statement"),
relating to the captioned bonds, and the execution and delivery of, and the performance by the
City of the obligations on its part contained in,the following agreements (collectively referred to
herein as the"Agreements"):
(a) Site and Facility Lease, dated as of July 1, 1996, by and between the City
and the Authority,and
(b) Lease Agreement, dated as of July 1, 1996, by and between the Authority
and the City;
(v) that the representations, warranties and covenants of the City contained in the
Agreements are true and correct in all material respects on and as of the date hereof as if made
on the date hereof; and
(vi) that all of the certifications, representations and warranties contained in the
City's Letter of Representation,delivered pursuant to the Bond Purchase Agreement,dated July
16, 1996,by and between Stone Sr Youngberg LLC,as underwriter,and the Authority,are true
and correct as of the date hereof as it made on the date hereof.
