HomeMy WebLinkAboutWESTBOUND COMMUNICATIONSINSURANCE ON FILL WORK MAY PROCEED UNTIL INSURANCE EXPIRES CLERK OF COUNCIL DATE: 612 H/ a0 PDliit A-2018-275-02 THIS SECOND AMENDMENT to the above -referenced agreement is entered into on June 16, 2020, by and between Westbound Communications ("Consultant's), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. The parties entered into Agreement No. A-2018-2.25 (`Agreement") dated September 18, 2018, to provide communiy outreach and promotional services related to the ReadyOC (ROC) Emergency Preparedness Campaign and the "If You See Something, Say SomethingT'" (S4) Public Awareness Campaign. The term of the Agreement runs from September 18, 2018 and continues through June 30, 2019. On June 19, 2019, the parties exercised the first of two (2) optional one-year extensions of the Agreement through June 30, 201--0. The Agreement is current and in -effect. C. On July 2, 2019, the parties entered into a First Amendment to the Agreement (A-2019-099) amending the Agreement to allow for additional Scopes of Work to be recognized and approved by any subsequent extensions approved via a writing by the City Manager and the City Attorney. The amendment recognized that any changes to the compensation of the Agreement are subject to approval by the City Council D. The Agreement provided the various scopes of work for the ReadyOC (ROC) Emergency Preparedness Campaign and the "If You See Something, Say SomethingTv1" (S4) Public Awareness Campaign via funding through a grant from the Urban Areas Security Initiative ("UASI") for which the City has received funding for its next fiscal year. E. The City, if granted further funds through UASI, will utilize the current Agreement to provide the services noted in the Agreement, and by the terms of the First Amendment. The parties wish to exercise the final extension term of the Agreement and replace the Scopes of Work, as amended and provided in the First Amendment, as Exhibits A -I and B-l. The parties also seek to amend and decrease the overall compensation for this Agreement to match the needs for the new fiscal year funding noted above. The Parties therefore agree: Section 1, Scope of Work, is hereby amended to remove and replace Exhibit A-1 and Exhibit B-1 to the Agreement with Exhibit A-2 and Exhibit B-2 regarding the ReadvOC (ROC) Emergency Preparedness Campaign and the "[f You Sze Something, Say SomethingT"'' (S4) Public Awareness Campaign. Revisions to the amended Scopes of Work, during the current extension defined below, may at the sole discretion of the City, be approved in a writing executed by the City Manager and the City Attorney. 2. Section 2, Compensation, is hereby amended to decrease the overall compensation of the Agreement. The total sum to be expended under this Agreement shall not exceed $1,061,088 during the term of this Agreement, including both extension terms exercised by the parties for fiscal years 2019-2020 and 2020-2021. #43826v2 Page 1 of 3. Except as modified by this Second Amendment, all terms and conditions of the Agreement and the First Amendment, shall remain in full force and effect. This scope of work shall stand as an agreement between the City of Santa Ana (herein after Santa Ana) and Westbound Communications (herein after WBC) for the contracted period. WBC will supply the following services: o ROC Digital Outreach Management o Website content/graphics management and maintenance o Social media content creation and management o Optimization, promotion and distribution across channels o ROC Advertising and Promotional Communications o Paid advertising o Social media outreach o Media relations (editorial press) outreach o Media/corporate promotions and partnerships o Public Information Outreach Support for ROC Program o Serving as the local conduit for national content o Support for all 34 cities and key county jurisdictions o Project Administration Services No deviation of this SOW will be allowed without written consent from the Santa Ana Project Manager. Nevertheless, Santa Ana recognizes that projects of this magnitude will likely encounter various unforeseeable events that may cause tasks to overlap or change, and such change will be permissible with the written approval of the Santa Ana Project Manager. This SOW is contingent upon both WBC and Santa Ana fulfilling their respective responsibilities as defined in the Agreement and within this document. Contents The following are included with this SOW: • Task Descriptions • Project Change Order • Project Schedule • Milestone Payment Schedule General Project Management Responsibilities Project management occurs throughout the project and is involved in every task. The overall project management activities are listed here for reference. Westbound Responsibilities: a. Maintain project communications with Santa Ana's Project Manager. b. Manage the efforts of the WBC staff and coordinate WBC activities with the Santa Ana Project Manager. c. Conduct on -site status meetings with Santa Ana's Project Manager on a monthly basis or when reasonably required at the discretion of Santa Ana to discuss project status. d. Provide timely responses, within ten (10) business days, to issues raised by Santa Ana's Project Manager. e. Prepare and submit, no later than the fifth business day of each month, a status activity report that includes: the accomplishments of the previous month, activities planned for the current month and any update to the project schedule. f. Prepare and submit project Change Proposals to Santa Ana's Project Manager as necessary. g. Prepare and submit Task Completion Letter(s) with appropriate invoices to Santa Ana's Project Manager. Santa Ana Responsibilities: a. Maintain project communications with the WBC Project Manager. b. Manage the efforts of ROC involved staff and coordinate ROC activities with the WBC Project Manager. c. The Project Manager must ensure that personnel have ample time, resources, and expertise to carry out their respective tasks and responsibilities. d. The Project Manager or his/her designee will participate in status meetings with the WBC Project Manager on a monthly basis or as may otherwise be reasonably required to discuss project status. e. Provide timely responses, within ten (10) business days, to issues raised by the WBC Project Manager. f. Liaison with all Santa Ana -provided third -party vendors and associated systems. g. Ensure acceptable Change Orders are approved by authorized signature(s). h. Ensure acceptable Task Completion Letter(s) are approved by the Project Manager or his designee. i. Ensure timely payment of invoices. j. Ensure WBC access to server and network equipment and work areas on a 247 basis, with pre -authorization for off -hours. k. Provide workspace for WBC personnel as reasonably requested. SOW Format: Each task includes the following: Title, Objective, Task Description, Responsibilities and Completion Criteria. The tasks are depicted on the project schedule. All parties recognize that the SOW is not formatted chronologically with contractual obligations defaulting to the Project Schedule unless otherwise noted. TASK 1: 2020-21 READYOC MARKETING ROAD MAP Objective: Create, establish and implement a formal marketing plan and road map to best promote and provide outreach for ROC during the campaign period. The road map will include specific project schedules, management procedures and proposed activities. Task Description: Develop, refine, review and approve plan for all campaign initiatives, including the marketing plan and project schedule. Activities include: a. Launch Meetings — conduct an input/review meeting with the Santa Ana Project Manager to present strategies and recommendations and to get approval to proceed with the outlined projects. b. 2020-21 Marketing Road Map — develop and submit a plan detailing strategies, objectives, tasks, schedules and metrics for all ROC activities during the contracted period. This includes delivery of a PowerPoint deck plan that details all strategic goals and programming for review and for final approval by the Santa Ana Project Manager. c. Project Schedule — develop and complete a comprehensive project schedule that details timing for all activities. d. Project Management & Control Procedures — review and update, as needed, all currently approved control and administrative procedures (change orders, approval processes, etc.) and documents currently on file with the Santa Ana Project Manager. Responsibilities: WBC shall: a. Develop the plan b. Execute the promotion in accordance with the approved plan Santa Ana shall: a. Approve plan and promotion elements Completion Criteria: This task is considered complete upon the completion of the deliverables detailed in the task description above and when the Santa Ana Project Manager signs the task completion letter. Planned completion and invoicing will be the end of July 2020. TASK 2: WEBSITE OUTREACH AND MAINTENANCE Objective: Update, manage, host and maintain the ReadyOC.org website and provide recommendations for updates to improve the user experience and functionality. ReadyOC.org should reflect national Ready.gov content but with a necessary emphasis on the threats and potential impacts unique to Orange County. The website will be leveraged across ReadyOC social media, advertisements, and media relations to support the campaign's public awareness and engagement activities. Existing multi -language and multicultural features of ReadyOC.org will continue to be supported and updated. Task Description: See sub -tasks for specifics. Task Description: Handle all aspects of website and social media updates, optimization, hosting, maintenance, and management needs in accordance with ROC approved processes and protocols. a. Web Hosting Service — coordinate and maintain third party hosting service for website on annual basis with service provider b. Interactive Web Elements — update sliders on web homepage each month with three to four new focus area updates (linking to photos, videos, and articles) c. Therefore, through his task we will update, manage and maintain campaign social media channels, Twitter, Facebook, Instagram and YouTube, 24/7 through the contract term. Content will be repurposed from the national campaign and customized to Orange County when able and created as needed. Task Description: See sub -tasks for specifics. TASK 4: MEDIA RELATIONS Objective: Many of Orange County's 3.2 million residents stay informed through reading content from daily and weekly publications, listening to AM/FM radio and by watching local television news affiliates — in English, Spanish, Vietnamese and other languages. Through this task we will identify and secure editorial placements with OC- and LA -based news outlets through dedicated media relations efforts. Task Description: See sub -tasks for specifics. TASK 4-A: MEDIA RELATIONS OUTREACH (JULY — SEPT 2020 Objective: Apply the "Three Cs" of media relations — 1) Communicate news about the ReadyOC campaign and emergency preparedness efforts, 2) Capitalize on news of the day pertaining to readiness, and 3) Create news about the ReadyOC campaign and emergency preparedness efforts throughout Orange County. Task Description: Implement a monthly effort to identify, craft, coordinate and deliver stories about preparedness in Orange County in ways that help secure editorial coverage by print, digital/online, radio and television news outlets. Efforts will also be made to offer county resources — Fire and PD chiefs, subject matter experts, elected officials — to reporters and producers when news attention is trained on emergencies and threats. At least one story relating to ReadyOC and/or preparedness will be crafted per sub -task. Story pitches will reflect seasonal occurrences, including summer fire safety, youth preparedness, and National Preparedness Month. Responsibilities: WBC shall: a. Develop the initiative and seek plan (and creative, if needed) approval from the Santa Ana Project Manager Santa Ana shall: a. Approve plan and activities Completion Criteria: This task is considered complete upon the completion of the support period and when the Santa Ana Project Manager signs the task completion letter. Completion is planned to occur by September 2020. 10 TASK 4-13: MEDIA RELATIONS OUTREACH (OCT — DEC 2020 Objective: Apply the "Three Cs" of media relations — 1) Communicate news about the ReadyOC campaign and emergency preparedness efforts, 2) Capitalize on news of the day pertaining to readiness, and 3) Create news about the ReadyOC campaign and emergency preparedness efforts throughout Orange County. Task Description: Implement a monthly effort to identify, craft, coordinate and deliver stories about preparedness in Orange County in ways that help secure editorial coverage by print, digital/online, radio and television news outlets. Efforts will also be made to offer county resources — Fire and PD chiefs, subject matter experts, elected officials — to reporters and producers when news attention is trained on emergencies and threats. At least one story relating to ReadyOC and/or preparedness will be crafted per sub -task. Story pitches will reflect seasonal occurrences, including National Fire Prevention Week, the Great Shakeout earthquake preparedness day, and Holiday Safety. Responsibilities: WBC shall: a. Develop the initiative and seek plan (and creative, if needed) approval from the Santa Ana Project Manager Santa Ana shall: a. Approve plan and activities Completion Criteria: This task is considered complete upon the completion of the support period and when the Santa Ana Project Manager signs the task completion letter. Efforts will also be made to offer county resources — Fire and PD chiefs, subject matter experts, elected officials — to reporters and producers when news attention is trained on emergencies and threats. At least one story relating to ReadyOC and/or preparedness will be crafted per sub -task. Story pitches will reflect seasonal occurrences, including flood, rain, and winter weather preparedness, Earthquake Awareness Month, and National Tsunami Awareness Week. 11 Responsibilities: WBC shall: a. Develop the initiative and seek plan (and creative, if needed) approval from the Santa Ana Project Manager Santa Ana shall: a. Approve plan and activities Completion Criteria: This task is considered complete upon the completion of the support period and when the Santa Ana Project Manager signs the task completion letter. Completion is planned to occur by March 2021. TASK 4-D: MEDIA RELATIONS OUTREACH (APRIL — JUNE 2021) Objective: Apply the 'Three Cs" of media relations — 1) Communicate news about the ReadyOC campaign and emergency preparedness efforts, 2) Capitalize on news of the day pertaining to readiness, and 3) Create news about the ReadyOC campaign and emergency preparedness efforts throughout Orange County. Task Description: Implement a monthly effort to identify, craft, coordinate and deliver stories about preparedness in Orange County in ways that help secure editorial coverage by print, digital/online, radio and television news outlets. Efforts will also be made to offer county resources — Fire and PD chiefs, subject matter experts, elected officials — to reporters and producers when news attention is trained on emergencies and threats. At least one story relating to ReadyOC and/or preparedness will be crafted per sub -task. Story pitches will reflect seasonal occurrences, including spring safety, financial emergency preparedness, Wildfire Safety Preparedness Day, Pet Preparedness Month, and summer safety. Completion is planned by June 2021. 12 TASK 5: PROMISE TO PREPARE (P2P) PROMOTION Objective: The Promise to Prepare (P2P) program has been an effective centerpiece of the ReadyOC campaign with more than 462,000 Orange County residents having made a promise to get prepared. As FY19 programming emphasizes digital channels in replacement of community events, the P2P program needs to evolve. We recommend keeping the call to action but taking steps to make P21P more of a conceptual platform than actually growing promises. The fact that so many Orange County residents have already made promises or have been exposed to the P2P program is key since persuasion theory proves that residents want to be like their neighbors. P2P programming as part of the FY19 contract should feature Orange County as a region with a prepared public so that those who haven't started their kit or made their family plan feel the appropriate peer pressure to take these initial steps. Task Description: Promoting P2P highlights the importance of achieving tangible steps towards preparedness by Orange County residents, businesses and community members. This will be achieved through incorporating P2P into all digital communications, providing simple -to -follow instructions for faith -based and nonprofit groups as well as businesses in Orange County to solicit and collect promises, including P2P on all content even when we're using national public service announcements (we will customize all these files to localize them), via the mobile app and website where we can still capture promises, and as part of our efforts to amplify local preparedness messaging through securing editorial press coverage. TASK 6: CONSOLIDATED MOBILE APP Objective: Update, manage and maintain the ReadyOC app as a one -stop -shop for emergency preparedness and safety needs in Orange County. Integrate the S4 KeepOCSafe app into the ReadyOC app while also maintaining capabilities to register residents for Orange County's emergency notification system (AlertOC) and providing space for California's upcoming earthquake early warning system. Keep the ReadyOC app up to date and in -line with current mobile app standards. Task Description: See sub -tasks for specifics. As a base level, the need for stocking supplies to allow residents to shelter -in -place will change from the current three days to more than two weeks. Clear communication in coordination with national Ready.gov/FEMA guidelines is needed. New guidelines and other changes as a result of the Covid-19 pandemic will need to be communicated to officials in OC's 34 cities and more than 110 public jurisdictions. Meanwhile, materials need to be created and shared with influencers at places of worship, major nonprofit organizations who serve community segments, and ultimately with our 3.2 million residents. This scope of work shall stand as an agreement between the City of Santa Ana (hereinafter Santa Ana) and Westbound Communications (hereinafter WBC). This SOW is contingent upon both WBC and Santa Ana fulfilling their respective responsibilities as defined in the Agreement and within this document. Santa Ana Responsibilities: a. Maintain project communications with the WBC Project Manager. b. Manage the efforts of S4 involved staff and coordinate S4 activities with the WBC Project Manager. c. The Project Manager must ensure that their personnel have ample time, resources, and expertise to carry out their respective tasks and responsibilities. d. The Project Manager or his designee will participate in the status meeting with the WBC Project Manager on a monthly basis or as may otherwise be reasonably required to discuss project status. e. Provide timely responses, within ten (10) business days, to issues raised by the WBC Project Manager. f. Liaison with all Santa Ana -provided third -party vendors and associated systems. g. Ensure acceptable Change Orders are approved by authorized signature(s). h. Ensure acceptable Task Completion Letter(s) are approved by the Project Manager or his designee. i. Ensure timely payment of invoices. j. Ensure WBC access to server and network equipment and work areas on a 24x7 basis, with pre -authorization for off -hours. k. TASK 1: 2020-21 READYOC MARKETING ROAD MAP Objective: Create, establish and implement a formal marketing plan and road map to best promote and provide outreach for S4 during the campaign period. The road map will include project schedules, management procedures and proposed activities. Task Description: Develop, refine, review and approve plan for all campaign initiatives, including the marketing plan and project schedule. Activities include: a. Launch Meetings — conduct an input/review meeting with the Santa Ana Project Manager to present strategies and recommendations and to get approval to proceed with the outlined projects. b. 2020-21 Marketing Road Map — develop and submit a plan detailing strategies, objectives, tasks, schedules and metrics for all S4 activities during the contracted period. This includes delivery of a PowerPoint deck plan that details all strategic goals and programming for review and for final approval by the Santa Ana Project Manager. c. Project Schedule — develop and complete a comprehensive project schedule that details timing for all activities. d. Project Management & Control Procedures — review and update, as needed, all currently approved control and administrative procedures (change orders, approval processes, etc.) and documents currently on file with the Santa Ana Project Manager. When this policy is certified as proof of financial responsibility for the future under the provisions of any motor vehicle financial responsibility law, the insurance provided by the policy for "bodily injury" liability and "property damage" liability will comply with the provisions of the law to the extent of the coverage and limits of insurance required by that law. b. With respect to "mobile equipment" to which this insurance applies, we will provide any liability, uninsured motorists, underinsured motorists, no-fault or other coverage required by any motor vehicle law. We will provide the required limits for those coverages. 4. Legal Action Against Us No person or organization has a right under this Coverage Form: a. To join us as a party or otherwise bring us into a "suit" asking for damages from an insured; or b. To sue us on this Coverage Form unless all of its terms have been fully complied with. A person or organization may sue us to recover on an agreed settlement or on a final judgment against an insured; but we will not be liable for damages that are not payable under the terms of this insurance or that are in excess of the applicable limit of insurance. An agreed settlement means a settlement and release of liability signed by us, the insured and the claimant or the claimant's legal representative. 5. Separation Of Insureds Except with respect to the Limits of Insurance, and any rights or duties specifically assigned in this policy to the first Named Insured, this insurance applies: a. As if each Named Insured were the only Named Insured; and b. Separately to each insured against whom a claim is made or "suit" is brought. 6. Representations a. When You Accept This Policy By accepting this policy, you agree: (1) The statements in the Declarations are accurate and complete; (2) Those statements are based upon representations you made to us; and Page 16 of 24 (3) We have issued this policy in reliance upon your representations. b. Unintentional Failure To Disclose Hazards If unintentionally you should fail to disclose all hazards relating to the conduct of your business at the inception date of this Coverage Part, we shall not deny any coverage under this Coverage Part because of such failure. 7. Other Insurance If other valid and collectible insurance is available for a loss we cover under this Coverage Part, our obligations are limited as follows: a. Primary Insurance This insurance is primary except when b. below applies. If other insurance is also primary, we will share with all that other insurance by the method described in c. below. b. Excess Insurance This insurance is excess over any of the other insurance, whether primary, excess, contingent or on any other basis: (1) Your Work That is Fire, Extended Coverage, Builder's Risk, Installation Risk or similar coverage for "your work"; (2) Premises Rented To You That is fire, lightning or explosion insurance for premises rented to you or temporarily occupied by you with permission of the owner; (3) Tenant Liability That is insurance purchased by you to cover your liability as a tenant for "property damage" to premises rented to you or temporarily occupied by you with permission of the owner; (4) Aircraft, Auto Or Watercraft If the loss arises out of the maintenance or use of aircraft, "autos" or watercraft to the extent not subject to Exclusion g. of Section A. — Coverages. However, the following provisions apply to other insurance available to any person or organization who is an additional insured under this Coverage Part: (a) Primary Insurance When Required By Contract This insurance is primary if you have agreed in a written contract, written agreement or permit that this insurance be primary. If other insurance is also primary, we will share with all that other insurance by the method described in c. below. (b) Primary And Non -Contributory To Other Insurance When Required By Contract If you have agreed in a written contract, written agreement or permit that this insurance is primary and non-contributory with the additional insured's own insurance, this insurance is primary and we will not seek contribution from that other insurance. Paragraphs (a) and (b) do not apply to other insurance to which the additional insured has been added as an additional insured. When this insurance is excess, we will have no duty under this Coverage Part to defend the insured against any "suit" if any other insurer has a duty to defend the insured against that "suit". If no other insurer defends, we will undertake to do so, but we will be entitled to the insured's rights against all those other insurers. Form SS 00 08 04 05 When this insurance is excess over other insurance, we will pay only our share of the amount of the loss, if any, that exceeds the sum of: (1) The total amount that all such other insurance would pay for the loss in the absence of this insurance; and (2) The total of all deductible and self - insured amounts under all that other insurance. We will share the remaining loss, if any, with any other insurance that is not described in this Excess Insurance provision and was not bought specifically to apply in excess of the Limits of Insurance shown in the Declarations of this Coverage Part. c. Method Of Sharing If all the other insurance permits contribution by equal shares, we will follow this method also. Under this approach, each insurer contributes equal amounts until it has paid its applicable limit of insurance or none of the loss remains, whichever comes first. If any of the other insurance does not permit contribution by equal shares, we will contribute by limits. Under this method, each insurer's share is based on the ratio of its applicable limit of insurance to the total applicable limits of insurance of all insurers. 8. Transfer Of Rights Of Recovery Against Others To Us a. Transfer Of Rights Of Recovery If the insured has rights to recover all or part of any payment, including Supplementary Payments, we have made under this Coverage Part, those rights are transferred to us. The insured must do nothing after loss to impair them. At our request, the insured will bring "suit" or transfer those rights to us and help us enforce them. This condition does not apply to Medical Expenses Coverage. b.
