AGREEMENT NO. C-8-0862
BETWEEN
ORANGE COUNTY TRANSPORTATION AUTHORITY
AND
CITY OF SANTA ANA
FOR
RAIL -HIGHWAY GRADE CROSSING SAFETY ENHANCEMENTS
AND
SAFETY MEASURES RELATED TO QUIET ZONE IMPLEMENTATION FOR CITIES
THIS AMENDMENT NO. 3 is made and entered into this day of
20 , by and between the Orange County Transportation Authority, ("AUTHORITY"), and the City of
Santa Ana ("CITY").
WHEREAS, by Agreement No. C-8-0862 dated October 20, 2008, as previously changed by
Amendment No. 2 dated July 6, 2010, AUTHORITY and CITY entered into a cooperative agreement
for the rail highway grade crossing safety enhancements and safety measures related to quiet zone
implementations; and
WHEREAS, AUTHORITY and CITY agree to extend the term of the agreement for ten (10)
months to June 30, 2013 to allow for project closeout; and
NOW, THEREFORE, it is mutually understood and agreed that Agreement No. C-8-0862 is
hereby amended in the following particulars only:
1. Amend ARTICLE 9. ADDITIONAL PROVISIONS, page 11 of 14, Paragraph B, as last
amended by Amendment No. 1 to delete "August 31, 2012", as the expiration date of the Agreement
and in lieu thereof, insert "June 30, 2013".
The balance of Agreement No. C-8-0862 remains unchanged.

This Amendment shall be made effective upon execution by all parties.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 3 to
Agreement No. C-8-0862 to be executed on the date first above written.
