The University will provide the following: Course title: Crime and Intelli ence Analysis Training Consists of five 40-hour courses, "Introduction to Criminal httelligence," I'Research Methods and Statistics in Crime Analysis," "Computer Skills for the Crime Analyst," "Criminal Investigative Analysis," and "Crime Analysis Applications. Does not include the prerequisite courses "Introduction to Criminal Law and Procedure" and "Introduction to Criminal Justice." Date/Time Schedule (confirmed dates): All courses 8:00am-5:00pm. "Computer Skills for the Crime Analyst," M-F, December 3-7, 2001(computer lab required) "Crime Analysis Applications," M-F, January 7-11, 2002 "Introduction to Criminal Intelligence," M-F, February 11-15, 2002 "Criminal Investigative Analysis," M-F, April 8-12, 2002 "Research Methods and Statistics in Crime Analysis," M-F, May 6-10, 2002 (computer lab required) Total hours of instruction: 200 hours Location: Santa Ana Ply, 60 Civic Center Plaza, Santa Ana The University's representative for all matters concerning this Agreement and the program of instruction is: Jennifer R. Insurance. Prior to undertaking performance of work under this Agreement, University shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as described below: University, at its sole cost and expense, shall insure its activities in connection with this Agreement by maintaining programs of self-insurance as follows. A. General Liability Self -Insurance Program with a limit of $1,000,000 per occurrence. B. workers' Compensation as required under California State law. It should be expressly understood, however, that the coverages and limits required under this paragraph shall not in any way limit the liability of University. The coverages referred to under. A of this paragraph shall include the City of Santa Ana, it officers, employees, agents and volunteers as insureds and shall be primary and not additional to or contributing with any other insurance carried by or for the benefit of Santa Ana. Such a provision, however, shall only apply in proportion to and to the extent of the negligent acts or omissions of University, its officers, agents, or employees. University, upon the execution of this Agreement, shall furnish Santa Ana with Certificates of Insurance and Endorsements evidencing compliance' with all requirements. Certificates shall provide for thirty (30) days advance written notice to Santa .Ana Pl7 of any material modifications, change or cancellation of the above insurance coverages. Indemnification. University shall defend, indemnify and hold Santa Ana, its officers, agents, and employees harmless from and against any and all liability, loss, expense (including reasonable attorneys' fees), or claims for injury or damages arising out of the performance of this Agreement but only in proportion to and to the extent such liability, loss, expense, attorneys' fees, or claims for injury or damages are caused by or result from the negligent or intentional acts or omissions of University, its officers, agents, or employees. Santa Ana shall defend, indemnify and hold University, its officers, agents, and employees harmless from and against any and all liability, loss, expense (including reasonable attorneys' fees), or claims for injury ox damages arising out of the performance of this Agreement but only in proportion to and to the extent such liability, loss, expense, attorneys' fees, or claims for injury or damages are caused by or result from the negligent or intentional acts or omissions of Santa Ana, its officers, agents, or employees." Notice. Thereafter, any notice, tender, demand, delivery, or other communication shall be addressed and transmitted to the new address. If sent by mail, any notice, tender, demand, delivery, or other communication shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above, if sent by telefacsimile, any notice, tender, demand, delivery, or other communication shall be effective or deemed to have been given twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends, federal, state, County or City holidays shall be excluded. This Agreement represents the complete and exclusive statement between the City and University, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the City and by an authorized representative of University. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or mi addition to, that terms and conditions hereof, shall not bind or obligate University nor the City. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made b anparty, or anyone acting on behalf of any party, which are not embodied herein. Inasmuch as this Agreement is intended to secure the specialized services of University, University may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void. Nothing in this .Agreement shall be construed to limit the City's ability to have any of the services which are the subject to this Agreement performed by City personnel or by other consultants retained by City. This Agreement may be terminated by the City upon thirty (30) days written notice of termination. In such event, University shall be entitled to receive and the City shall pay University compensation for all services performed by University prior to receipt of such notice of termination, subject to the following conditions: a. As a condition of such payment, the Executive Director may require University to deliver to the City all work product completed as of such date, and in such case such work product shall be the property of the City unless prohibited bylaw, and University consents to the City's use thereof for such purposes as the City deems appropriate. g0 'Cl —LCECI md-uuu_ FilKas za0z 9a tint, b. Payment need not be made for work that fails to meet the standard of performance specified in the Recitals of this Agreement. This Agreement and all questions relating to its validity, interpretation, performance, and enforcement shall be governed and construed in accordance with the laws of the State of California. This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. If the terms herein are acceptable, please aign the enclosed Agreements and return one copy to the University's contact person by October 31, 2001. Please retain one copy for your records. One copy of course materials for each participant including texts. • 20 post -graduate professional level units, all program coordination, and administration (five courses). Successful students receive the Certificate In Crime and Intelligence Analysis (pending receipt of transcripts for prerequisite courses and satisfactory completion of 400 hours of a supervised practicum). • UCR candidacy application fee for each participant. • Academic portfolio submitted to the California Department of Justice for each participant. Billing and registration of non -Santa Ana staff attending the program. Santa Ana will be responsible for and provide: , • A minimum of 10 participants for each course (may include other law enforcement agency staff as invited by Santa Ana PD). • Classroom facilities, screen, overhead projector, white board, computer lab for some courses. Participant roster including name, address, and social security number for each student for each course (form and envelope will be provided). Must be faxed or mailed the University within 5-days of end date for each course. Teacher/course evaluation completed by each student and returned to UCR Extension at conclusion of each course (forms and envelope will be provided). The total cost of the program is: $2200/student for a minimum of 10 students (may be combination Santa Ana staff and other law enforcement agency staff); $200 discount on total paid by Santa Ana for each enrollment over 10. Provided however, the total amount payable to University by Santa Ana under this Agreement shall not exceed $23,000.00, A $500 cancellation penalty will be assessed if Santa Ana chooses to cancel the program of instruction after the Agreement is signed by all parties and received by the University.
