WY0i GARY4F.s 40Unt 112COrd2L' THIS AGREEMENT, made and entered into this 571i_ day of JULY A.D. 1977, by and between the City of Santa Ana, a municipal corporation of the State of California, herein- after referred to as "City," and Johnson Chapel, the African Methodist Episcopal Church, a California corporation, here- inafter called "Church," W I T N E S S E T H — — — — — — — — — — RECITALS c A. Church owns a certain parcel of real property o located generally at the northwest corner of Second and Bristol Streets, more particularly described on attached o "Exhibit A" and herein called "Church Property I." n fl B. Church also owns a certain parcel of real prop- erty located on Second Street west of Bristol and described + as Lot 2 in Block A of Goldmith's addition to the Town s of Santa Ana, as shown on a map thereof recorded in Book 0 31, Page 23, Miscellaneous Records of Los Angeles County, California, and herein called "Church Property II." s o C. City owns a certain parcel of real property L located generally at the northwest corner of First and Bristol Streets, more particularly described on attached s "Exhibit B" and herein called "City Property." c v D. Henry J. Oxnard owns a certain parcel of real property located at the southwest corner of Bristol and Second Streets, more particularly described as Lot 1 in a, Block D of Goldsmith's addition to the Town of Santa Ana, v as shown on a map thereof recorded in Book 31, page 23, Miscellaneous Records of Los Angeles County, California, o and herein called "Oxnard Property." a E. The parties enter into this Agreement for the purpose of providing for the exchange of title to Church Property I and City Property and providing for the purchase by the Church of the Oxnard Property if and at such time as the City hereafter acquires title thereto. As part of City plans to widen Bristol Street north of First Street, it may be necessary at some future time for the City to acquire the Oxnard Property. After deduct- ing the area needed for street purposes, the remaining area will have a depth measured from Bristol Street of approximately 26 feet. Thus, this remainder of Oxnard - 1 - C BX 1228CPS 6C0. G= Property can have real value only to said Henry J. Oxnard or the Church as owner of adjoining property. F. Further, a portion of the Church building pres- ently extends onto Church Property I, and such portion of the Church building is excepted from the conveyance herein. Therefore, the parties enter into this Agreement to permit the Church building to encroach upon Church Property I con- veyed to the City herein until such time as City needs said land for the widening of Bristol Street. wHEREFORE,in_consideration of the respective and mutual covenants and promises hereinafter contained and made, and subject to all of the terms and conditions hereof, the parties hereto do hereby agree as follows: I Church agrees to convey to City, by good and suf- ficient grant deed, Church Property I described on attached "Exhibit A," and City agrees to convey to Church by good and sufficient grant deed, City Property described on at- tached "Exhibit B." Mho For the purposes of said exchange, Church Property I is deemed to have a fair market value of $7,078.00. As additional consideration, Church will necessarily incur expenses, presently estimated at $400.00 for step structures and paving, $23,000.00 for costs of moving and restoring the Church building to its present condition, and $500.00 for clearing and grading the remainder of the site, for a total consideration from Church in the amount of $30,978.00. III For purposes of said exchange, the City Property is agreed to have a fair market value of $80,000.00, and there are no encumbrances thereon. IV The difference in the respective equities of Church Property I and the City Property is $49,022.00, and Church agrees to pay said difference by executing a promissory note in the sum of $49,022.00 in favor of City, said note to be secured by a first deed of trust on City Property, with interest from the date of the close of escrow at the current F.H.A. interest rate and payable in equal monthly payments on the first day- of each month after the execution hereof in an amount that will fully amortize said sum over fifteen (15) years. V Each party agrees to provide the other with a California Land Title Association standard coverage title policy issued by Security Title Insurance Company with liability in at least the value of the property insured. VI Security Escrow Company shall act as escrow holder herein. The parties shall open escrow within fifteen (15) days from the date of this Agreement. The parties agree - 2 - to execute instructions not inconsistent with this agree- ment, which shall provide for closing escrow within sixty (60) days after date of this Agreement. The parties shall each pay one-half (1/2) of escrow costs, including, but not limited to, document fees, escrow fees, and recording charges. Title shall be free and clear of all encumbrances, other than easements of record. Upon delivery of a good and sufficient grant deed to Church Property I, and a good and sufficient grant deed to the City Property, along with said note mdtrust deed securing the above note in the amount of $49,022.00, Security Escrow Company shall cause such deeds and trust deed to be recorded. VII Any prorations shall be as of the close of escrow. VIII Church further covenants and agrees, which covenant shall run with the land and shall be binding upon the parties and all persons claiming under or through them, that within ninety (90) days from date of service of notice from the City to do so, Church shall remove the Church building at its own expense, together with any and all out -buildings and appur- tenances thereto, from Church Property I and comply with all applicable setback and other zoning requirements. Church hereby waives any and all damages for costs incurred in removing said improvements from the land conveyed to City. The Church also hereby waives any damage for injury to or destruction of said improvements by any means and from what- ever cause, and Church agrees to hold City harmless for all personal injury or property damage which may arise out of the location, maintenance or any other condition or event which might be related to the improvements on the property. Further, Church grants to City the right to remove said improvements if Church does not remove the same within a period of ninety (90) days from and after service of notice to do so as provided for in this agreement, and Church agrees to reimburse City forthwith for the costs of removing said improvements. NNW If and when City acquires Oxnard Property and ac- quires more of such property than is needed for street pur- poses, City agrees to sell and Church agrees to purchase, free and clear of all encubrances other than easements of record, such property for the purchase price of $9,114.00, payable in cash or- upon such terms as may be provided in the Santa Ana Municipal Code in effect on the date of trans- fer (presently codified in § 2-706.2 SAMC). The time of conveyance shall be on written demand of the Director of Public works of City subsequent to the acquisition of said property by City, if and when City acquires it; provided, however, that if City has not acquired said property prior to fifteen (15) years from the date of this Agreement, this paragraph shall become null and void. The purpose of this paragraph is to provide for the sale of the real property because, after the widening of said Bristol Street, said property will have real value only to Henry J. Oxnard or the owner of the adjoining property,which is Church Property II. This Agreement to purchase shall be binding on the assigns and successors of the Church in Church Property II. Church agrees that there shall be no obligation on the part of City to purchase the Oxnard Property, or any portion thereof, or any other property. - 3 - � X City shall assume responsibility for all compliance with applicable subdivision laws. XI Church hereby further covenants and agrees that, if City property conveyed herein is at any time subdivided, Blocks 14 and 15 and the easterly 34 feet of Lot 13 shall be held as one parcel; and Lots 16, 17 and the westerly 26 feet of Lot 18 shall be held as one parcel, and that no smaller portions shall be sold, conveyed, leased for a term exceeding ten (10) years, or otherwise transferred separately without the prior written consent of City. This covenant shall run with the land in perpetuity and shall be binding on successors and assigns of City Property and may not be removed,modified, amended or terminated without the prior written consent of City. XII Church further covenants and agrees that City Prop- erty conveyed herein shall be developed, occupied, or used in accordance with and subject to the regulations and re- strictions set forth in the Santa Ana Municipal Code for the C-5 (Arterial Commercial) zone as such regulations and restrictions now exist or as they may be amended hereafter. If the land use district in which the property is situated is hereafter changed by City, the property shall then be developed, occupied or used in accordance with and subject to such zoning restrictions as may hereafter become applic- able to said property by amendments to said code or to applicable land use district maps. XIII Time is of the essence of this Agreement. XIV Any notice to be given or other document to be delivered to either party by the other hereunder may be delivered in person or may be deposited in the United States mail, first class mail with postage prepaid, and addressed as follows: City of Santa Ana 20 Civic Center Plaza Santa Ana, California 92701 Johnson Chapel, The African Methodist Episcopal Church 202 North Bristol Street Santa Ana, California 92703 Either party hereto may, from time to time, by written notice to the other, designate a different address which will be substituted for the one specified above. XV Neither this Agreement nor any interest herein shall ')e assignable by either party without prior written consent if the other. - 4 - Bd 12928GN 603 9N t 2149p; i o2,2 XVI All questions with respect to the construction of this Agreement and the rights and liabilities of the parties hereto shall be governed by the laws of the State of Calif- ornia. YVII Subject to the restrictions against assignment as herein contained, this Agreement shall inure to the benefit of and shall be binding upon the assigns, successors in interest, personal representatives, estates, heirs, and legatees of each of the parties hereto. MAMA &IM In the event of any controversy, claim, or dispute between the parties hereto arising out of or relating to this Agreement or the breach thereof, the prevailing party shall be entitled to recover from the other party reasonable expenses, attorney fees and costs. XIX This Agreement contains the entire agreement of the parties hereto and supersedes any prior written or oral agreements between them concerning the subject matter con- tained herein. There are no representations, agreements, arrangements, or understandings, oral or written, between the parties hereto relating to the subject matter contained in this Agreement which are not fully expressed herein. Y.X The parties agree to execute such other and further instruments as may be reasonably necessary or convenient to carry out the terms of this Agreement, including,but not limited to, deeds, notes, trust deeds, and a covenant to hold as one parcel. (714) 838 0932 s ' 2 Terence called for this purpose, notice of such meeting having been given 14 days prQviously including two Sundays, and sub— sequently approved by resolution in a regular session of the quarterly conference. 11 And, Whereas: At a Church Conference of Johnson Chapel African Methodist Episcopal Church, Santa Ana, California, properly called per Discipline of the A. M, E. Church on Sunday 'January 23, 1972 by the pastor, Rev. Everett P. Williams, the Church voted to sell the property located at 202 Furth Bristol street, Santa Ana, California and authorized the Trustee Board of the Church to take such steps as necessary to effect the same. The Church Conference also voted to build or buy a new Church using the funds from the sale of the Bristol street property to help in the building or the buying of a new Church, And, Whereas: After a fourteen day notice to all the members of the Church A Church Conference was called by the pastor for the specific purpose of purchasing land from the city of Santa Ana located at first and Bristol streets and extending westward almost to Hesperian street and the land along First street extending 00thward toward Second street owned by the city after the widening of First street. The further purpose of the Church Conference was to vote to build a now Church on the first and aristol street site and to vote to have the Santa Ana First Federal Savings and Loan Association handle the finan— cial arrangements for the church and for the church to seek to secure from the Santa Ana First Federal Savings and Loan Association the money to finance the building of the new Church. The Church Conference uas held Tuesday September 145 1976 and the Church voted to purchase the land from the city of Santa Ana located at First and Bristol streets on which to build a now Church and to have the. Santa Ana First Federal Savings and Loa;a Association to finance the new Church. The Church Conference authorized the Church Trustees to carry out the directives of the Church Conference. The vote was unanimous. BACKGROUND The present City -owned land parcel situated at the northwest corner of First and Bristol Streets consists of the remainders of six building lots which were purchased by the City as full takings during 1967-68 in conjunction with the widening of First Street. The parcel was certified as surplus to the City's needs in 1968 by SPR #28-68. Recently the owners of contiguous property, the African Methodist Episcopal Church, have approached the City with a proposal to acquire the surplus parcel. Their need for the parcel is to expand their present holding to provide for relocation of their church building from its present site at the northwest corner of Second and Bristol Streets, as this present site creates a building encroachment into the right of way for proposed Bristol Street widening. ANALYSIS An appraisal was secured on the portion of the Church's present site to be acquired for the Bristol Street widening, including the cost of relocating the Church back out of the proposed right of way. The amount of consideration to be paid by the City for this acquisition was $30,978. An appraisal was also secured on an intervening lot, situated on the south- west corner of Second and Bristol Streets, a portion of which is also to be needed for the Bristol Street widening. The Church also desired to purchase the remainder of this lot at such time as the City acquired it and completed the proposed widening operation. The present value of the remainder portion of this lot was appraised at $9,114. A concurrent appraisal of the City's surplus parcel indicated its current value to be $67,000. The Church agreed to purchase the City's surplus parcel for its previously -appraised value of $80,000 and to purchase the surplus portion of the contiguous lot at its full appraised value of $9,114. As a down payment, credit would be allowed by the City in the amount of compensa- tion due the Church, or $30,978, with the balance to be financed by note and trust deed in accordance with terms specified in Section 2.706.2 of the City Code and authorized as a property exchange by Section 2.710 of the Code. This proposed exchange transaction at this time is at the specific request of the Church. It is in the best interests of the City and can be expected to effect a material saving over a future standard right of way purchase, plus affording an adequate site for the relocation of the Church building as an alternative to the necessity of cutting and refacing it if left in its present location. Funding for the proposed exchange transaction, which would presently be limited to miscel- laneous overhead and transfer expenses, is available from the Gas Tax Contingency fund.
