("Consultant") and the City of Santa Ana, dated December 1, 2020, Consultant hereby accepts this amended Letter Agreement for an assignment for on -call planning and technical services for the projected listed above. Consultant shall complete the services per the proposal dated March 3, 2022 (attached as Exhibit A -I to this amended Letter Agreement) by February 28, 2023. The February 2022 agreement is under Master Agreement No. A-2020-241-33 entered into by PlaceWorks and the City on December 1, 2020. This amendment, per your request, covers the following: • More extensive information and graphics provided for Air Quality and Hazards than originally anticipated. • Updating the Recirculated Draft PEIR sections to reflect numerous iterations of GPU policies and implementation actions. • Changes required to the Air Quality and Hazards section due to clarification on the Industrial Flex land use. • The decision to quantify traffic noise for the alternatives analysis. • Text and graphic revisions requested for the recreational section related to omission of linear and specialty parks. • Expanded Project Coordination related to ongoing project changes, recreation facility inventory, public outreach detail, and project scheduling. • Preparation of PPT presentation for Study Session (not included in approved scope of work). • Additional effort to complete the Draft and Final Recirculated Program EIR. • Additional Project Management and Public Hearing attendance (the updated scope for these items is described in the Scope of Work). • A new $10,000.00 contingency budget. Scope of Work The following scope of work details the additional work covered in this contract amendment and is organized according to the tasks in our original approved contract dated February 2, 2021. 3 MacArthur Place, Suite 1100 1 Santa Ana, California 92707 1 714.966.9220 1 PlaceWorks.com TASK 1 CONSULTATION CONCERNING RECIRCULATED DRAFT PEIR The City's expanded public outreach and the previously prepared Draft and Final PEIRs refined the scope of the Recirculated DEIR. This amendment requests the transferof remaining fees for this task to preparation of the Recirculated DEIR (Task 2). TASK 2 PREPARE SCREENCHECK DRAFT RECIRCULATED PEIR This task is completed. Transfer of fees to cover the overage on this task is requested. As noted above, additional effort was related to several factors. A greater level of analysis, documentation, and graphics was provided for environmental justice issues and CalEnviroScreen (CES) information. The supplemental information was included in the Environmental Setting, Air Quality, and Hazards sections. There were numerous iterations of policy and implementation actions that required ongoing revisions throughout the document and in the Appendix. Finally, we coordinated and included updates to the Alternatives, which included quantified traffic and noise impact information (for the new alternative and previously evaluated alternatives). TASK 3. PREPARE DRAFT RECIRCULATED PEIR The Draft Recirculated PEIR was distributed for public review between August 6, 2021, and September 20, 2021. This document only included the recirculated chapters of the EIR. Our original scope of work assumed that the City would want a complete copy of the Draft PEIR to include the remaining chapters of the DEIR. At the time, it was anticipated this would essentially be a word-processing exercise. The effort to update the entire EIR per project updates (policy and implementation action updates that affected almost all the chapters) and all changes in response to comments from both the original Final EIR and Recirculated EIR turned out to be immense and involved all levels of our project team (project management, graphics, editing, and word-processing). We coordinated with the City regarding our suggested formatting to color code various changes by the source —policy changes (original vs. final EIR), responses to comments (original vs. Final EIR), mitigation updates, etc. This effort also included updating the appendices and respective references. Transfer of additional fees to this task is required to address budget exceedance related to finalizing the Draft Recirculated PEIR for public distribution and posting to the City's website. This included coordination and related revisions/update to recreation facilities, including GIS team mapping. TASK 4. NOTICE OF AVAILABILITY/PUBLIC REVIEW This task was completed under budget, and this amendment requests transferring the remaining fees to Task 2. TASK 5. FINAL EIR AND RESPONSE TO COMMENTS The scope of work for this task assumed a moderate level of comment on the Recirculated DEIR and noted that if a greater level of comment than anticipated was received, a budget augment might be required. Although the number of letters was not excessive, attorneys on behalf of the City of Tustin, Orange County Environmental Justice, and Rise Up Willowick submitted long, complex letters. The Madison Park Neighborhood Association / UCI also sent very technical comments. The assistance from B13K was very helpful to address specific court cases, but limited with respect to specific CPU issues and technical comments on the EIR. The additional fees requested for this task also include addressing the comments received at the Study Session, which were not in our original scope of work. January 21, 2022 (updated 318122) 1 Page 2 TASK 6 MMRP, FACTS AND FINDINGS, AND STATEMENT OF OVERRIDING CONSIDERATIONS This task had not been initiated as of the August 2021 invoice, and no changes are requested.. TASK 7. PUBLIC HEARINGS Our original scope of work anticipated our project manager's attendance at three public hearings and assumed our attendance would all be virtual. As of our original Contract Amendment No. 2 request (11/23/21), we had attended two public hearings for this project (JoAnn Hadfield's in -person attendance at Planning Commission Study Session, September 13, 2021, and virtual attendance at Planning Commission Public Hearing, November 8, 2021). Additional fees related to in -person attendance and preparation of a PPT presentation for the Study Session are included in this request. The Task 7 Public Hearing budget, however, was fully expended with the Study Session, including preparation of minutes for that hearing by Dina El Chammas, who attended virtually. The additional fees requested for Public Hearings in this amendment cover the following: » November 8, 2021, Planning Commission Hearing: JoAnn Hadfield's virtual attendance at the full Planning Commission hearing and Nicole Vermilion's (PlaceWorks' AQ/GHG Principal) virtual attendance for 3 hours of that hearing (as discussed with the City for availability to address technical questions). » December 7, 2021, City Council Public Hearing: Our cost estimate included up to 5 hours for JoAnn Hadfield's attendance at one additional public hearing, anticipated to be the 12/7/21 hearing. The cost estimate for these two hearings is$2,010 Two additional public hearings were requested by the City, including the City Council Public Hearing held 12/21/21 and a future hearing anticipated in February 2022 (occurred February 15, 2022). The estimated budget is based on in -person attendance by JoAnn Hadfield and virtual attendance by Nicole Vermilion. (Note that as of March 1, 2022, PlaceWorks and 1131 have attended the public hearings specifically included in this amendment. Future hearing attendance will require approval of a contingency transfer to cover our fees.) TASK 8. PROJECT MANAGEMENT AND COORDINATION This includes an increase in this task's budget to address extended project coordination and specific Issues requiring substantial coordination (parks, alternatives, etc.). Note also that the original scope of work assumed that the City would complete expanded community outreach by the end of January 2021, the screencheck Recirculated DEIR would be submitted mid -February, and a draft Recirculated DEIR would be made public In March 2021. The overall project and related project management coordination went substantially beyond our original understanding. This extends coordination fees from November 2021 through the City Council December 7, 2021, public hearing. Additional fees have been added to cover project coordination fees through the end of February 2022. We understand that due to the uncertainty of the project's approval process, for planning purposes the City is extending the project schedule through February 2023. Should additional project management and coordination efforts be required by PlaceWorks, a contingency transfer for these efforts will be requested. SUBCONSULTANT: IBI The fees approved under I81's existing contract had been expended, including budgeted attendance at a City Council Public Hearing (attended 12/7/21). Schedule Update In our November 23, 2021, proposed amendment we anticipated that the proposed GPU and Recirculated PEIR would be considered at a December 7, 2021, City Council Public Hearing. For planning purposes, the City has extended the project schedule through February 2023. As noted under Tasks 7 and 8, PlaceWorks' and IBI's additional public hearing attendance and extended project management efforts would require a budget transferfrom the contingency budget.
