I/we, Orange County Employees °O Association, as the legal owner ("Licensor") of the property located at 821 North Van c Ness Street, Santa Ana, California, 92701, Assessor Parcel Number 005-144-32 (the vWi "Property"), attached hereto, do hereby grant to the City of Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and the laws of the State of California (collectively referred to as the "City") a non-exclusive License for the following purpose: Free public parking for City of Santa Ana Library patrons every Saturday from 9 a.m. to 5:00 p.m. for the term of this License. The License area is identified in the attached Exhibit A. The marked parking stalls illustrated in the attached Exhibit A will be used by City Library patrons. I. Signage. City agrees to post a sign every Saturday identifying the Property as parking for patrons of the Santa Ana Library only between the hours of 9 a.m. and 5 p.m. 2. Indemnification. The City agrees to indemnify, defend, and hold harmless Licensor from and against any and all actions, suits, claims, demands, judgments, losses, expenses, or liabilities, injuries and damages to persons and property, including death, arising out of City's use of the Property. 3. Renair of damage. The City further agrees to repair any damage to the Property caused by the exercise of this License at its sole cost and expense, and to restore the Property, as nearly as practicable to the state in which it existed prior to the use of the Property by the City. 4. Exclusive rights. The rights herein granted to the City, are exclusive, and the City agrees not to assign, transfer, lease, pledge, or otherwise dispose of its License without the prior express written approval of the Licensor. 5. Expiration and termination. This License shall expire after one (1) year from the date set forth in the first paragraph, unless terminated pursuant to thirty (30) days advance written notice by either City or Licensor. 6. License fee. City shall pay to Licensor $625 a month or for any portion of a month if the License begins or ends after the first of the month, during the tern of this License, for a total not to exceed amount of $7,500. OCEA shall invoice City on the N-2022-247 first day of each month. City will have thirty (30) days to make payment and all payments shall be made payable to "Orange County Employees Association." 7. Sienatories are authorized. The persons executing this Agreement on behalf of the parties hereto represent and warrant to the other party that they are duly authorized to execute and deliver this Agreement on behalf of such party, and by so executing this Agreement, said party is formally bound to the provisions of this Agreement. 8. Notices. Any notices, requests, or approvals given under this Agreement from one party to another shall be in writing and shall be personally delivered or deposited with the United States Postal Service for mailing, postage prepaid, by certified mail, return receipt requested, to the addresses of the other party as state din this section, and shall be deemed to have been received at the time of personal delivery or three (3) days after the deposit for mailing. This Agreement may be executed in several counterparts, and all so executed shall constitute one agreement binding on both parties hereto, notwithstanding that both parties are not signatories to the original or the same counterpart.
