This letter represents your ("Speaker") agreement with the City of Santa Ana ("City") as entered into on the above date
for the engagement described below:
1. Event Description: Speaker will provide a series of five (5) separate workshops to teach attendees the basics of
3D Art and Toy Design, as more fully set forth in "Exhibit A — Scope of Services" attached hereto and
incorporated herein by this reference, and "Exhibit B — Art Lesson Plan(s)" attached hereto and incorporated
herein by this reference.
2. Date(s): Five (5) workshop dates between April 1, 2023 - October 31, 2023, to be determined by the parties.
3. Event Time(s): To be determined by the parties.
4. Location: Santa Ana Public Library, 26 Civic Center Plaza, Santa Ana, CA 92701 (4 workshop modules);
Newhope Library, 122 N. Newhope St., Santa Ana, CA 92703 (1 Workshop Module) ("Property").
5. Compensation: Not to exceed $1,600.00, as more fully set forth in Exhibit B (payable by check within 30
calendar days of event); Speaker must provide IRS form W-9 before payment can be made.
6. Equipment provided by City: As set forth in Exhibit B.
7. Equipment provided by Speaker: As set forth in Exhibit B.

9. Independent Contractor: Speaker shall, during the entire term of this Agreement, be construed to be an
independent contractor and not an employee of the City. This Agreement is not intended nor shall it be construed
to create an employer -employee relationship, a joint venture relationship, or to allow the City to exercise
discretion or control over the professional manner in which Speaker performs the services that are the subject
matter of this Agreement. However, the services to be provided by Speaker shall be provided in a manner
consistent with all applicable standards and regulations. Speaker shall pay all salaries and wages, employer's
social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for
all applicable withholding taxes.
10. Indemnification: Speaker, his or her agents, or employees (if applicable) agrees to and shall indemnify, defend,
and hold harmless the City, its officers, agents, employees, consultants, special counsel, and representatives from
and against all loss, expenses, or liability (including costs and attorney's fees) arising from the negligence or
willful misconduct of Speaker, his or her agents, or employees.

It. Release: Speaker accepts the Property and any City -provided equipment used in connection with the performance
in their "as -is" condition, with all faults. Speaker fully releases, waives and discharges forever any and all claims,
demands, rights, and causes of action of any kind or nature against, and covenants not to sue, City, its elected
officials, officers, employees, agents and volunteers, and all persons acting on behalf of, by, through or under
each of them, under any present or future laws, statutes, or regulations for any claim or event relating to the
condition of the Property or City -provided equipment or Speaker's use thereof.
12. The City shall have the right and royalty -free license to simulcast or produce and show a tape -delayed broadcast
of Speaker's presentation to the City community or general public, through webcast or any other means. This
license shall be non-exclusive and the copyright shall remain with the Speaker. Copies of Speaker's presentation
may be maintained by the City, and Speaker consents to use of such recordings.
13. Speaker is solely responsible for payment of royalty fees, performance fees, or similar fees that may be required
by unions or similar organizations. Speaker shall indemnify the City against any liability or damages, including
attorney's fees, that may arise as a result of violation by Speaker of copyright laws.
14. Speaker shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, age,
national origin, ancestry, disability, or any other basis protected by applicable law in connection with any
activities related to this Agreement.
15. This Agreement shall in all respects shall be interpreted, enforced, and governed exclusively by and under the
laws of the state of California. Both parties agree that Orange County, California, shall be the venue for any
action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement.
16. This Agreement represents the complete and exclusive statement between the City and Speaker regarding the
subject matter herein and supersedes any and all other agreements, oral or written, between the parties. This
Agreement may not be modified except by written instrument signed by the City and by an authorized
representative of Speaker.

DESCRIPTION: Speaker will be providing a series of 5 workshops to teach youth (K-Adults) the basics of 3D
Art and Toy Design. 4 workshops will be at the Main library and 1 workshop will be at the Newhope Library
branch. A total of 5 workshops will be offered to the Library Community. Youth participants will be given the
opportunity to design and 3D print their toy creations using equipment in the library's Teen Maker space and
Newhope Media lab. The workshops are free and everyone can attend. A Staff member will be present at each
session. Series will commence on April 1, 2023 and is scheduled to be completed by October 31, 2023.

REAL VS DIGITAL (PHYSICAL PRODUCTS VS 3D) (VIDEO GAME ART)
DO YOU SEE YOURSELF WORKING IN THE WORLD OF 3D?
BE COVERED ALONG WITH CAREER PATHS FOR 3D ARTIST. STUDENTS WILL EXPLORE THE WORLD BEHIND TOYS/VIDEO GAME ASSETS
ELEMENTS OF THIS ART CLASS PUT THE DESIGN POWER IN THE AND MORE!
STUDENTS HANDS. COLOR GUIDES WILL ALSO BE HOW TOYS ARE MADE (FROM 2D SKETCH TO 3D MODEL).
USEFUL TO SHOW HOW A TOY TRULY BEGINS (IN 2D) GIVE BASIC AND ADVANCED KNOWLEDGE OF THE PRINTING PROCESS AND
DIFFERENT MATERIALS THAT ARE USED WOULD ALSO BE HELPFUL HOW THEY ARE USED TO CREATE TOYS AND JUST ABOUT EVERYTHING.
AS WELL (ADVANCED CLASS WILL LEARN THE MANY OPPURTUNITIES GO OVER PRINTING MATERIALS- FROM CLAY TO PLASTICS
FOR ARTIST AFTER GRADUATING AND WHERE THEY CAN GO
FROM GAINING THESE SKILLS.
STUDENTS WILL GAIN BASIC UNDERSTANDING OF TOYS AND HOW THEY ARE MADE

WHILE UTALIZING 3D PRINTERS. PROCESS WILL FEATURE PROPER PRINTER SAFETY
WITH STUDENTS. OTHER PROJECTS TBD BY STUDENTS FOR CLASS
AND HOW TO REMOVE PARTS FROM MACHINE.

DEMOS FOR EACH PROJECT WILL BE COVERED AND STUDENTS WILL EXECUTE STEPS
WITH SUPERVISION.
SET UP PROCESS INCLUDES:
SLICING PROGRAM TUTORIAL, BED LEVELING, FILAMENT LOADING, INITIAL TEST
AND TROUBLESHOOTING. PROPER SUPPORT REMOVAL AND SAFETY DEMOS WILL
ALSO BE GIVEN. THIS STAGE IS FOR POST PROCESSING THE FINISHED PRINT.
PAINTING FINISHED PRINTS WOULD ALSO BE GREAT IF TIME ALLOWS.
