Authorize the City Manager to execute Addendum No. 1 to the Purchase and Sale Agreement with Orange County Transportation Authority, A-2018-175, to increase the compensation to the City by $5,775, subject to non -substantive changes approved by the City Manager and the City Attorney. 2. Approve an Appropriation Adjustment of $5,775 in the Select Street Construction fund, from the proceeds of the sale listed in above. 3. Approve an Appropriation Adjustment of $200,000 in the Select Street Construction fund, from the fund balance that includes $200,000 of proceeds from sale of an easement approved by Council on July 17, 2018. DISCUSSION On July 17, 2018 the City agreed to sell two easements at the City Hall parking lot to the Orange County Transportation Authority (OCTA), at an appraised value of $200,000, for an OC Streetcar traction power substation (TPSS) (Exhibit 1). Additionally, the City agreed to identify a permanent easement at the Santa Ana Regional Transportation Center (SARTC) for use at no cost to OCTA. The intent of these easements was to bring necessary utilities to and from the TPSSs. The $200,000 proceeds from the sale of the easement were recognized with an appropriation adjustment approved by Council on July 17, 2018. However, the funds were not added to Project 17-6766 for future expenditure and therefore not included in the Council approved carryforward for Fiscal Year 2020-21. Upon approval of the requested appropriation adjustments, funds in the amount of $205,775 will be available for any unforeseen expenditures related to the implementation of the OC Streetcar route in Santa Ana. Amend OC Streetcar Easement Agreement June 1, 2021 Page 2 It has since been determined that Southern California Edison (SCE) requires a separate easement at both locations, Civic Center and SARTC to provide the electrical connection to the TPSSs. While the majority of the requested SCE easement at Civic Center overlaps with the existing OCTA easements, a minor portion falls outside the footprint. OCTA has agreed to amend the original Purchase and Sale Agreement (Exhibit 2) to compensate the City $5,775 for the portion which falls outside the original footprint. The SCE easement at SARTC will be provided at no cost pursuant to the 2017 Amended and Restated Cooperative Agreement for SARTC that establishes the roles and responsibilities for the various rail and bus operations at the train station. ENVIRONMENTAL IMPACT There is no environmental impact associated with this action. FISCAL IMPACT The City has agreed to sell an easement at the City Hall parking lot for $5,775, which will be credited to account 05917002-57071 and appropriated for spending in account 05917660-66220 Project No. 17-6766, if City Council approves recommendations #1 and #2. Another $200,000 will be appropriated to 05917660-66220 Project No. 17-6766 from the estimated Select Street Construction estimated fund balance of $12.2 million at June 30, 2021, if City Council approves recommendation #3. The combined appropriation of $205,775 will be set aside for any unforeseen expenditures related to the implementation of the OC Streetcar route in Santa Ana. EXHIBIT(S) 1. (A) AUTHORITY shall pay the CITY the sum of Two Hundred Thousand Dollars and No Cents ($200,000.00), the appraised value, for the property at the City Hall Parking Structure when title to said Property interests vests in AUTHORITY free and clear of all liens, deeds of trusts, encumbrances, assessments, easements and leases (recorded and/or unrecorded), and taxes. The CITY will grant at no cost the property interests at Sasscer Park and SARTC. (B) AUTHORITY will pay all usual escrow and recording fees incurred in this transaction, and if title insurance is desired by AUTHORITY, the premium charged therefore. Due to AUTHORITY's status as a public entity, no recording fees will be payable (pursuant to Government Code Section 27383) and no documentary transfer tax will be payable (pursuant to Revenue & Taxation Code Section 11922). (C) It is agreed and confirmed by the parties hereto that notwithstanding other provisions in this contract, the right of possession and use of the subject property by OCTA, including the right to remove and dispose of improvements, shall commence on the close of escrow controlling this transaction, and that the amount shown in Clause 2 (A) herein includes, but is not limited to, full payment for such possession and use, including damages, if any, from said date. (D) CITY agrees that the payment described in Clause 2 (A) above shall constitute full and fair compensation for any and all claims that CITY, and its successors and assigns, may have against AUTHORITY for the acquisition of the Property interests. (E) The property rights shall transfer upon the close of escrow. (F) Should the property be materially destroyed by fire, earthquake, or other calamity without the fault of either party, this contract may be rescinded by AUTHORITY; in such an event, AUTHORITY may reappraise the property and make an offer thereon. (G) In the event AUTHORITY determines that acquisition of the Property interests is no longer feasible for the Project, AUTHORITY may revoke this offer at any time. Neither this PSA, nor any of the .Parties' rights, obligations, duties, or authority hereunder may be assigned in whole or in part by either Party without the prior consent of the other Party. 6. CITY represents and warrants that, to the best of the CITY'S knowledge, during the period of CITY's ownership of the Property, there have been no disposals, releases or threatened releases of hazardous substances or hazardous wastes on, from, or under the Property. CITY further represents and warrants that CITY has no knowledge of any disposal, release, or threatened release of hazardous substances or hazardous wastes on, from, or under the Property which may have occurred prior to CITY taking title to the Property, other than that described in the Environmental Report. If contamination is found, this offer will be subject to amendment. The acquisition price of the Property interests being acquired in this transaction reflects the full and complete settlement of the Property interests without the presence of contamination. If the Property interests being acquired are found to be contaminated by the presence of hazardous waste which requires mitigation under Federal or State law, AUTHORITY may elect to recover the clean-up costs from those who caused or contributed to the contamination including, but not limited to, CITY. This PSA constitutes the entire agreement between the parties hereto with respect to the subject matter of this PSA and may not be modified except by an instrument in writing signed by the party to be bound thereby. If any term or provision of this PSA shall be held to be invalid or unenforceable, the remainder of the PSA shall remain in full force and effect. 10. Each individual executing this PSA on behalf of an entity represents and warrants that he or she has been authorized to do so by the entity on whose behalf he or she executes this PSA and that said entity will thereby be obligated to perform the terms of this PSA. OCS-008 and (iii) a Platform and Traction Power Substation Easement as more particularly described and depicted in Document Nos. OCS-009-01 and OCS-009-02 attached as Exhibit "1", "2", "3" and "4", respectively to the Original Purchase and Sale Agreement; and WHEREAS, the AUTHORITY has determined that it is necessary to acquire two additional permanent Grant of Easements for utility purposes to support the Traction Power Substations. The first Grant of Easements is two strips, 6.00 Feet wide and 14.00 feet wide, over the property designated as Assessor's Parcel Number 008-067-47 ("Civic Center") and is legally described and depicted in Exhibit "A" attached to and made part of the Grant of Easement attached hereto to and incorporated herein as Exhibit 1(the "Southern California Edison Easement at Civic Center").
