AGENDA TITLE:
Approve Agreement Amendment with Axon Enterprise, Inc. to Provide Additional Body-
Worn Cameras and Related Equipment for the Santa Ana Police Department in the
amount of $80,624.29 (Non-General Fund, General Fund)
RECOMMENDED ACTION
Approve an amendment to the agreement with Axon Enterprise, Inc. for additional body-
worn cameras, related equipment, and operating licenses for the Santa Ana Police
Department for the period of April 1, 2021 through June 30, 2022, in the amount
$80,624.29, and amending the term end date to June 30, 2022, subject to non-
substantive changes approved by the City Manager and City Attorney.
DISCUSSION
In 2016, the Police Department issued a Request for Proposals (RFP #16-053) for body-
worn cameras. Axon Enterprise, Inc. was the most responsive and capable respondent.
A five-year agreement was executed and on May 2, 2017, the Police Department
implemented its body-worn camera program with 200 cameras. Body-Worn cameras
were issued to all uniformed personnel assigned to the Field Operations Bureau and
special units (Gangs, Directed Patrol, etc.), with tentative expansion over the course of
the five-year contract. Since implementation, deployment has expanded to all Crime
Scene Investigators and Parking Control Officers (not including contracted parking control
officers). Additionally, emerging laws have required detectives to deploy body-worn
cameras during the course of their respective duties. The continued hiring of sworn police
officers has now necessitated the purchase of 24 additional body-worn cameras and
related equipment. This agreement amendment will provide the Police Department with
an additional 24 body-worn cameras, associated mountings, charging/docking stations,
and 34 additional operating licenses (24 for sworn officers and 10 for support staff).
Axon Enterprise, Inc. has agreed to provide the additional body-worn cameras and related
equipment to support the remainder of the five-year contract in the amount of $80,624.29.
In addition, Axon has agreed to amend the agreement term end date from May 1, 2022
to June 30, 2022 to coincide with subscription services being provided. Axon Enterprise,

Inc. has been accommodating, professional, and consistent in its servicing of the body-
worn camera system and staff recommends approval of this agreement amendment.
ENVIRONMENTAL IMPACT
There is no environmental impact associated with this action.
FISCAL IMPACT
Funds for the first year of this agreement amendment are available in the Police
Department’s Supplemental Law Enforcement Services Act account (no. 12814407
62300). Funding for the second year of this agreement will require additional funding be
appropriated to the Police Department Central Distribution Center (CDC) contract
services account (no. 01114450 62300) during the FY 2021-22 budget process.

FOURTH AMENDMENT TO MASTER SERVICE AND PURCHASING
AGREEMENT FOR SOFTWARE LICENSES, MAINTENANCE OF EQUIPMENT
FOR BODY WORN CAMERA EQUIPMENT
THIS FOURTH AMENDMENT to the above-referenced agreement is entered into on February
16, 2021, by and between Axon Enterprise, Inc., a California corporation (“Consultant”), and the
City of Santa Ana, a charter city and municipal corporation organized and existing under the
Constitution and laws of the State of California (“City”).
RECITALS
A. The parties entered into Agreement #A-2017-113, dated May 2, 2017 (“Agreement”), by which
Consultant agreed to provide software licenses in support of the Body Worn Camera equipment
utilized by the Santa Ana Police Department. The term of the Agreement runs through May
1, 2022, and is still in effect.
B. In August 2017, the parties entered into a First Amendment to the Agreement (#A-2017-113-
01) by which the parties agreed to memorialize the change in the Consultant’s name to Axon
Enterprise and to utilize $25,000 of the contingency funds, previously approved by the City
and included additional funds to cover the remaining balance for the purchase of 80 additional
Evidence.com unlimited licenses for one year during the term of the original Agreement.
C. On December 4, 2018, the parties entered into a Second Amendment to the Agreement (#A-
2018-271) by which the parties amended the Agreement to increase the overall compensation
to allow the City to exercise its option and engage the Consultant for the annual maintenance
costs for the additional 80 Evidence.com unlimited licenses and the 12 docks for Years 2-5 of
the Agreement and compensate the Consultant for services rendered from the expiration of the
First Amendment.
D. On July 19, 2019, the parties entered into a Third Amendment to the Agreement (#A-2019-
100) by which the parties amended the Agreement to increase the overall compensation to
allow the City to purchase sixty (60) additional cameras and six docks, the corresponding
Evidence.com unlimited licenses, storage, maintenance, and any supporting equipment for the
use of the cameras for Years 3-5 of the Agreement
E. The body worn camera system and the software licenses for the use of the body worn cameras
are utilized through a system called Evidence.com. The license provides security and
encryption of the data accessed from the body worn cameras to prevent unauthorized use or
access to the evidence or data obtained by the equipment.
F. The parties now wish to further amend the Agreement to extend the term of the agreement, and
increase the overall compensation to allow the City to purchase twenty-four (24) additional
cameras, docking stations, Evidence.com unlimited licenses, storage, maintenance, and any
supporting equipment for the use of the cameras for Years 4-5 of the Agreement.

The Parties therefore agree:
1. Section 2, shall be amended to include Axon Quote No. Q-283187-44225.706CN, attached
hereto as Exhibit A-5, to memorialize the costs for the City to purchase additional equipment,
Evidence.com unlimited licenses, supporting equipment, and maintenance for additional body
worn camera units.
2. The total sum to be expended for the payment of the additional services detailed in Exhibit A-
4 shall not exceed $80,624.29. The five-year not-to-exceed Agreement amount will be
increased from $2,065,055.96 to $2,145,680.25.
3. Section 3, shall be amended to extend the termination date through June 30, 2022.
4. Except as modified by this Fourth Amendment, all terms and conditions of the Agreement, and
all prior amendments to the Agreement, shall remain in full force and effect.

Agreement on the date and year first written above.
