TOPIC: Approve First Amendment to Agreement with All City Management Services
AGENDA TITLE:
Approve the first amendment to the agreement with All City Management Inc. for the adult
crossing guard program to extend the term for four months to June 30, 2021 (General
Fund)
RECOMMENDED ACTION
Authorize the City Manager to execute the first amendment to the agreement with All City
Management Inc. to extend the term four months from February 28, 2021 to June 30,
2021 at no additional cost, subject to non -substantive changes approved by the City
Manager and City Attorney.
DISCUSSION
On March 6, 2018, the City Council approved a three-year agreement with All City
Management Inc. for Adult Crossing Guard Services, effective March 1, 2018 to February
28, 2021. This program was initially administered by the Santa Ana Police Department,
with technical and engineering assistance provided by the Public Works Agency. During
the preparation and approval of the FY 2020-21 budget, the City Council approved the
transfer for the oversight of this program to the Public Works Agency.
The agreement expires on March 1, 2021 and staff recommends extending the contract
term for four months to June 30, 2021 in order for the agreement to coincide with the end
of the Santa Ana Unified School District's school year and to provide staff with sufficient
time to advertise a Request for Proposals for a new three-year agreement (Exhibit 1).
Due to the COVID-19 pandemic, the costs of the program's third year are significantly
less than anticipated, as such, a time extension will not impact the current budget, and
any program savings will be retained in the General Fund.
FISCAL IMPACT
There is no fiscal impact associated with the action of extending the term of the contract
by four months. The program costs with the term extension through June 30, 2021 will
remain the same at the anticipated not to exceed amount of $650,000. This is based on

the highest cost scenario where schools resume normal in -classroom attendance starting
January 2021.

FIRST AMENDMENT TO AGREEMENT FOR CROSSING GUARD SERVICES
THIS FIRST AMENDMENT to the above -referenced agreement is entered into on
, 2021 by and between All City Management, Inc. ("Consultant"), and the City
of Santa Ana, a charter city and municipal corporation organized and existing under the
Constitution and laws of the State of California ("City").
RECITALS
A. The parties entered into Agreement No. A-2018-056, dated March 6, 2018, by which
Consultant agreed to provide crossing guard services to ensure the safe movement of
elementary school children in school zones within the City ("Agreement").
B. The Agreement remains in effect through February 28, 2021.
C. The parties now wish to extend the Agreement.
The Parties therefore agree:
1. Section 3, Term, is amended to extend the term of the Agreement through June 30, 2021.
2. Except as modified by this First Amendment, all terms and conditions of the Agreement shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to the
Agreement on the date and year first written above.
