On February 28, 2023, the City and Provider entered into Agreement No. N-2023-049 rz ("Agreement), for Provider to provide Run, Jump, Throw, and track club classes in the City's w recreation class program. The agreement runs from March 1, 2023 through February 29, 2024. The Agreement is current and in -effect. B. The parties wish to amend the Agreement to allow for additional classes to be provided in the Agreement and revise the split percentages for compensation as detailed for these additional classes. There are no other changes contemplated by this Amendment The Parties therefore agree: 1. Section 1.a., Scope of Services, is amended to include the classes detailed in Exhibit A-1 to this First Amendment to the Agreement. 2. Section 2.a., Compensation, is amended to include a 70/30% compensation split for only those classes detailed in Exhibit A-1 to this First Amendment to the Agreement. The overall compensation to the Agreement shall not be increased. 2. Except as modified by this Amendment, all terms and conditions of the Agreement, as amended, shall remain in full force and effect. Provider shall conduct RAYA FOUNDATION SPORTS PROGRAMS AND ACTIVITIES for ages 5yrs—18yrs. B. Provider shall teach such or similar classes (1) at the times below at facilities to be designated by the City or (2) on a schedule agreed upon by the parties for each class session or term, including the location, specific days and hours when classes will be held, and holidays to be observed, in accordance with City's needs. The RAYA (Rise Above Your Ambition) is a 5010 Santa Ana based non-profit whose mission is developing youth to be successful adults by providing positive athletic opportunities, academic success, and family support. The Foundation will provide various sports programs and activities to Santa Ana youth, 5 — 18 years age. The sports programs goal is to enhance the fundamental skills and competence of each child in a sport and includes skill development, conditioning, emphasis on sportsmanship, learning the fundamentals as well as competition and fan. 70/30% Compensation Split Sports may include: • Boys BOOM Basketball league and clinic (9-14 years) • Girls BOOM Basketball league and clinic (9-14 years) • Lil BOOM Co-ed Basketball league and clinic (5-8 years) • Girls ACE Volleyball Clinic/Camp (11-14 years) • Co-ed ACE Volleyball Clinic/Camp (9-10 years) • Golden City Cross Country Meet (5-14 years) • Other sports as needed 90/10% Compensation Split • Track and Field Club (5- 14 years) INSTRUCTOR: Raya Foundation Staff LOCATION: Jerome Center, 726 S. Center St, Santa Ana, CA 92704 (714) 647-6559 RAYA FOUNDATION SPORTS PROGRAMS AND ACTIVITIES will consist of 8 week sessions. INSTRUCTOR: Raya Foundation Staff LOCATION: Open to Other Recreation Centers/Parks, Santa Ana, CA, (714) 647-5307 • RAYA FOUNDATION SPORTS PROGRAMS AND ACTIVITIES will consist of 8 week sessions. C. Provider shall provide all materials, supplies, equipment, records and personnel. Provider shall be responsible for clean-up of the facilities and materials and shall ensure the safety and effectiveness of instruction. CLASS SIZE A. Each class must have a minimum of 14 paid students and no more than 40 students. B. No registration will be accepted after the second meeting of classes. C. If the minimum registration has not been reached by the second class the class shall be cancelled. Provider will be under no obligation to provide services for the cancelled classes, and the City will have no further obligations to pay Provider compensation for the remaining classes that were cancelled in that session. CLASS FEES A. Each participant shall pay class registration fees as established by City. B. Provider may not waive class participation/registration fees. C. Only registered participants may participate in class. D. Any refunds to participants will be made in accordance with City policy. E. Any materials fee shall be established by mutual agreement of City and Provider and shall be payable directly to Provider.
