THIS FIRST ADMENDMENT to the above -referenced agreement is entered into on October 13, 2023 by
and between Department of Civic Things, a California limited liability company ("Consultant"), and the
City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution
and laws of the State of California ("City").
RECITALS
A. The parties entered into Agreement No. N-2023-086 ("Agreement") on April 18, 2023 for
Consultant to provide services regarding municipal websites to better meet the needs of the
community and the City departments.
B. The Agreement runs through December 31, 2023 and is current and in -effect.
C. The parties now wish to amend the Agreement to extend the term of the Agreement and increase
the overall compensation to pay for services covering the extended term.
NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and
conditions of said agreement, except as herein modified, the parties agree as follows:
Section 2.a., Compensation, is hereby amended to increase the overall compensation by an
additional $10,000.00 to cover costs during the extension of this Agreement, defined below. The
total amount to be expended for the entire term of this Agreement shall not exceed $32,400.00.
2. Section 3, Term, is hereby amended to extend the term of the Agreement for an additional one
year from January 1, 2024 through December 31, 2024.
Except as modified by this First Amendment, all terms and conditions of the Agreement, as
amended, shall remain in full force and effect.
IN WITNESS THEREOF, the parties hereto have executed this First Amendment to the Agreement on the
date and year first written above.
