THIS AGREEMENT is entered into between the City of Santa Ana, a charter
city and municipal corporation organized and existing under the Constitution and laws of
the State of California (hereinafter "City") and The Santa Ana Unified School District, a
political subdivision of the State of California (hereinafter "Owner").
The parties agree as follows:
Owner is the owner of certain real property located south of the intersection of Lowell
Street and Segerstrom Avenue, (A.P. # 410-012-06) in the City of Santa Ana, California.
On condition that the Owner first dedicate to the City a certain portion of that property
for public street, traffic signal and wheelchair ramp purposes by executing and delivering
to the City a deed in the form of Exhibit A, attached hereto, the City agrees to install
certain improvements and to restore and replace certain improvements on Owner's
property, as specified in Exhibit B, attached hereto, within 24 months of the date of the
delivery of the duly executed deed of the City.
Owner grants to the City and its agents a license to enter upon Owner's property as
necessary to construct the improvements specified in Exhibit B. The City agrees to
indemnify, hold harmless and defend the Owner from and against any claims or liability
for personal injury or property damage arising out of the activities of the City or its
agents pursuant to this Agreement. The City further agrees that Owner's property shall
be left clean and free of debris caused by the work upon completion of the work.

PLANNED IMPROVEMENTS FOR
LOWELL STREET AND SERGERSTROM AVENUE INTERSECTION
The following improvements will be made at the intersection of Lowell Street and Sergerstrom
Avenue, contingent upon property dedication as described in the Street Right-of-Way Dedication
Agreement and attachments.
The improvements will include:
1. The installation of traffic signals on the Southeast and Southwest comers of said
intersection.
2. Installation of wheelchair accessible ramps on the Southeast and Southwest comers of
said intersection.
3. Relocation of the existing chain link fence and the existing gate to the proposed property
line.
