HomeMy WebLinkAboutFRIENDS OF THE SANTA ANA ZOO A-1998-120 - TRAINAGREEMENT BETWEEN THE CITY OF SANTA ANA AND THE t FRIENDS OF THE SANTA ANA ZOO FOR THE ACQUISITION, INSTALLATION AND OPERATION OF A TRAIN RIDE AT THE SANTA ANA ZOO This Agreement, made and entered into this6V,- day of 1999, by and between the City of Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and laws of the state of California ("CITY"), and the Friends of the Santa Ana Zoo, a California non-profit corporation ("FOSAZ"). WITNESSETH WHEREAS, the FOSAZ, a California non-profit organization is generating support, revenues and donations for the CITY, to operate and develop the Santa Ana Zoo, and WHEREAS, the CITY and the FOSAZ are interested in acquiring and operating a children's train ride in the Santa Ana Zoo, and, WHEREAS, the FOSAZ are interested in executing the contract to acquire, install, operate, and maintain the train ride, and, WHEREAS, the CITY agrees to pay for transportation and installation of the train ride in the Santa Ana Zoo. NOW, THEREFORE, in consideration of the mutual promises, covenants and agreements herein set forth, the parties do hereby agree as follows: 1. SCOPE OF SERVICES CITY shall: A. Approve the operation of a train concession at the Santa Ana Zoo. B. Pay for the dismantling of the train at its current location, as well as transportation and installation of the train, passenger cars and tracks at the Santa Ana Zoo. C. Assist the Friends of the Santa Aria Zoo in providing a layout or plans on the location of the train ride and tracks to minimize any impact to the Zoo Master Plan. D. Perforna quarterly inspection of train operation with FOSAZ designated safety person, FOSAZ shall: A, Negotiate acquisition of a train, passenger cars and tracks to be installed at the Santa Ana Zoo. B. Execute all contractual agreements and pay for all costs associated with the acquisition of the train and tracks. ZooTrain. Agr. 8114198 Page 1 qf 5 C. Provide technical assistance for the dismantling, transportation, installation and maintenance of the train. D. Prepare and perform a regular maintenance program on the train and associated equipment to ensure the successful daily operation of the train ride. E. Pay for all costs associated with the maintenance and daily operations of the train ride. F. Receive all revenue generated by the train concession. G. Communicate closely with CITY and Zoo staff concerning the installation, operation and maintenance of the train concession. H. Provide a designated safety person to prepare schedule and perform regular inspection on the train operation and tracks. II. OWNERSHIP The train and all associated equipment purchased by the Friends of the Santa Ana Zoo shall remain the property of the Friends of the Santa Ana Zoo. If for any reason the Friends of the Santa Ana is abolished, all fixed equipment shall revert to the CITY for continued Zoo operation. III. OPERATION AND MAINTENANCE OF TRAIN CONCESSION The FOSAZ shall provide to the CITY a schedule of operation and maintenance of the train concession. A designated safety person identified and provided by FOSAZ (before each operation and public use) shall inspect all equipment and tracks. The FOSAZ shall provide to the CITY quarterly reports of maintenance, operation and safety records on the train concession. The FOSAZ shall permit, at any time and as often as CITY deems necessary, CITY and/or its authorized representatives to inspect the train operation and equipment. IV. INDEPENDENT CONTRACTOR It is expressly agreed that in the performance of the services necessary to carry out this Agreement, the CITY shall be, and is, an independent contractor, and is not an agent or employee of FOSAZ. CITY has and shall retain the right to exercise full control and supervision of the services, and full control over the employment, direction, compensation and discharge of all persons assisting CITY in the performance of CITY's services hereunder. CITY shall be solely responsible for all matters relating to the payment of its employees, including compliance with social security, withholding and all other regulation governing such matters, and shall be solely responsible for CITY's own acts and those of CITY's subordinates and employees. Likewise, FOSAZ is a separate independent entity from CITY and has full responsibility for the services and obligations required hereunder of FOSAZ. V. TERMINATION This Agreement may be terminated immediately for cause or by either party without cause, upon thirty (30) days written notice of discontinuance and termination of said Agreement, Such notice shall be made in accordance with Section X of this Agreement. AUDITS AND INSPECTIONS FOSAZ shall permit, at any time and as often as CITY deems necessary, CITY and/or its authorized representatives to have access to FOSAZ books, records, accounts, and any and all data relevant to this Agreement, for the purpose of making an audit or examination for a period of four (4) years following the fiscal year of the last expenditure under this Agreement. FOSAZ shall permit and facilitate observation and inspection of the work and records at the FOSAZ principal office and job site by CITY, its employees, agents, public authorities and other designees, during reasonable business hours. CITY and FOSAZ acknowledge that all records related to expenditures concerning the train ride are subject to public review. VII. INSURANCE FOSAZ agrees to assume total responsibility for all liability claims, as related to the transportation, ownership and operation of the train concession. The FOSAZ shall carry automobile liability and commercial general liability insurance, with certificates naming the City of Santa Ana, its officers, agents, employees and volunteers as additional insured(s). VIII. CONFLICT OF INTEREST The following protections against conflict of interest will be upheld: A. CITY and FOSAZ certify that no member, officer, or employee of the CITY and FOSAZ, their designees or agents, and no other public official of CITY and FOSAZ who exercises any functions or responsibilities with respect to the programs or projects covered by this Agreement, shall have any interest, direct or indirect in this Agreement or in any construction/consultant agreements made, or in the proceeds therefrom during his/her tenure or for one year thereafter. B. CITY and FOSAZ certify that no one who has any financial interest in this Agreement or receives compensation for services from CITY or FOSAZ is related by blood or marriage within the third degree to the Mayor or any one or more of the members of the City Council, City Manager, or the head of the department and FOSAZ Board of Directors to which these services are to be provided pursuant to this Agreement. C. FOSAZ shall incorporate, or cause to be incorporated, in all sub -agreements for work to be performed under this Agreement a provision prohibiting such interests pursuant to the purpose of this section. IX. ASSIGNMENT FOSAZ shall not assign or otherwise transfer any rights, duties, obligations or interest, in this Agreement or arising hereunder to any person, persons, entity or entities whatsoever without the prior written consent of CITY and any attempt to assign or transfer without such prior written consent shall be void. Consent to any single assignment or transfer shall not constitute consent to any further assignment or transfer. X. NOTICES If either party shall desire or be required to give notice to the other, such notice shall be given in written, by prepaid U.S. certified or registered postage, addressed to recipient as follows: ZooTrain. MODIFICATION This Agreement may be modified or amended only by a written document executed by both FOSAZ and CITY, and approved as to form by the City Attorney. XII. DESIGNATED REPRESENTATIVE The Executive Director of the Parks, Recreation and Community Services Agency, or his designated representative shall be the person who will represent CITY in all liaisons with FOSAZ. The Executive Director of FOSAZ shall be the individual responsible for and representing FOSAZ in all liaisons with CITY. XIII. LAWS GOVERNING THIS AGREEMENT This Agreement shall be governed by and construed in accordance with the laws of the state of California. XIV. VALIDITY The validity in whole or in part of any provision of this Agreement shall not void or affect the validity of any other provision of this Agreclnent. ZooTrain. The Friends of the Santa Ana Zoo (FOSAZ) is a non profit organization that has greatly assisted the Santa Ana Zoo's marketing and fund raising efforts to enhance the zoo's development and operation. FOSAZ currently operates the zoo's gift shop and have been successful in coordinating various zoo events to generate revenue for the zoo. The closure of Santa's Village gave FOSAZ an opportunity to acquire a miniature train at a favorable cost. FOSAZ is requesting City approval to operate this train concession at the zoo. FOSAZ will pay the cost of the operation and maintenance of the train concession. The City has budgeted $20,000 to dismantle, transport and install the train equipment at the ZOO. All revenue generated from the train concession will be collected and retained by FOSAZ to cover the cost of the train operation and for promoting and developing the Santa Ana Zoo. To accommodate the route of the train ride, a portion of the zoo perimeter fence must be relocated. The fencing relocation is consistent with the approved Santa Ana Zoo Master Plan and will be paid for by FOSAZ. The fence relocation will result in the loss of a public grass area on the southwest corner of the property. This area is identified as a future exhibit area in the Santa Ana Zoo master plan. FOSAZ is proposing to develop a new Children's Zoo on the southwest corner of the property. This improvement will be funded and operated by FOSAZ.
