3 197Z. by and between the CITY OF 3AMTA ANA, a Municipal corporation,
4 hereinafter designated ss''SANTA AMA", and CITY OF GARDEH GROVE, a
5 Municipal corporation" hereinafter designated as "Garden Grove".
6 RECITALS
7 Considerable traffic con;estian presently exists and is progressively
8 increasing at the intersection of Westminster Avenue and Clinton Street.
9 A study has teen ccip!eted and tie conclusion drawn that traffic
10 conditions at said intersection xarrant the installation of a traffic
II signal and intersection lighting system for the proper and orderly movement
12 of traffic.
13 Garden Grove is willing to conperute with Santa Ana in the
14 installation of the traffic signal and intersection lighting sysiem' and
15 Santa Ana is willing to cooperate with Garden Grove in these matters and
16 contribute to the maintenance of said system subsequent to their installation:
I7 The intersection is to be improved with u traffic signal anJ intar-
I8 section lighting system and associated rood work. Said work of imprnvsment
29 shall be referred to hereinafter as the Project.
20 NOW, TH[REF[RE, D IS AEREED by the parties hereto as follows:
@I l. GARDEN GROVE shall:
22 A. Prepare the detailed plans, specifications and estimate
23 for the Project.
24 B. Prepare map and deed for all necessary additional rig4t
25 of way.
25 C. Have jurisdiction of the construction.
27 D. Be and is hereby designated as the contracting and
28 construction agent fnr the parties to do and perform all
29 acts andtMn]sxecessary or required in order to coostrucr
30 the Project in accordance with the plans and specifications,
211 including material control, inspection of the construction

or required in connection with the construction and
2 completion of said Project, including certificate of day
3 labor, equipment and material costs, and certification of
a completion oil the Project.
5 2_. Santa Ana shall
6 A. Approve plans and specifications as to design and con-
7 struction features affecting the construction,operation
8. and maintenance of the portion of the Project within
9 Santa Ana.
10 S. Approve reap and dead of right of viay and make all the
11. necessary arrangements to acquire the right of way for its
12 portion of the Project and shall certify to Garden Grove
13 prior to the Garden Grove City Council approving the Project.
14 . plans and specifications, that such acquisition has been
15accomplished.
16 C. At all times during the progress of -construction of the
1.7 Project have access to the work for the purpose of inspection
18 thereof and should. Santa Ana deem any ren,.edial measures
is to be necessary, Santa Ana shall no.tify Garden Grove thereof.
20 3. Upon completion of the Project, any and all road work necessary
21 in connection with the Project, shall be paid for by the respective parties
22 on the basis of the actual work done within the limits of their respective
23 jurisdictions.
24 4. Upor, completion of the Project, Santa Ana's share of the
25 traffic signal and intersection lighting system installation will be
25 determined in the same ratio to the total cost of such system as the
27 number of legs under Santa Ana's jurisdiction entering the intersection
28 are to the total number of legs entering the. ntersection.
29 5. For the purpose of deteraining the proportionate share of the
3� Project cos'cs to be borne by the respective parties hereto the City limits
31 and the number of legs entering the intersection under the jurisdiction of
32 each party shall be established as those existing at the time the

Garden Grove City Council adopts the Resolution approving the Project
plans and specifications for advertising for bids.
6^ Upon cumpletfon of the Project, Garden Grove agrees to submit
full, true and correct copies of documents, certificates and itemized
bills to Santa Ana and Santa Ana shall reimburse Garden Grove within
30 days upon submission of statement of such costs for the full cost of
the construction as defined in paragraphs 3 and 4 hereof.
7. Santa Ana's share of the design, survey and construction
engineering costs shall be lO� of Santa Ana's proportionate share of
the construction and installation contract costs.
8. All construction and installation costs shall be based on the
contract unit costs.
9. Upon completion of the Project, said traffic signal shall be
maintained and operated by Garden Grove. The maintenance and operational
costs for said traffic signal shall he borne by the parties hereto and shall
be based on the actual maintenance and operational costs incurred; each
party's share of said cost shall be in the some ratio to the total cost

as the number of legs under, each party's j6risdiction entering the
intersection bears to the total number of legs entering the intersection
said ratio shall be determined from the actual location of the City
limits as they exist at the time the maintenance and operational costs
are incurred.
IN WITNESS �,IHEREOF, - Garden Grove has causeci this Agreement to be
executed by its Mayor` and attested by its Clerk, and Santa Ana has
caused this Agreoneot to be. executed by its Mayor and attested by its
Clerk, all Lhereunto duly authorized by Minute Order of the respective
