AGREEMENT
THIS AGREEMENT, mad* and entered into this l%th day of
April lg 55 ' BY AND BETWEEN CITY OF SANTA ANA, a
municipal corporation, hereinafter
designated as ''SANTA ANA'.'
CITY OF GARDEN GROVE, a municipal
corporation, hereinafter designated
as'GARDEN GROVE./
RECITALS
Considerable traffic congestion presently exists and is progressively
increasing at the intersection ofFairview Street and Trask Avenue.
A study has been completed and the conclusion drawn that traffic
conditions at said Intersection warrant the installation of o traffic
signal and intersection lighting system for the proper and orderly move-
ment of traffic.
GARDEN GROVE is willing to cooperate with 3ANT8 ANA In the Installation
of the traffic signal and intersection lighting system, and GARDEN GROVE Is
willing to cooperate with SANT8 ANA 'in these matters and contribute to
the maintenance of said system subsequent to their installation;
The intersection is to be improved with a traffic signal and inter-
section lighting system and associated road *mrk. Said work of Improve-
ment shall be referred to hereinafter as the Project~
NOW THEREFORE IT IS AGREED by the parties hereto as follows:
l° SANTA ANA SHALL;
A. Prepare the detailed plans^ specifications and estimate for the
Project.
B" Prepare map and deed for all necessary additional right of way~
C. Have jurisdiction of the construction area within SANTA ANA and
GARDEN SK0VE,
D. Be and is hereby designated as the contracting and construction
agent for the parties to do and perform all acts and things
necessary or required in order to construct the Project in
accordance with the plans and specifications, |nciuding material

III control, inspection of the construction work, and to execute and

2 1 deliver all documents necessary or required in connection with the
3 construction and completion of said Project, including certificate
4 of day labor, equipment and material costs, and certification of

acquisition has been accomplished.
Cam, At all times during the progress of construction of the Project
7' have access to the work for the purpose of inspection thereof
and should GARDEN GROVE deem any remedial measures to be

necessary, GARDEN GROVE shall notify SANTA ANA thereof..
261) Upon completion of the Project, any and all road work necessary in

jurisdiction of GARDEN GROVE shall be established as those existing at
the time the S8NTA ANA CITY COUNCIL adopts pprovinq the
Project plans and specifications for advertising for bids.
6. Upon completion of the Project, SANTA ANA agrees to submit full,
true and correct copies of documents, certificates and itemized bills
to GARDEN GROVE, and GARDEN GROVE shall reimburse 8ANTA ANA within 38
days upon submission of statement of such costs for the full cost of the
construction as defined in paragraphs 3 and 4 hereof.
7° All construction and installation costs shall be based on the contract
unit cost.
8, GARDEN GR8VE»3 share of the design, survey and construction engineering
costs shall be ]O% of GARDEN GRVVE:S proportionate share of the construction
and installation contract costs..
B. After the completion of the Project, the traffic signals shall be,
maintained by 6ANTA ANA and GARDEN GROVE shall pay to SANTA ANA upon
submission of said costs the maintenance and energy costs in the same
ratio 'to the total cost as the number of legs under GARDEN GROVES juris-
diction entering the Intersection are to the total number of legs enter-
ing the intersection.
IN WITNESS WHEREOF, S8NTAA#A has caused this Agreement to be executed
by its Mayor, and attested by Its Clerk, and GARDEN GROVE has caused
this Agreement to be executed by Its Mayor and attested by its Clerk,
all thereunto duly authorized by Minute Order of the City Councils,
respectively on the date written opposite their signatures.
