I'l d" day of,]W,45,pin 4v 2002, by and between Imageware Systems, Inc. ("IWS") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and the Laws of the State of California ("CITY"). WITNESSETH Recitals: A. CITY AND IWS entered into an agreement dated February 1, 2001 by which IWS agreed to provide an automated mug/photo system. B. The First Amendment to Agreement, No. 2002-02, modified the cost of maintenance. G The Parties now desire to amend the Agreement again to add an additional scope of service for hardware replacement, add an additional $37,000 to the compensation and amend the cost ofi-naintenance. WHEREFORE, in consideration of their mutual and respective promises, and subject to the terms and conditions of the Agreement as hereby amended, the pal -ties hereby agree as follows: Section 2.15 shall be added to the Agreement to read as follows: "2.15 hardware Replacement, IWS shall provide hardware replacement and associated software as detailed in Exhibit C." Exhibit "C" shall be attached to the Second Amendment. 2. Exhibit A of the Agreement and First Amendment shall be replaced with Exhibit A attached to this Second Amendment. 3. An additional $37,000 is added to the total amount of compensation to cover the cost of the hardware upgrade and associated software and the cost of maintenance as reflected in Exhibit A and Exhibit C. 4. Except as hereinabove modified, the terms and conditions of the Agreement and the First Amendment remain in full force and effect.
