K-'-OT, 0AIE THIRD AMENDMENT TO RENEWAL SOFTWARE AND HARDWARE MAINTENANCE AGREEMENT THIS SECOND AMENDMENT TO RENEWAL SOFTWARE AND HAR 'WARE 'R MAINTENANCE AGREEMENT "Third Amendment, made and entered into this -Z�� day of J'J't 1� 2004, by and between huageware Systems, Inc. ("IWS") and the City of Santa Ana, a charte city and municipal corporation organized and existing under the Constitution and the Laws of the State of California ("CITY"). WITNESSETH Recitals: A. CITY AND 1WS entered into an agreement dated February 1, 2001 by which IWS agreed to provide an automated mug/photo system. B. The First Amendment to Agreement, No. 2002-02, modified the cost of maintenance. C. The Second Amendment to Agreement, No. A- 2002-223, modified the cost of maintenance D. The Parties now desire to amend the Agreement add an additional $18,000 to the compensation and amend the cost of maintenance. WHEREFORE, in consideration of their mutual and respective promises, and subject to the terms and conditions of the Agreement as hereby amended, the parties hereby agree as follows: 1. Exhibit A of the Agreement and Second Amendment shall be replaced with Exhibit A attached to this Third Amendment. 3. An additional amount not to exceed $18,000 is added to the total amount of compensation to cover the cost of the maintenance as reflected in Exhibit A. 4. Except as hereinabove modified, the terms and conditions of the Agreement and the First Amendment remain in full force and effect.
