Home My WebLink AboutORICOMPURCHASE CONTRACT THIS CONTRACT, made and entered into this 1st day of August, 1996, by and between McBAIN INSTRUMENTS hereinafter referred to as "CONTRACTOR", and the City of Santa Ana, municipal corporation of the State of California, P.O. Box 1988, M-16 Santa Ana, Ca 92702 hereinafter referred to as "CITY". 1. TIME _ R DELIVERY The delivery to be performed pursuant to this agreement shall be complete Sixty days after receipt of Order. 2. SCOPE OF SERVICES For and in consideration of the hereinafter stated payment by CITY to CONTRACTOR, CONTRACTOR agrees to provide the following: I. Provide one Leica Model M26 Stereo Microscope and one Leica Forensic Comparison Microscope, in an amount not to exceed $63,500. II. TECHNICAL CONSULTATION: CONTRACTOR will be available for technical consultation in matters pertaining to the use and maintenance of all equipment ordered and/or changes in current specifications, requirements and/or other related information. III. COVERAGES: CONTRACTOR will warrant the following under this agreement: 1. CONTRACTOR will be responsible for the installation, training, and setup of all equipment. e 2. All items will be in working order and free of defects and undamaged at time of receipt by CITY. 3. All items that are non -working, defective or damaged (at time of delivery) shall be returned to the CONTRACTOR and replaced, at no cost to the CITY. 4. All items will have a 1 year Electric warranty, a 2 year Mechanical warranty, and a 5 year Optical warranty as specified by the CONTRACTOR. 5. Repairs for non -working or damaged items after the initial period shall be in accordance with the individual warranty for each item. IV. EXCLUSIONS: Those items which prove to be non -working or damaged through negligence on the part of the CITY or its employees are excluded from the warranty coverage and repair clauses. 4. COMPENSATION City agrees to pay, and CONTRACTOR agrees to accept for said services, a per item charge in accordance with Exhibit A. The total sum payable hereunder shall NOT EXCEED $63,500 for all items and services. CONTRACTOR shall submit a detailed invoice showing items shipped and received by CITY and services performed. Payment by CITY shall be within (30) days following receipt of said invoice for items and services received and accepted, subject to CITY accounting procedures. 2 S. MISCELLANEOUS PROVISIONS A. CONTRACTOR will not discriminate against any employee, or applicant for employment, because of race, color, religion, sex, marital status, or national origin. CONTRACTOR will take affirmative action to ensure that applicants are employed and that that employees are treated during employment, without regard to their race, color, religion, sex, marital status, or national origin. Such action shall include, but not be limited to the following: employment, upgrading, demotion or transfer, recruitment, or .recruitment advertising, layoff or termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. 6. HOLD HARMLESS CLAUSE CONTRACTOR agrees to indemnify and hold harmless CITY, its officers and employees, from any and all loss or damage, and from any and all suits, actions and claims filed or brought by any person or persons, however caused, arising out of CONTRACTOR'S negligent performance or failure to perform, and any and all things necessary to and required to be done by CONTRACTOR, pursuant to the specifications of this Agreement.
