This license and right of entry is dated September 24,2024 for identification purposes. I/we,the City of Santa Ana,
D PW O as the legal owner("Owner") of the properties located at 1111, 1217,and 1221 North Bristol Street(Assessor
Eyyti ijrpnKsiohla)Parcel Number 405-274-10, 11,and 12),and 1240 West Washington Avenue(Assessor Parcel Number 405-274-13),
in the City of Santa Ana,County of Orange(collectively the"Properties"),does hereby grant to the Southern
California Edison Company,a California Corporation(collectively referred to as the"SCE"),the right to enter the
Properties and hereby grants to SCE a License and Right-of-Entry for the following purpose:
Conduct environmental testing by taking soil samples,and if necessary'remediate by shallow soil
excavation,and hauling away contaminated soil. See site location in the attached EXHIBIT A.
SCE agrees to indemnify,defend,and hold harmless the Owner from and against any and all actions,suits,claims,
demands,judgments,losses,expenses,or liabilities, injuries and damages to persons and property,including
death, arising out of or related to SCE's use of the Properties or the entry by any SCE party on the Properties,
including without limitation,SCE's guests, invitees,or contractors. SCE further agrees to repair any damage to the
Properties caused by the exercise of this License and Right of Entry at its sole cost and expense,and to restore the
Properties,with the exception of any improvements left thereon,as nearly as practicable to the state in which it
existed prior to the use of the Properties by the SCE.
The rights herein granted to SCE,are exclusive,and SCE agrees not to assign,transfer, lease, pledge,or otherwise
dispose of its License and Right-of-Entry without the prior express written approval of the Owner.
This License and Right of Entry shall expire upon completion of said work,and in any event, no later than
December 15,2024,unless terminated earlier or extended by written agreement between the Owner and SCE.
