RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
SANTA ANA, CALIFORNIA, RECOMMENDING TO THE
ORANGE COUNTY CIVIC CENTER AUTHORITY THE
ACCEPTANCE OF THE BID OF MERRILL LYNCH, PIERCE,
FENNER & SMITH, INC. AND ASSOCIATES TO PURCHASE
THE $3,500,000 PAR VALUE 1972 REFUNDING REVENUE
BONDS OF THE ORANGE COUNTY CIVIC CENTER AUTHORITY
WHEREAS, the Governing Board of the Orange County Civic
Center Authority, on September 30, 1970, duly adopted its Resolution
No. 27 entitled "Resolution of the Governing Board of Orange County
Civic Center Authority Constituting Its Indenture Providing the Terms
and Conditions for the Issuance of $5,470,000 Principal Amount of
Orange County Civic Center Authority 1970 Revenue Bonds"; and
WHEREAS, the Governing Board has duly issued, sold and
delivered said $5, 470, 000 principal amount of revenue bonds; and
V~rIEREAS, the City Council of the City of Santa Arm adopted its
Resolution No. 72-98 requesting the Orange County Civic Center Authority
to proceed with a program of refinancing $3, 410,000 plus premium of the
Orange County Civic Center Authority $5, 470,000 1970 Revenue Bonds
as aforesaid; and
WHEREAS, The Orange County Civic Center Authority pursuant
to this request duly adopted its Resolutions numbered as follows:
No. 51 entitled "Resolution of the Governing Board of the Orange
County Civic Center Authority Constituting its Indenture Providing the
Terms and Conditions for the Issuance of $3,500, 000 Principal Amount
of Orange County Civic Center Authority 1972 Refunding Revenue Bonds";
No. 52 entitled "Resolution of the Governing Board of the Orange
County Civic Center Authority Directing the Secretary to Publish Notice
Inviting Sealed Bids for the Purchase of $3,500,000 1972 Refunding
Revenue Bonds'!;
No. 53 entitled "Resolution of the Governing Board of the Orange
County Civic Center Authority Approving the Form of and Directing the
Execution of a Certain Escrow Agreement";
No. 54 entitled "Resolution of the Governing Board of the Orange
County Civic Center Authority Approving a Certain Amendment to Santa
Ana City Hall Lease and Consenting to Amendment Required Under Bond
Resolution No. 27"; and
No. 55 entitled "Resolution of the Governing Board of the Orange
County Civic Center Authority Approving a Certain Official Statement";
and
WHEREAS, the City Council of the City of Santa Ana Adopted its
Resolution No. 72-110 entitled "Resolution of the City Council of the
City of Santa Ana, California, Approving a Certain Amendment to Santa
Ana City Hall Lease; and
WHEREAS, The Orange County Civic Center Authority duly
published notice inviting bids on the said Refunding Revenue Bonds;
and
WHEREAS, bids were received and opened on Thursday,
November 2, 1972, at 10:00 o'clock A.M. at the office of the City
Clerk of the City of Santa Ana; and
WHEREAS, we hereby determine that the bid of Merrill Lynch,
Pierce, Fenner & Smith, Inc. and Associates is the lowest and best
bid;
NOW, THEREFORE, the City Council of the City Of Santa Aha,
California does hereby resolve, determine and request as follows:
that the bid of Merrill Lynch, Pierce, Fenner & Smith, Inc. and
Associates be accepted by the Orange County Civic Center Authority.
ADOPTED, SIGNED AND APPROVED this 2nd day of
November, 1972.

Clerk of the Council of the City of Santa Aha; that the foregoing
Resolution was introduced to said Council at its adjourned regular
meeting held on the 2nd day of November, 1972, and was at said
