"CITY OF SANTA ANA ~i~O~'ATE RESOLUTION TO OBTAIN BANKAMERICARD ACCOMMODATIONS WHEREAS, this corporation, CITY OF SANTA ANA desires to obtain financial accommodations from BANK OF AMERICA NATIONAL TRUST AND SAVINGS ASSOCIATION, (hereinafter called BANK), pursuant to the use of a number of BANK's credit cards (hereinafter called BankAmericards) by the officers and agents of this corporation; and WHEREAS, this corporation intends to authorize its officers and agent~ to use such BankAmericards for and ia connectionwith corporate business; and WHEREAS, BANK will not extend such accommodations by issuing such BankAmericards unless this corporation agrees to assume sole responsibility for the use of such BankAmericard~ or any of them, and to pay BANK for all indebtedness incurred by use of such Bank~mericards or any of them~ whether such use or indebtedness was authorized or unauthorized by this corporation. NOW, THEREFORE~ be it resolved that this corporation apply to BANK for the issuance of a sufficient number of BankAmericards as, in the judgment of the officer .or offices hereinafter authorized, this corporation may require; RESOLVED FURTHER, that FLORENCE I, MAI,O~F, , the ~K~I~(~ of ~ho Council , ~=~a~d-== ................. ~-~m~ ~i*t~l~=~ea~ of this corporation be and ~ hereby ~ authorized, directed and empowered, in the name of this corporation, to apply to BANK for the issuance of such BankAmericards and to execute such application forras and agreements to pay all indebtedness incurred by use of such BankAmericards, whether authorized or unauthorized, as BANK may require. GOW Cit,/Attome), 4O CORPORATE BANKAMERICARD AGREEMENT TO: BANK OF AMERICA NATIONAL TRUST AND SAVINGS ASSOCIATION The undersigned corporation, (hereinafter called the "Company"), whose principal place of business is at 20 Civic Center Plaza, Santa Ana, CA 92701, , will from time to time request in writing that you issue BankAmericards to and in the name of the Company. The Company hereby agrees to assume sole responsibility for use of any Bank- Americard so issued and to pay you all indebtedness incurred by the use of any such BankAmer- icard up toand including thedate anysuch BankAmericard expires in accordance with the expiration datethereon or isreturned to your possessionbythe Company, or in the event such card(s) is lost, the date you are so notified in writing, whether or not such use or indebtedness incurred thereby was authorized and without any duty or obligation on your part to inquire as to the circumstances of such use, or to ascertain the genuineness of any signature on any instrument of agreement evidencing such use or indebtedness. Companyfurther agreesto immediately notify you in writing of any organizational change, including, but not limited to, merger, consolidation, reorganization, commencement of doing business as successor partnership or sole proprietorship. The Company agrees (1) to notify you promptly in writing of the loss of any Bank- Americard; (2) that any and all BankAmericards issued hereunder may be cancelled by you at any time; (3) to surrender any arid all BankAmericards upon demand; (4) to waive and release you from all defenses, rights and claims the Company may have against any merchant or company honoring any BankAmericard; and (5) that any claim by you against the Company shall at your opt ion become im- mediately due and payable if theCompany fails to perform any terms hereof or make any payments as otherwise agreed. The Company agrees to pay Bank the amount of all credit extended on the basis of the BankAmericard account together with such finance and other charges then applicable to Bank's BankAmericard program as from time to time in effect, This agreement shall be binding upon the successors and assigns of Company.
