A-2002-144 AMENDMENT TO AGREEMENT THIS AMENDMENT, made and entered into this 16th day July, 2002, by and between SYMCO Group, Incorporated ("Vendor") and the City of Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and laws of the State of California ("City"), collectively referred to herein as "the Parties". RECIIALS A. The Parties entered into that certain agreement entitled" AGREEMENT BETWEEN THE CITY OF SANTA ANA AND SYMCO Group, Incorporated dated 18th day September, 2001, hereinafter referred to as "said Agreement", for providing telecommunications products and services. B. All terms and conditions more fully set forth in the SYMCO "Equipment Maintenance Agreement, Agreement Number 18980724, shall have full force and effect in this Agreement. C. The Parties hereto now desire to amend the Exhibit A of said agreement, the Compensation term of said Agreement and the Term of said Agreement in order to in order to provide continuous uninterrupted service under the Agreement. WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as follows: 1. Section 1, of said agreement, pertaining to Terms and Conditions, Exhibit A of said agreement is hereby amended as set forth attached hereto as Exhibit A, Revision 1, and incorporated by reference. Section 1, of said agreement, pertaining to Terms and Conditions of said agreement is hereby amended to include Exhibit C and incorporated by reference. 2. Section 3, of said agreement, pertaining to "Compensation" term of said Agreement is hereby amended to reflect an increase in compensation which shall not exceed $85,000, with terms more fully defined in Exhibit A as revised herein, due to an unexpected increase in the City's need for the Consultant's services under said Agreement. 3. Except as hereinabove modified, the terms and conditions of said Agreement remain unchanged and in full force and effect. SUPPLIES Maintenance charges do not indude the furnishing of supplies (such as ribbons, cards, paper tape, paper forms, or m39netic tape). Only supplies which meet Unisys specifications shall be used by CUSTOMER when the performance or maintenance of the equlpmant may be affected. 5. SHIPMENT OF EQUIPMENT (IF DEPOT MAINTENANCE) a. The parties agree that the method of equIpment packaging and shipment both to and from the Service Depot, shall be in accordance with commercially reasonable standards, consistent with the nature of the equipment and the hazards of transportation and handling. CUSTOMER agrees to package the equipment along with its service log In an authorized SYMCO container for shipment to the Service Depot. SYMCO agrees to return the serviced equipment to the CUSTOMER in an authorized SYMCO container. b. All b"ansportation expenses will be oome by CUSTOMER. 6. CHARGES AND PAYMENTS a. CUSTOMER agrees to pay maintenance charges upon submission by SYMCO of a correct Invoice thereof, Invoices shall be submitted on or aboul the first day of each period for which services are to be provided. GENERAL CONDITIONS a. The equipment must be in good operating condition on the El't'ectlve Date of this Agreemenl b. SYMCO Is nol obligated under the terms of this Agreement to repair damage to equipment caused direclly or indirectly as a result of accident, negligence, or abuse of or by CUSTOMER or third parties, failure of CUSTOMER to maintain required environmental conditions; c:auses external to the system such as electrical power fluctuation or faRures; fire, windslcrm, the elements, or acts of God. Such repair will be rendered upon specific order by CUSTOMER, and after approval by CUSTOMER of the estimated charges thereof. c. This Agreement shall be transferable with the consent of SYMCO and CITY OF SA,NTA ANA, and upon transfer shall remain in effect until terminated as herein provided. d. IN NO EVENT SHALL SYMCO BE LIABLE FOR LOSS OF PROFITS, INDIRECT, SPECIAL, CONSEQUENTIAL OR OTHER SIMILAR DAMAGES ARISING OUT OF ANY BREACH OF THIS AGREEMENT OR OBlIGATlON UNDER THIS AGREEMENT. e, This Agreement may not be amended except In writing signed by an authorized representative of CUSTOMER and SYMCO. Title of the equipment is to remain vested in Seller until the full purchase price has been paid. Failure to pay the purchase price when due shall give the Seller the right, without liability, to repossess equipment with or without notice, and to avail itself of any legal remedy. Recognizing that in the event of breach, actual damages would be difficult, if not impossible to ascertain, the parties hereto agree that Seller shall also be entitled as liquidated damages, and not as a penalty, to twenty percent (20%) of the purchase price of such equipment, as well as the amount of all attorney's fees actually incurred by Seller in collecting such amounts or in repossessing equipment. 8. Seller warrants that it is the rightful owner of the equipment described herein, that there are no liens or encumbrances thereon and that Seller has the right and power to sell said equipment. 9. It is agreed that the laws of the State of Georgia shall govern without reference to the place of execution of performance of same. Any and all legal action must be transacted or brought in the courts of the State of Georgia. It consists of a feature and benefit page, pricing page, and our sales agreement with its associated addendum being the last page. 1 have attempted to keep it clear and concise. It may be clear to me but confusing to you, so do not hesitate to call me with any need for clarification and or further inf~rmation you may need. From the time you place the order, we can have the hardware delivered in thirty (30) days. We would arrange installation time based on City of Santa Ana's requirement and scheduling. We would adjust and appropriately prorate the maintenance pricing, depending on the removal of the old equipment. Maintenance charge would not be an issue until ninety (90) days after installation and acceptance. It looks like you have the necessary DLP's (Data Link Processors) in the System, so none is needed to be purchased for the Disk Systems. You will however need one DLP for the PNC Communications System you are contemplating. We can and will provide that DLP and its associated cabling and connector cards for $1,200.00. We will also provide the TDI Converter Units required, for $99.00 each. You need six, but 1 recommend you purchase seven as the manufacturer does not keep any on the shelf anymore, as the demand is not there as in the past.
