Recitals: A. The parties entered into Consultant Agreement No. A-2001-259, dated December 17, 2001, (hereinafter "said Agreement') by which Consultant has provided historic property resource identification, evaluation and documentation. B. The City, as an entitlement recipient and grantee of the United States Department of Housing and Urban Development ("HUD") Community Development Block Grant ("CDBG") Program, desires to expend a portion of CDBG funds allocated for the 2003-04 fiscal year, to continue Consultants services in historic preservation, in accordance with Title 24, Part 570 of the Code of Federal Regulations 24 CFR 570.000, et seq. ("CDBG REGS"). C. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term of said Agreement for an additional sil(month period, amend the Scope of Services, increase the compensation to pay for services during the extended term and provide a new notice address for Consultant. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to read as follows: "Consultant shall, through December 31, 2003, continue to perform those services as set forth in Exhibit A to said Agreement. Consultant shall also perform those services as set forth in Exhibit Al hereto, during the term from July 1, 2003 through June 30, 2004." 2. Section 2.a., COMPENSATION, shall be amended to read as follows: "City agrees to pay and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A to said Agreement and Exhibit A- 1, attached hereto, respectively. The total CDBG funds to be expended during the 2003- 04 fiscal year shall not exceed $72,224.00, which amount includes a ten percent (10%) contingency. The total amount to be expended during the entire term of said Agreement shall not exceed $176,024.00, which amount includes a ten percent (10%) contingency." 3. Section 3, TERM, shall be amended to read as follows: "This Agreement shall commence on December 17, 2001 and terminate on June 30, 2004, unless terminated earlier in accordance with Section 12, below. The term of this Agreement may be extended upon a writing executed by the Deputy City Manager for Development Services and the City Attorney." 4. Section 16, MISCELLANEOUS PROVISIONS, shall be amended to include a new subsection c., which will read as follows: "Consultant certifies that it is not listed on the Federal publication of debarred, suspended and ineligible contractors." 6. Anew Section 17, RECORD KEEPING/REPORTING, shall be added to read as follows: "Consultant shall keep and maintain complete and adequate records and reports to assist City in meeting and maintaining its record keeping responsibilities under the CDBG REGS, including the following: a. Documentation of all CDBG funds received from City. b. Documentation of expenses as identified in Exhibit A, including evidence of incurring the expense, invoices for goods or services, copies of any and all contracts or documentation pertaining to costs for subcontractors, plus all other invoices for which CDBG funds were expended, and any payments therefore. c. Any such other related records as City shall reasonable require or as required to be maintained pursuant to the CDBG REGS." 7. A new Section 18, SOURCE OF FUNDS, shall be added to read as follows: "Consultant acknowledges that the CDBG funds being provided by City for Consultant's services are received from HUD pursuant to Title I of the Housing and Community Development Act of 1974, Public Law 93-383, as amended ("ACT"), and that expenditures of these funds shall be in accordance with the ACT and all pertinent regulations issued by agencies of the federal government, including, but not limited to, all regulations found at Title 24 of the Code of Federal Regulations." 8. A new Section 19, LOBBYING, shall be added to read as follows: "Consultant certifies that it will comply with federal law (31 U.S.C. 1352) and regulations found at 24 CFR Part 87, which provide that no appropriated funds may be expended by the recipient of a federal contract, grant, loan or cooperative agreement to pay any person for influencing or attempting to influence an officer or employee of any agency, Member of Congress, or an officer or employee of a Member of Congress in connection with awarding of any federal contract, the making of any federal grant or loan, entering into any cooperative agreement and the extension, renewal, amendment or modification of any federal contract, grant, loan or cooperative agreement." 9. A new Section 20, DAVIS-BACON ACT, shall be added to read as follows: "The City and Consultant are aware of the requirements of the Davis -Bacon Act, as amended, 40 U.S.C. sections 276a — 276a-5, and certify that no construction work will occur in the performance of this Agreement." 10. A new Section 21, DRUG FREE WORKPLACE, shall be added to read as follows: "Consultant certifies that it has established the following drug -free workplace policy: 1. The unlawful manufacture, distribution, dispensing, possession or use of a controlled substance is prohibited in the workplace for any employee involved in a federally funded program. 2. As an employee working in conjunction with a federally funded program, the employees of Consultant will be required to: a) Abide by the terms of statement 1, above. b) Notify appropriate officials of Consultant and City officials of any criminal drug statute conviction for a violation occurring in the workplace not later than five days after such conviction. 3. The United State Department of Housing and Urban Development will be notified within ten days after receiving notice of any such violation. 4. Within 30 days of receiving such notice, appropriate personnel action will be taken against such employee, up to and including termination. Each such employee shall be required to participate satisfactorily in a drug abuse assistance or rehabilitation program approved for such purposes by a federal, state or local health, law enforcement or other appropriate agency." Box 1988, M-20 Santa Ana, CA 92702 Subject: Proposal and Budget for Historic Resources Consulting Services Year 3 (July 1, 2003- June 30, 2004) Dear Ms. DeRosa: Science Applications International Corporation (SAIL) is pleased to submit this revised time and materials proposal to continue to provide Historic Resources Consulting Services to the City of Santa Ana. The proposal consists of a Scope of Work based on conversations between City Staff and SAIC's Principal Investigator, Leslie Heumann, and an associated budget. It is our understanding that this new Scope of Work and budget will be executed in order to allow work to continue uninterrupted between the finalization of the current Year 2 agreement (as amended) and the proposed new project, which would take effect on July 1, 2003 for a one-year duration. SCOPE OF WORK Task 1. Categorizations. Categorize and prepare Santa Ana Register templates (i.e., the "Executive Summary" and the State of California "Primary Record" and "Building, Structure, and Object Record") for an average of 7 properties per month. The templates may be submitted, according to the City's schedule, on a monthly basis (7 templates) or bimonthly basis (14 templates). The following sub -tasks will be undertaken for each property: 1.1. Visit and digitally photograph site (15 minutes per site) 1.2. Provide preliminary categorization to Staff (15 minutes per site). Deliverable: Preliminary categorizations list. 1.3. Research using one or more of the following sources: existing documentation such as survey forms, National Register forms, tour brochures; building permits; Santa Ana History Room or other library collections; Internet (45 minutes per site). 1.4. Create and write template (2'/4 hours per site). Deliverable: Draft template (subtotal 3.5 hours per site) 10 E. Perform additional research per Template Committee (30 minutes per site). 1.6. Revise template per Template Committee (30 minutes per site). Deliverable: Revised template (subtotal 1 hour per site; grand total 4.5 hours per site) The following assumptions apply to this Task. • Staff will provide a monthly work request identifying properties to be categorized. • Templates will be transmitted electronically. • The times noted above per subtask are estimated and may deviate according to variables such as the location of the property; the complexity of the building; availability, type, and quantity of research material; and number of revisions completed at the City's request in excess of the two iterations that are budgeted. • City will be responsible for ownership, Assessor's parcel numbers, USGS Quad information, and sketch maps required on the DPR forms. • Two iterations of the templates are specified: one draft and one revision. • City will continue to provide building permit access. • City will continue to provide copies of relevant documentation. To date, SAIC has received copies a variety of materials, most recently, the updated Office of Historic Preservation Historic Resources Inventory Santa Ana database. Task 2. Meetings. SAIC's Architectural Historian will attend up to 30 meetings as follows: 12 Historic Resources Commission meetings (held on the first Thursday of each month), 6 to 12 Template Committee meetings (currently scheduled on the second Friday of each month or bimonthly), and 6 coordination meetings or telephone consultations with Staff. For budgeting purposes, an average of 3.5 hours per meeting has been assumed. Task 3. Other Services. From time to time and at the City's request, the Consultant will undertake additional tasks such as those completed during the current contract period (e.g., assisting the City with reconnaissance level surveys, providing additional documentation for the City to submit to OHP, additional site inspections, etc.). A budget for such tasks has been included in the current proposal. SAIC will notify the City when and if this budget is depleted, or if any tasks would require budget augmentation. SCHEDULE The total project performance period is anticipated to be one year. BUDGET/TERMS AND 10 E. The terms and conditions contained in our Consultant Agreement A-2001-259 dated December 17,2001 shall govern this effort. SAIC requests that this proposal and attachments, Reference A- Cost Estimate and Reference B-2003 Rates, be incorporated into the Agreement. Please also note that section 9.
