SECOND AMENDMENT TO
CONSULTANT AGREEMENT

THIS S �OND AMENDMENT TO CONSULTANT AGREEMENT, is entered
into this aaR day of 4 eat , 2003, by and between Ash & Associates
( "Consultant') and the City of Santa Ana, a charter city and municipal corporation of the
State of California ( "City ").
Recitals:
A. The parties entered into Agreement N 2003 -073, dated July 25, 2003 (hereinafter
"said Agreement") by which Consultant has provided organizational consulting, and
management /supervisor /employee training to the Santa Ana Police Department.
B. The parties amended said Agreement, by Amendment #N2003- 073 -1, dated August
6, 2003 (hereinafter "Amendment'). Said Amendment expanded the Scope of
Services to add training seminars and increased the compensation.
C. In accordance with the terms and conditions of said Agreement, the parties wish to
amend the Scope of Services to add another training seminar.
Wherefore, in consideration of the covenants contained in said Agreement and
Amendment, and subject to all the terms and conditions of said Agreement and
Amendment, except those amended in this Second Amendment to Consultant Agreement,
the parties agree as follows:
1. Section 1, Scope of Services, shall be amended to include the October 22, 2003
presentation of a seminar entitled "Team Building ", as set forth in Exhibit A -2,
attached hereto.
2. Section 2, Compensation, shall be amended to increase compensation under said
Agreement by $500.00, to a maximum amount not to exceed $3,700.00, during the
term of this Agreement.
3. Except as herein amended, all terms and conditions of said Agreement shall remain in
full force and effect.

Dear Anita,
Pursuant to our conversation, I propose to present a three and one -half hour training
seminar entitled "Team Building' to your employees on October 22, 2003, from 1:00
p.m. to 4:30 p.m. at your facility.
Enclosed is the seminar outline, and a copy of my Insurance Certificate from the City of
Santa Ana. My fee is $175.00 per hour. I will need a white board and/or two flip charts.
If possible, I could use an overhead transparency projector.
We will use the same handouts from the last seminar including the presentation outline.
Please duplicate and distribute to the employees. If you need copies of these handouts,
please let me know.
Again, I look forward to presenting an informative and fun seminar to your Team If you
have any questions, please call me.
