DATE/0 -o- AMENDMENT TO CONSULTANT AG~EMENT
THIS AMENDMENT TO CONSULTANT AGREEMENT is entered into on
,~-e~gO-arlO0-ev- I ,2003, by and between Exotic Languages Agency, a
California' ' corporation ("Consultant") and the City of Santa Ana on behalf of the Santa
Ana Empowerment Corporation ("City").
Recitals:
The parties entered into Agreement No. N-2002-158 dated September 1, 2002,
(hereinafter "said Agreement") by which Consultant has provided document
translation services to the Empowerment Zone.
In accordance with the terms and conditions of said Agreement, the parties wish to
extend the term of said Agreement for an additional one-year period, amend the
Scope of Services to allow for additional translation services and increase the
Compensation to provide compensation during the extended term.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this
Amendment to Consultant Agreement, the parties agree as follows:
1. Section 1, SCOPE OF SERVICES, shall be amended to read as follows:
"Consultant shall provide Vietnamese and/or Spanish translations of various
documents, as requested by the Empowerment Zone. Each document is
approximately 4-7 paragraphs in length. Within five working days of the date the
request is received, Consultant shall deliver to the Empowerment Zone, a written
translation of each requested document."
2. Section 2 a., COMPENSATION, shall be amended to read:
"City agrees to pay, and Consultant agrees to accept as total payment for its services,
the rates and charges as follows:
· Vietnamese translation $.25 per word
· Spanish translation $.22 per word.
It is estimated that each document will contain approximately 500 words.
The total sum to be expended under this Agreement shall not exceed $4,000.00
during the 2003-2004 fiscal year."
Section 3, TERM, shall be amended to extend the term to June 30, 2004. The parties
acknowledge that Consultant has provided services pursuant to said Agreement
between the original expiration date of June 30, 2003 and the execution date of this
Amendment. The parties agree that said services are within the Scope of Services of
said Agreement.
4. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment to
Consultant Agreement on the date and year first written above.
