Recitals: A. The parties entered into Professional Services Agreement No. A-2001-128, dated July 1, 2001, (hereinafter "said Agreement') by which Consultant has provided shopping - cart retrieval services. B. Said Agreement provided for a one-year agreement with two one-year options to renew for an amount not to exceed $84,000.00, annually. The parties exercised said option to renew by Amendment to said Agreement (#A2002-110), dated June 17, 2002. C. The parties now desire to exercise the option for the second year by extending the term of said Agreement for an additional one year period. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Second Amendment to Professional Services Agreement, the parties agree as follows: 1. Pursuant to Paragraph 3 of the Agreement, Consultant and City agree to renew the Agreement for one year, beginning July 1, 2003 and ending June 30, 2004. 2. Consultant shall continue to perform those services and accept payment as set forth in said Agreement. City shall pay, and Consultant shall accept as payment for its services, a total amount not to exceed $84,000.00 during the 2003-04 fiscal year. 3. Except as hereinabove modified, the terms and conditions of said Agreement shall remain in full force and effect.
