WITNESSETH Recitals: A. CITY and CONSULTANT entered into a Consultant Agreement ("AGREEMENT"), dated June 17, 1994, for the preparation by CONSULTANT of a Caltrans Project Report and appropriate environmental documents for the Alton Overcrossing at State Route 55 ("PROJECT"). B. The maximum compensation under the AGREEMENT was $298,322.00. C. Thereafter, CITY and CONSULTANT entered into an amendment to AGREEMENT on June 2, 1997 to expand CONSULTANT'S scope of services under the AGREEMENT ("AMENDMENT"). The maximum compensation for the additional services was $83,150.00. D. The Parties now desire to enter into a Second Amendment to AGREEMENT to increase the amount of compensation by an additional One Hundred Thousand Dollars ($100,000.00) and to extend the time for completion. WHEREFORE, in consideration of their mutual and respective promises, and subject to the terms and conditions of the Agreement as hereby amended, the parties hereby agree as follows: 1. Section 6 of the AGREEMENT is amended to read as follows: "The City agrees to pay, and Consultant agrees to accept as payment for said services, compensation as set forth in the revised cost proposal portion of the Proposal, a copy of which is attached hereto as Exhibit A and incorporated herein by reference; provided, however, that total compensation payable by the City to Consultant under this Agreement shall not exceed Four Hundred Eighty One Thousand Four Hundred and Seventy Two Dollars ($481,472.00); and provide further that not more than eighty-five percent (85%) of the aforesaid among shall be paid to Consultant prior to the completion of all of Consultant's services under this Agreement. Consultant shall submit monthly invoices each accompanied by a detailed statement of services performed during the period for which payment is requested. Payment by the City shall be made within (30) days following receipt of a proper invoice. . . Notwithstanding the foregoing, payment need not be made for work which fails to meet the standard of performance specified in section 3." ~ 2. Section 4 of the Agreement is amended to read as follows: "The services to be performed pursuant to this Agreement shall be completed in accordance with the "Project Schedule" set forth in Exhibit A, subject to extension with the written approval of the Executive Director of the Public Works Agency and the City Attorney." 3. Except as hereinabove modified, the terms and conditions of the AGREEMENT and the AMENDMENT remain in full force and effect. EXHIBIT A Alton Avenue Overcrossing Project Additional Scope of Services January 2, 2001 Escalation Resulting from Delay This contract was originally signed approximately 6 Y2 years ago (June 17,1994). The original schedule anticipated that the project would take approximately 2 years. There have been several delays caused by such things as: . Staff changes at Caltrans and FHWA . The development and subséquent deletion of drainage options for Lane Channel . Army Corps of Engineers permitting process changes in the last 2 years This has resulted in a delay of 4 Y2 years to date, and completion is not reasonably anticipated for 9 to 12 months. . Based on the hours that have been spent to date and those that are projected until the end of the project, the cost of the delay totals: $22,424 Additional Project Management The additional time that this project has continued has resulted in additional project management task - continuing project administration, coordination with other agencies, monitoring and billing. These activities consume an average of 8 hours a month of my time. At my billing rate ($104.62), over the past five years (60 months), that totals: $50,218 Additional Scope The current scope includes the development of six versions of the Environmental Document (draft and final Screencheck Environmental Document, Draft Environmental Document, draft and final Final Environmental Document, and an updated Screencheck Environmental Document as described in the Amendment scope). To date, nine versions of tlie Environmental Document have been prepared and at least three more are anticipated (Draft Environmental Document and draft and final Final Environmental Document), for a total of 12 versions. Preparation each of the 6 versions of the Environmental Document that exceed the contract has required or will require 40 hours of staff time, 16 hours of review by the environmental task leader and 2 hours of review by the project manager for a total cost of: $24,972 Further, there have been a few issues that had to be revisited because of changes in standards over time (past the scheduled completion date) or changes in the positions presented by the various agencies because of changes in staff. Specifically, these are: . The development and subsequent elimination of the drainage options . The need to obtain several opinions from the Army Corps of Engineers regarding their permit because of changes in their regulations over time . An additional review of the Fact Sheets because requirements changed over time PARSONS BRINCKERHOFF , . . The development of the drainage options was inciuded in the June 1997 amendment, but the subsequent elimination of those options based on the opinion of a new FHWA reviewer was not. This work has not been accomplished and is anticipated to require 8 hours of staff time, 4 hours of review by the environmental task leader and 2 hours of review by the project manager for a total cost of: . $1,081 The Army Corps permit issue has been reviewed two times already and must be reassessed before FHWA will approve the Draft EIRÆA. This work has not been accomplished and is anticipated to require 4 hours of staff time and 2 hours of review by the environmental task leader for a total cost of: $436 The Fact Sheets had been reviewed and very minor comments were received. When these . revisions were submitted to Caltrans for approval, they provided an entirely new set of comments that were significantly greater in number and scope than the previous set and which must be incorporated before Caltrans will approve the Fact Sheets. This work has not been accomplished and is anticipated to require 8 hours of staff time and 2 hours of review by the engineering task leader for a total cost of: $869 TOTAL PROPOSED COMPENSATION $100,000 Schedule Based on the remaining scope and the comments received from Caltrans and FHWA, assuming that incorporation of the comments will result in approval to publicly circulate the draft EIRÆA by February 21, 2001, the project is anticipated to be complete by November 30, 2001.
