A-2003-209 THIRD AMENDMENT TO AGREEMENT WITNESSETH Recitals: A. CITY and CONSULTANT entered into a Consultant Agreement ("AGREEMENT"), dated June 17, 1994, for the preparation of a Caltrans Project Report and appropriate environmental documents for the Alton Overcrossing at State Route 55 ("PROJECT"). B. The maximum compensation under the AGREEMENT was $298,322.00. C. Thereafter, CITY and CONSULTANT entered into an amendment to AGREEMENT on June 2, 1997 to expand CONSULTANT'S scope of services under the AGREEMENT ("AMENDMENT"). The maximum compensation for the additional services was $83, 150.00. D. On January 16,2001, the Parties entered into an amendment to AGREEMENT to increase the amount of compensation by an additional $100,000.00 and extend the time for completion ("SECOND AMENDMENT"). E. The parties now desire to enter into a Third Amendment to AGREEMENT to increase the amount of compensation by an additional One Hundred Eighty Four Thousand Eight Hundred dollars ($184,800.00) and to extend the time for completion ("THIRD AMENDMENT"). WHEREFORE, in consideration of their mutual and respective promises, and subject to the terms and conditions of the Agreement as hereby amended, the parties hereby agree as follows: 1. Section 2 of the AGREEMENT is amended to read as follows: "2. SCOPE OF SERVICES OF CONSULTANT Consultant agrees to perform, at its own cost and expense except for the compensation specified in this Agreement, the services specified in the RFP and the Proposal, all exhibits attached to AMENDMENT and SECOND AMENDMENT and Exhibit A-I attached to this THIRD AMENDMENT, subject to such modification as may be set forth in the text of this . . Agreement. In the event of any inconsistency between the RFP and the Proposal, the Proposal shall control, unless otherwise stated in the text of this Agreement." 2. Section 6 of the AGREEMENT is amended to read as follows: "6. COMPENSATION The City agrees to pay, and Consultant agrees to accept as payment for said services, compensation as set forth in Exhibit A to the AGREEMENT, AMENDMENT and SECOND AMENDMENT and the revised cost proposal portion of the Proposal, a copy of which is attached hereto as Exhibit A-I to this THIRD AMENDMENT and incorporated herein by reference; provided, however, that total compensation payable by the City to Consultant under this Agreement shall not exceed Six Hundred Sixty Six Thousand Two Hundred Seventy Two Dollars ($666,272.00); and provide further that not more than eighty-five percent (85%) of the aforesaid among shall be paid to Consultant prior to the completion of all of Consultant's services under this Agreement. Consultant shall submit monthly invoices each accompanied by a detailed statement of services performed during the period for which payment is requested. Payment by the City shall be made within (30) days following receipt of a proper invoice. Notwithstanding the foregoing, payment need not be made for work which fails to meet the standard of performance specified in section 3." 3. Except as hereinabove modified or as modified by AMENDMENT AND SECOND AMENDMENT, the terms and conditions of the AGREEMENT remain in full force and effect. . .
