City and Consultant entered into a Consultant Agreement, dated August 2, 1999 whereby Consultant agreed to prepare an Environmental Impact Report (EIR) for the One Broadway Plaza Project (hereinafter "Agreement.") The contract amount was $357,366.00. B. On February 2, 2001, the parties entered into an amendment, increasing the amount of the Agreement by $123,000.00 for a total contract amount of $480,366.00 (hereinafter "Amendment'). C. The Parties now desire to enter into a Second Amendment to Consultant Agreement for Consultant to provide additional environmental services for the One Broadway Plaza project and increase the amount of compensation by an additional $30,000.00 (hereinafter "Second Amendment.") WHEREFORE, in consideration of their mutual and respective promises, and subject to the terms and conditions of the Agreement as amended in the Amendment and hereby in this Second Amendment, the parties hereby agree as follows: 1. Exhibit A-1 attached to this Second Amendment shall be included in the Scope of Services. Section 1 of the Amendment is amended to read as follows: "Consultant shall perform those services as set forth in Exhibit A and Exhibit A-1 to this Agreement. The Scope of Services of this Agreement may be extended upon a writing executed by the Executive Director of Planning and Building, the City Attorney, and Consultant to include additional studies as needed." 3. Section 2(a) of the Agreement is amended to read as follows: "City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A. The total sum to be expended under this Agreement shall not exceed $510,366.00 during the term of this Agreement." 4. Section 3 of the Amendment, "Term" is amended to read as follows: "This Agreement shall commence on the date first written above and terminate upon the completion of the EIR or on December 31, 2004, whichever occurs first, unless terminated earlier in accordance with Section 12, below. The term of this Agreement may be extended upon a writing executed by the Deputy City Manager for Development Services and the City Attorney. 5. Except as hereinabove modified, the terms and conditions of the Agreement and Amendment remain in full force and effect. REAM City Manager Scope of Work Second Contract Amendment to One Broadway Plaza EIR Task A: Preparation and Public Distribution of the Draft EIR The activities conducted for this task are: ■ Consultation, meeting and discussion with City staff regarding final revisions to the EIR. ■ Preparation of the EIR for public distribution — final text revisions, word processing and quality control review. ■ Reproduction of the screencheck EIR for use by City staff. ■ Reproduction of the screencheck EIR for public distribution to the project distribution list and to the neighbor groups. • Distribution of the Draft EIR to the project distribution list by United States mail and courier (the least expensive option was used, as appropriate). Task B: Preparation for and Attendance at Public Meetings The activities anticipated for this task are: ■ Consultation, discussion and meetings with City staff regarding the format and conduct of the public meetings, including the types of graphics and handouts for those meetings. ■ Preparation of one handout for use at the meetings to include the project description, the project mitigation measures and a form for submitting written comments on the Draft EIR to the City. • Preparation of graphics on display boards for the public meetings — this assumes the preparation of a total of eight display boards. ■ Preparation for and attendance at the following public meetings: • Two neighborhood meetings: Project Manager, Traffic Manager and Staff person. • One Historical Commission meeting: Traffic Manager. ■ One Planning Commission meeting: Project Manager and Traffic Manager. • One Santa Ana Business Association meeting: Project Manager and Traffic Manager. • Reproduction of handouts for the public meetings — handout is assumed to be no more than 30 pages, 100 copies, stapled.
