..~~°'.?ICE o~W fILE WORK MAY PROCEED • • A-2003-085 'UNTIL INauRANCE EXPIRES CLERK OF COUNCIL DATE It-~-p3 FIRST AMENDMENT TO AMENDED AND RESTATED CONSULTANT AGREEMENT ~~ 1pN//~ (r~i~~nS) THIS~FIItST AMENDMENT TO CONSULTANT AGREEMENT, is entered into on this 5 day of Mav, 2003, by and between RBF Consulting, a California Gt'!~ corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The parties entered into Amended and Restated Consultant Agreement No. A-2002- 046, dated April 1, 2002, (hereinafter "said Agreement") by which Consultant has provided engineering service in relation to the Edinger Avenue widening project. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Services, increase the compensation to pay for the additional services and extend the term of said Agreement for an additional one year period. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 2, SCOPE OF SERVICES, shall be amended to read as follows: "In addition to the services performed pursuant to said Agreement, Consultant shall perform those services set forth in Exhibit A to said Agreement. Consultant shall also perform those services set forth in Exhibit A-1, attached hereto, which exhibit includes the email from Dennis Jue, dated March 18, 2003 and the letter from RBF Consulting, dated October 29, 2002, with attachments. " 2. Section 3, COMPENSATION, shall be amended to read as follows: "City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A to said Agreement and Exhibit A-1, hereto. The total sum to be expended for services set forth in Exhibit A-1 shall not exceed $80,000.00. The total sum to be expended for services performed pursuant said Agreement and this Amendment shall not exceed $634,364.00 during the term of this Agreement." 2. Section 4, TERM, shall be amended to read as follows: "This Agreement shall commence on March 2, 1998 and terminate on June 30, 2004, unless terminated earlier in accordance with Section 13, below. The term of this Agreement maybe extended upon a writing executed by the Executive Director of the Public Works Agency and the City Attorney." S -Revised October 28, 2002) EDINGER AVENUE WIDEN{NG SEGMENT I -Ritchey Street to East of Red Hill Avenue The Client and the Consultant, for mutual consideration hereinafter set forth, agree as follows: A. Consultant agrees to perform the following services: This additional work will include additional reports, concepts and construction documents to accommodate Caltrans encroachment permitwork related to preparation of Biological Assessment, Traffic Management Plan, Storm Water Pollution Prevention Plan ,Revised Temporary Construction Easement (TCE) at the Russell Property and Edge Condition Landscaping and Irrigation plan revisions and to accommodate the City of 7ustiri's Specific Plan requirements and as a result of property owner negotiations, AM5 Task 1 Additional Project Design Team Meetings/Consultation Activities: Consultant shall attend additional Project Progress Team meetings with Client to review progress of the work included within this contract. For budgetary purposes it is anticipated two {2) additional meetings with the Client will be necessary. These meetings include one (1) team/progress meetings, one additional (1) meeting with Caltrans to coordinate the procedures for reviews by Caltrans Project Development/Permits to facilitate approvals for the Edinger Avenue combined project. Due to the additional complexities and delays associated with right-of-way acquisition it is anticipated that the project completion may be delayed until April, 2003. This task includes the preparation of agendas, meeting notes, and attendance at each meeting by the project manager and appropriate technical staff. (assumes 2 persons per meeting) AM5 Task 2 Biological Assessment Task 2.1 Literature Review Activities: A literature review will be conducted to determine which species have been identified as special status. by state, federal, and local resources agencies and organizations and have a potential to occur within the project site or immediate vicinity. Sources to be reviewed include: (1) special status species lists from the California Department of Fish and Game (CDFG), U.S. Fish and Wildlife Service (USFWS), and Califomia Native Plant Society (GNPs); (2) database searches of the California Natural Diversity Database (CNDDB) and the Electronic Inventoryof the CNPS; (3) the most recent Federal Register listing package and critical habitat determination for each federally listed Endangered or Threatened species potentially occurring within the project site; (4) the CDFG Annuai Report on the status of California's listed Threatened and Endangered plants and animals; and (5) other biological studies conducted in the vicinity of the project site. Exhibit'A" ~ • Amendment No. 5 Task 2.2 General PIanUVUiidlife Surveys Activities: A description of the existing quality and species composition of the vegetation types within the project site will be compiled based upon observations and field notes taken during the survey. A representative listing of plant and wildlife species that occur on the project site will be compiled in the field notes during survey observations. Task 2.3 Documentation Activities: A letter report documenting the general biological resources on the project site will be prepared based on the results of Tasks I and II above. The report will describe: (1) the methodology used to conduct the biological survey; (2) the existing vegetation types and associated wildlife resources on the project site; (3) the potential of the project site to support special status biological resources; and {4) potential biological constraints from project development. Recommendations will also be made for any focused surveys for special status plants and wildlife that may be associated with the habitats on the project site. Product: Biological Resources Letter Report AM5 Task 3 Prepare Traffic Management Plan Activities: RBF Consulting will prepare a project Transportation Management Plan (fMP) in accordance with the Caltrans Transportation Management Plan Guidelines (July 1, 2001) for the proposed project. RBF will coordinate with the Client and Caltrans to establish appropriate TMP measures to minimize motorist delays during construction activities related to the project. The TMP will detail lane closures, level of service impacts, and detour routes required by the project. A public awareness campaign and contingency plan will be detailed within the TMP as required by the Caltrans Deputy Directive 60. This scope of work assumes that the project will consist of up to four construction stages, and that the Client will supply RBF with traffic volume data at up to four study intersections. AM5 Task 4 Prepare Storm Water Pollution Prevention Pian Activities: A Storm W ater Pollution Prevention Plan (SW PPP) document will be developed for use on the Client's construction site. The SW PPP template is provided online via Caltrans website. The document will include construction activities within Caltrans and Cities of Santa Ana and Tustin right-of-way. The template will reflect the requirements of the State General Construction permit (General Permit) and applicable amendments. The template is in Microsoft WordO format, and updated. periodically to reflect changes in enforcement, regulatory trends or amendments to the General Permit by the State Board as deemed appropriate by Consultant. Work under this task assumes one update of the document per year. Additional updates may be undertaken by RBF on an extra work basis at the request of the Client. Product: Development of a SWPPP template in Microsoft Word® for use on the Client's construction site. .. • ! Exhibit'A" Amendment No. 5 AM5 Task 5 Prepare Edge Condition Landscaping and Irrigation Plans -Optional Task (supercedes scope provided as Amendment #2 dated September 19, 2000) AM5 Task 5.1 Field Review Existing Conditions Activities: Consultant will pertorm one (1) field review meeting with City staff to determine the impacts within the landscape set back and to private property and to determine the limits for removals and replacements. A summary of the field review along with a photo inventory of the areas affected wilt be provided. AMS Task 5.2 Additional Project Design Team Meetings Activitles: Consultant shall attend additional Project Progress Team meetings with Client to review progress of the work included within this contract. For the purpose of this proposal, it is anticipated four (4) additional meetings with the Client may be necessary. These meetings include two (2) team/progress meetings and two (2) meetings with utilities owners and City staff to complete the project. The original schedule anticipated project completion by April, 1999. AM5 Task 5.3 Additional Design Field Survey Activitles: Consultant shall provide field surveyto collect additional topographic information and to determine the elevations and location of the existing improvements to be joined on private property and within the landscape set back area. Consultant shall pertorm a topographic Survey to supplement the survey previously obtained for the widening of Edinger Avenue. Survey will extend up to 40 feet from the new curb along Edinger Avenue from Del Amo to Red Hill Avenue on the southerly side of Edinger Avenue only. Individual building frontages beyond 50' of the right-of-way along the roadway, parking lot striping or other facilities on private property shall not be located except as necessary for join purposes, Topography shall include horizontal locations of building comers within 50 feet of the new curb face, horizontal and vertical locations of curbs, flowlines, driveways, walkways, grade breaks, centerlines, above ground utility appurtenances, manholes, major signs, trees with trunk diameters larger than 6 inches, power poles, traffic lights, overhead power line crossings, culverts, head walls, private catch basins and cross gutters. Cross sections shall be taken on approximately 50 foot intervals and at ail returns and angle points. Base Mapping Text annotation will be stored in layers separate from the graphic elements. Locations Complete Right of W ay and landscape easement areas will be shown and included as a part of this Scope of Services for field topography based on the previously provided legal descriptions prepared for this project. The topographic file shall include the basis of horizontal and vertical control, North arrow, date of survey, Survey Crew Chief and supervising Licensed Land Surveyor review and sign off, notes and details. JN 10-034145 Exhibit •A" Amendment No. 5 Deliverables shalt include digital fifes formatted in accordance with the original contract, Electronically formatted files can be E-mailed to the Client if requested. It is not anticipated that a complete edited hard copy will be needed for Design. Product: Field Survey Notes Meeting Attendance at two (2) Meetings Electronic Topographic Base Map processed in AutoCAD at a scale of 1:200._ AM5 Task 5.4 Additional Utility Notifications/Consultation Activities: As a result of the extended duration and the landscape expansion of this project it is anticipated that additional communication, consultation and notification with the various utility owners and the City will be necessary as a result of the plan changes. This task will also investigate opportunities to locate visible utilities within the new landscape areas to provide screening of these facilities in order to improve the appearance along this new landscape corridor on Edinger Avenue. This task also includes additional coordination with the BNSF railroad and Edison and preparation of the "Application for Underground Wireline Crossing" to Catellus Management Corporation to provide a sleeve under the existing BNSF spur within Edinger Avenue. The sleeve will be used by Edison to underground the existing overhead Edison facilities. This task will require an additional detail to provide for the sleeve and has been included with the task for the preparation of revised plans for Edinger Avenue. Compile information in a matrix format to include dates of notification, persons/utility notified and. responses from utility. Copies of this information will be provided to the Ciry. Notifications will include: ^ Additional Utility Notifications ^ Prepare to Relocate Notice (if applicable) ^ Notice to Relocate (if applicable) Utilities to be notified will include: • Southern California Edison • Southern California Gas • Pacific Bell Telephone/AT&T • CATV • W ater and Sewer Districts PHASE 2 PLANS, ESTIMATES & SPECIFICATIONS AMS Task 5.5 Revise Title Sheet, Details and Typical Sections The new landscape plans will require revisions to the Title Sheet, Detail Sheet and Typical Section sheets to reflect the new landscape edge conditions. This task also will provide for an additional detail to accommodate the placement of a sleeve under the BNSF railroad spur within Edinger Avenue for Edison's use in undergrounding their overhead facilities at this location. Exhibit'A" Amendment No. 5 AM5 Task 5.6 Revise Project Grading and Improvement Plans, Profiles and Design Cross Sections In order to provide plan clarity separate plans will be prepared at a scale of 1:200 showing the improvements and grading for the new landscaping along the southerly side of Edinger Avenue. Activities: Preparation of Final Plans will be based on the approval by the City of Tustin for the Specific Plan Landscape Concept plans prepared as a result of Task 7 "Landscape Concepts". It is our understanding that the new meandering sidewalk will vary in elevation. This will require the preparation of plan and profiles for the meandering sidewalk to ensure the intent of the landscape concepts are incorporated as well as to ensure compliance with ADA criteria. Grading and removals will be shown on the plans as well as improvements to transition to existing private improvements. Joins to private improvements assume that transitions will be made within five feet beyond the landscape setback limits and Consultant will not be required to replace existing facilities except as necessary for safety and to maintain drainage.. This task excludes the design of new drainage facilities, parking lot design, wall design or other private facilities affected bythe new improvements and that the design of these private improvements will be addressed as a result of right-of-way negotiations with the property owners by the City. All plan types will be completed in the City of Santa Ana format in conformance with the original contract. City of Tustin latest applicable design standards will be used for the design of improvements within the City of Tustin. Drafting and plan ' preparation format will be in conformance with City of Santa Ana requirements. AM5 Task 5.7 Landscape & Irrigation Construction Plans Activities: Consultant shall revise the Landscape Construction Drawings previously prepared for segment one of the project. The plans shall be prepared based on the approved Landscape Concept Plan to incbrporate the requirements- of the Specific Plan prepared under a separate task of this proposal for the southerly side of Edinger Avenue. The plans shall include new parkway and irrigation systems. It is anticipated that there will be five irrigation plans and five planting plans. The plans and a preliminary estimate of construction costs will be submitted to the City for review, comment and approval. AMS Task 5.8 Revised Specifications and Bid Documents Activities: Consultant shall amend the Special Provisions portion of the Construction Specifications and Contract Documents suitable for bidding and award of the Contracts to accommodate the new plan revisions. These special provisions shall be incorporated into the Client's standard construction document package. Revised specifications will accommodate the new landscaping. Specifications of the project will conform with the most recent applicable standards and specifications from the following: a. City of Santa Ana b. Standard Specifications for Public W orks Construction (Green Book) c. State of California Standard Specifications and Standard Plans JN 70.034145 ' - Exhibit "A' Amendment No. 5 AMS Task 6 Revise Construction Quantity and Cost Estimate Activities: Provide engineering services to revise the previously prepared Final Quantity and Cost Estimates for the new Edge Condition Landscaping and Irrigation Plans. AMS Task 7 Revise Temporary Construction Easements Activities: Consultant will revise one (1) previously prepared Temporary Construction Easement (TCE) document prepared for the Russell property .(1221 Edinger Avenue). This task is as a result of a request by the City of Tustin to reflect the new TCE resulting from the previously revised legal description to and plans to remove the bus stop at this location on the northerly side of Edinger Avenue. AM5 Task 8 Progress Report, Project Management and Project Consultation Activities: This task includes project management, general project coordination scheduling, subconsultant coordination and progress reporting. Consultant shall submit additional progress reports, which include progress to date, identification of problem areas, evaluations, recommendations and steps for the Project Team to follow resolve problems. SCHEDULE The new work required will require an extension of time for completion of the project, and impacts the original scope of services. For budgetary purposes it is anticipated that this project will be ready for advertising by April, 2003 assuming an authorization to proceed is received by October 28, 2002. The actual schedule will be confirmed once a determination of the extent of the work and schedule to extend Newport Avenue has been identified. This task also assumes that an encroachment permit has been received by Caltrans in advance of advertising. ADDITIONAL SERVICES - - Services which are not specifically identified herein as services to be performed by Consultant or its consultants are considered "Additional Services" for purposes of this Agreement. Client may request that Consultant perform services which are Additional Services. However, Consultant is not obligated to perform such Additional Services unless an amendment to this Agreement has been fully executed setting forth the scope, schedule and fee for such Additional Services, In the event Consultant performs Additional Services as a result of a written Notice to Proceed from the City before receipt of an executed amendment, Client acknowledges its obligation to pay for such services at Consultant's standard rates, within 30 days of receipt of Consultant's invoice. EXCLUSIONS Any work relating to the following is specifically excluded from the engineering services proposed herein and, if required, must be contracted for under separate contract or as an addendum to this contract: Project Report Preparation. If a Project Report or documentation other than the previously submitted encroachment permit application is necessary this service can be provided by RBF for an additional fee. JN 10-034145 ~~ Exhibit "A" Amendment No. 5 Coordination and Meetings with Adjacent Property Owners. Coordination with adjoining property owners is specifically excluded from this proposal. Hazardous Waste Investigations. It is assumed that all site assessmenUhazardous waste irivestigations, if necessary, will be provided by the City under a separate contract to accommodate the preparation of the Project report. Private Property Improvements. It is assumed that the design of all private property improvements will be provided as a result of negotiations for right-of-way with the property owners and will be provided by RBF for an additional fee if requested by the City. Pothole Traffic Control Plan. It is assumed that the W.A.T.C.H. handbook will be used and no special traffic control plans will be required. Structural Design. It is assumed that retaining or other structures will not be necessary to construct the new landscape improvements and joins to the existing private property improvements and if required will be provided as a result of negotiations for right-of-way with the property owners and can be provided by RBF for an additional fee if requested by the City. CLfENT RESPONSIBILITIES 1. Provide access to the site. 2. Construction inspection/management. 3. Obtaining all necessary Right-of-Entry permits from property owners.. 4. Acquiring all required environmental clearances for the project. 5. ,Reproductions for Advertising Bid Documents.
