RECITALS
A. The City desires to retain a consultant having special skill and knowledge in the field of
engineering and landscaping on an as-needed basis for the purpose of preparing
construction documents for Public Works and Parks projects.
B. Consultant represents that Consultant is able and willing to provide such services to the
City.
C. In tmdertaking the performance of this Agreement, Consultant represents that it is
knowledgeable in its field and that any services performed by Consultant under this
Agreement will be performed in compliance with such standards as may reasonably be
expected from a professional consulting finn in the field.
NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the
terms and conditions hereinafter set forth, the parties agree as follows:
1. SCOPE OF SERVICES
Consultant shall perform those services as set forth in the Proposal dated July 20, 2001,
Exhibit A, to this Agreement.
2. COMPENSATION
a. City agrees to pay, and Consultant agrees to accept as total payment for its services,
the rates and charges identified in the fee schedule, Exhibit B. The total sum to be expended
under this Agreement, shall not exceed $ 300,000.00 during the term of this Agreement.
b. Payment by City shall be made within thirty (30) days following receipt of proper
invoice evidencing work performed, subject to City accounting procedures. Payment need not
be made for work which fails to meet the standards of performance set forth in the Recitals
which may reasonably be expected by City.
3. TERM
This Agreement shall commence on the date first written above and terminate on August
30, 2002, unless terminated earlier in accordance with Section 12, below. The term of this
Agreement may be extended upon a writing executed by the Executive Director of Public Works
Agency and the City Attorney.
4. INDEPENDENT CONTRACTOR
Consultant shall, during the entire term of this Agreement, be construed to be an
independent contractor and not an employee of the City. This Agreement is not intended nor
shall it be construed to create an employer-employee relationship, a joint venture relationship, or
to allow the City to exemise discretion or control over the professional manner in which
Consultant performs the services which are the subject matter of this Agreement; however, the
services to be provided by Consultant shall be provided in a manner consistent with all
applicable standards and regulations governing such services. Consultant shall pay all salaries and
wages, employer's social security taxes, unemployment insurance and similar taxes relating to
employees and shall be responsible for all applicable withholding taxes.
5. INSURANCE
Prior to undertaking performance of work under this Agreement, Consultant shall
maintain and shall require its subcontractors, if any, to obtain and maintain insurance as
described below:
a. Commercial General Liability Insurance. Consultant shall maintain commercial
general liability insurance naming the City, its officers, agents, volunteers, and employees as
additional insured(s) and shall include, but not be limited to protection against claims arising
from bodily and personal injury, including death resulting therefrom and damage to property,
resulting from any act or occurrence arising out of Consultant's operations in the performance of
this Agreement, including, without limitation, acts involving vehicles. The amounts of insurance
shall be not less than the following: single limit coverage applying to bodily and personal injury,
including death resulting therefrom, and property damage, in the total amount of $1,000,000 per
occurrence. Consultant shall supply City with a fully executed additional insured endorsement in
substantially the form attached hereto as Exhibit C upon execution of this Agreement and shall
be approved in form by the City Attorney.
b. Business automobile liability insurance, or equivalent form, with a combined single
limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for
owned, hired and non-owned automobiles.
c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300
of the Labor Code, Consultant, if Consultant has any employees, is required to be insured against
liability for worker's compensation or to undertake selfdnsurance. Prior to commencing the
performance of the work under this Agreement, Consultant agrees to obtain and maintain any
employer's liability insurance with limits not less than $1,000,000 per accident.
d. If Consultant is or employs a licensed professional such as an architect or engineer:
Professional liability (errors and omissions) insurance, with a combined single limit of not less
than $1,000,000 per claim.
e. The following requirements apply to the insurance to be provided by Consultant
pursuant to this section:
(i) Consultant shall maintain ail insurance required above in full fome and
effect for the entire period covered by this Agreement.
(ii) Certificates of insurance shall be furnished to the City upon execution of
this Agreement and shall be approved in form by the City Attorney.
(iii) Certificates and policies shall state that the policies shall not be canceled
or reduced in coverage or changed in any other material aspect without
thirty (30) days prior written notice to the City.
f. If Consultant fails or refuses to produce or maintain the insurance required by this
section or fails or refuses to furnish the City with required proof that insurance has been procured
and is in force and paid for, the City shall have the right, at the City's election, to forthwith
terminate this Agreement. Such termination shall not affect Consultant's right to be paid for its
time and materials expended prior to notification of termination. Consultant waives the right to
receive compensation and agrees to indemnify the City for any work performed prior to approval
of insurance by the City.
6. INDEMNIFICATION
Consultant agrees to and shall indemnify and hold harmless the City, its officers, agents,
employees, consultants, special counsel, and representatives from liability: (1) for personal
injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims
for personal injury, including health, and claims for property damage, which may arise from the
direct or indirect operations of the Consultant or its contractors, subcontractors, agents,
employees, or other persons acting on their behalf which relates to the services described in
section 1 of this Agreement; and (2) from any claim that personal injury, damages, just
compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects
arising from this Agreement. This indemnity and hold harmless agreement applies to all claims
for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to
have been suffered, by reason of the events referred to in this Section or by reason of the terms
of, or effects, arising from this Agreement. The Consultant further agrees to indemnify, hold
harmless, and pay all costs for the defense of the City, including fees and costs for special
counsel to be selected by the City, regarding any action by a third party challenging the validity
of this Agreement, or asserting that personal injury, damages, just compensation, restitution,
judicial or equitable relief due to personal or property rights arises by reason of the terms of, or
effects arising from this Agreement. City may make all reasonable decisions with respect to its
representation in any legal proceeding.
7. CONFIDENTIALITY
If Consultant receives from the City information which due to the nature of such
information is reasonably understood to be confidential and/or proprietary, Consultant agrees
that it shall not use or disclose such information except in the performance of this Agreement,
and further agrees to exercise the same degree of care it uses to protect its own information of

like importance, but in no event less than reasonable care. "Confidential Information" shall
include all nonpublic information. Confidential information includes not only written
information, but also information transferred orally, visually, electronically, or by other means.
Confidential information disclosed to either party by any subsidiary and/or agent of the other
party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure
shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is,
through no fault of the Consultant disclosed in a publicly available source; (c) is in rightful
possession of the Consultant without an obligation of confidentiality; (d) is required to be
disclosed by operation of law; or (e) is independently developed by the Consultant without
reference to information disclosed by the City.
8. CONFLICT OF INTEREST CLAUSE
Consultant covenants that it presently has no interests and shall not have interests, direct
or indirect, which would conflict in any manner with performance of services specified under
this Agreement.
9. NOTICE
Any notice, tender, demand, delivery, or other communication pursuant to this
Agreement shall be in writing and shall be deemed to be properly given if delivered in person or
mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other
telegraphic communication in the manner provided in this Section, to the following persons:

A party may change its address by giving notice in writing to the other party. Thereafter,
any notice, tender, demand, delivery, or other communication shall be addressed and transmitted
to the new address. If sent by mail, any notice, tender, demand, delivery, or other
communication shall be effective or deemed to have been given three (3) days after it has been
deposited in the United States mail, duly registered or certified, with postage prepaid, and
addressed as set forth above. If sent by telefacsimile, any notice, tender, demand, delivery, or
other communication shall be effective or deemed to have been given twenty-four (24) hours
afler the time set forth on the transmission report issued by the transmitting facsimile machine,
addressed as set forth above. For purposes of calculating these time frames, weekends, federal,
state, County or City holidays shall be excluded.
10. EXCLUSIVITY AND AMENDMENT
This Agreement represents the complete and exclusive statement between the City and
Consultant, and supersedes any and all other agreements, oral or written, between the parties. In
the event of a conflict between the terms of this Agreement and any attachments hereto, the
terms of this Agreement shall prevail. This Agreement may not be modified except by written
instrument signed by the City and by an authorized representative of Consultant. The parties
agree that any terms or conditions of any purchase order or other instrument that are inconsistent
with, or in addition to, that terms and conditions hereof, shall not bind or obligate Consultant nor
the City. Each party to this Agreement acknowledges that no representations, inducements,
promises or agreements, orally or otherwise, have been made by any party, or anyone acting on
behalf of any party, which are not embodied herein.
11. ASSIGNMENT
Inasmuch as this Agreement is intended to secure the specialized services of Consultant,
Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior
written consent of the City and any such assignment, transfer, delegation or subcontract without
the City's prior written consent shall be considered null and void. Nothing in this Agreement
shall be construed to limit the City's ability to have any of the services which are the subject to
this Agreement performed by City personnel or by other consultants retained by City.
12. TERMINATION
This Agreement may be terminated by the City upon thirty (30) days written notice of
termination. In such event, Consultant shall be entitled to receive and the City shall pay Consultant
compensation for all services performed by Consultant prior to receipt of such notice of termination,
subject to the following conditions:
a. As a condition of such payment, the Executive Director may require Consultant to deliver
to the City all work product completed as of such date, and in such case such work product shall be
the property of the City unless prohibited by law, and Consultant consents to the City's use thereof
for such purposes as the City deems appropriate.
b. Payment need not be made for work which fails to meet the standard of performance
specified in the Recitals of this Agreement.
13. DISCRIMINATION
Consultant shall not discriminate because of race, color, creed, religion, sex, marital
status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited
by applicable law, in the recruitment, selection, training, utilization, promotion, termination or
other employment related activities. Consultant affirms that it is an equal opportunity employer
and shall comply with all applicable federal, state and local laws and regulations.
14. JURISDICTION - VENUE
This Agreement and all questions relating to its validity, interpretation, performance, and
enforcement shall be government and construed in accordance with the laws of the State of
California. This Agreement has been executed and delivered in the State of California and the
validity, interpretation, performance, and enforcement of any of the clauses of this Agreement
shall be determined and governed by the laws of the State of California. Both parties further
agree that Orange County, California, shall be the venue for any action or proceeding that may
be brought or arise out of, in connection with or by reason of this Agreement.
15. PROFESSIONAL LICENSES
Consultant shall, throughout the term of this Agreement, maintain all necessary licenses,
permits, approvals, waivers, and exemptions necessary for the provision of the services
hereunder and required by the laws and regulations of the United States, the State of California,
the City of Santa Aha and all other governmental agencies. Consultant shall notify the City
immediately and in writing of her inability to obtain or maintain such permits, licenses,
approvals, waivers, and exemptions. Said inability shall be cause for termination of this
Agreement.
16. MISCELLANEOUS PROVISIONS
a. Each undersigned represents and warrants that its signature hereinbelow has the power,
authority and right to bind their respective parties to each of the terms of this Agreement, and shall
indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to
City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn.
b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set
forth in the body of this Agreement.

DMJM+HARRIS is performing an on-

infrastructure and transportation im-
provement projects. Work includes site
and grading plans for new structures;
PS&E packages for parking lot recon-
struction; design of street rehabilitation
(Federally funded); PS&E package for
the construction of a new $600,000
recreation facility at Thornton Park,
including architectural, civil, structural,
electrical and mechanical; drainage
evaluatons and recommendations; traf-
fic control plans on two major arterial

Following Holmes & Narver's comple-
tion of the engineering and construc-
tion support for the $25 million Freeway
High Occupancy Vehicle (HOV) wid-
ening project on State Route 55,
DMJM+HARRIS, working as H&N,
was contracted by the City of Orange
to develop an interchange and design
the bridge structure at Meats Avenue
and SR-55. This project entailed the
preparation of a Project Study Report
(PSR). The engineering follows Caltrans
Project Development procedures, and
was prepared in Caltrans Metric format
for approval by Caltrans.
The PSR studied the feasibility of a
light diamond-type interchange. The
study also addressed the development
of a widened overerossing bridge from
4 lanes to 8 lanes along Meats Avenue.
It included improvements to the street
approaches, two signalized intersec-
tions, analysis of street lighting and
HOV ramp metering, modifications and
improvements to the existing drainage
system, and design of retaining and
sound walls.

final design for the Highland Avenue
Grade Separation in the City of Ful-
lerton. The grade separation consists
of lowering Highland Avenue and con-
stmcting a 5 -track railroad bridge. Also
included were extensive retaining walls,
landscape design, walkways, and bike
paths. DMJM+HARRIS' focus in-
eludes the development of creative,
cost-effective alternatives to meet each
of these design challenges and to offer
the City of Fullerton a range of sce-
narios along with a comprehensive
analysis of impacts and cost consid-
erations. DMJM+HARRIS has pro-
vided this analysis which forms the
basis of much of the design effort.

The City of La Quinta selected
DMIM+HARRIS to provide prelimi-
nary and final design services for the
widening of Washington Street from
south of the La Quiata Evacuation
Channel to Avenue 50. The project
includes environmental services, road
widening, bridge widening, traffic,
retaining walls, sound walls, landscap-
ing, right-of-way, utility coordination
and design surveys. Washington Street
is classified as a major 6-lane arterial
in the City, however, it existed as only
a two- lane road within the project limits.
The construction value is $2.5 million.

The City of Torrance selected
DMJM+HARRIS, working as Holmes
& Narver, to prepare a Project Study
Report for the extension of Del Arno
Boulevard from Madrona Avenue to
Cronshaw Boulevard.
DIvIJM+HARRIS was responsible for
the preparadon of horizontal and vertical
alignment studies, traffic studies,
drainage, utilities and structures stud-
ies. DMJM+HARRIS also evaluated
several structure types including single
span and multiple span structures.
Procast girder structure appeared to
be the most feasible since it eliminated
the need for falsework over the
SCRRA/BNSF facilities.
A cost estimate was prepared for each
of the alternatives and the results were
documented in a Project Study Report
that was prepared in accordance with
Caltrans procedures. The results
indicated that traffic in the current and
year 2020 would improve with the
extension of Del Arno Boulevard. The
project study phase was completed
on time and budget. The report needed
to be completed on time for the City
to retain its MTA funding. Additionally
DMJM+HARRIS' value added sug-
gastions that included the single span
precast bridge option and the use of
MSE retaining walls will result in
pctentialsavings inexcess of $1 million.
DMJM+HARRIS worked closely with
the City, SCRRA and BNSF to assure
the key project elements were coor-
dinated.

Project Understanding/Approach
The City of Santa Aha is soliciting proposals from
professional consulting firms to provide engineering
services on an as-needed basis. From the proposals
received, the City will select three firms and enter into
separate agreements with each. The work consists of
general engineering/architectural/landscaping design
projects on arterial and local roads and public parks on
a eitywide basis. The City may also require eonsmaction
management, staking and inspection services.
The key to successfully completing on-call services is
to have the depth of staff and to work as an extension
of the City's engineering staff. Only 5 minutes from
the PubLic Works Agency's office, DIVlJM+HARRIS stands
ready to provide the staff and services to the City of
Santa Aha. The following Work Plan represents our
general project approach. DMJM+HARRIS will develop
a specific work plan for each task order for which we
are selected. The key to our approach is to provide
the right team for each task. Wc use a 5-step process
(Figure 2-1) to ensure timely and effective response to
our client's requests for oa-call services.

Technical Work Plan
DMIM+HARRIS has developed a typical approach for
project development. Figure 2-2 is a graphic presentation
of this approach. The following narrative expands on
each phase.
Phase 1 - Preliminary Design
· Schedule a kickoff m~eting with the City to discuss
project requirements.
· Assemble and review available information.
· Obtain design surveys and geotechnical report, as
necessary.
· Prepare base plan at the appropriate scale. Base plan
will include existing topography and utilities.
DMJM+HARRIS' engineers will prepare the conceptual
road alignment plan and profile drawings.
· Necessary right-of-way requirements, if any, will be
identified for the project.
· Develop landscape concept theme for the project.
Prepare preliminary cost estimate.
· The preliminary plans, which include road alignment
plan, landscape theme, and other plans as required, will
be submitted to City staff for review and comment.
· The coneeptual plans will he revised based on the City's
comments and resubmitted for staff approval.
Phase 2 - Final Design
Based on the approved concept, the following work will
he performed:
· Prepare preliminary road improvement plans
· Street improvement plans and profiles at the appropriate
scale. The plans will show existing utilities, carb and
gutter improvements, new pavement construction and
sidewalk improvements.

B. Project Scheduling and
Project Controls
DMJM+HARRIS' project controls sys-
tem, which is timesheet driven, will assist
task management in controlling the project
and tracking costs and schedule. A project
accountant will be assigned to the project
to provide project control administration
and to assist in preparing the monthly
invoices for the review and approval of
the project manager. To assist the City
in budgeting and project management,
DMJM+HARRIS willpmvide the City with
updated budget and schedule information
on a monthly basis during project execu-
tion.
DMJM+HARRIS' four-step project con-
trois process is shown as follows:
Step I involves the development of an
appropriate Work Breakdown
Structure (WBS) and schedule to
define the manageable worktasks:
assembly of the associated bud-
gets for accomplishing these work
items; and determining the du-
ration and sequence for perform-
ing the work. The initial WBS
for the project will be discussed
with the City and modified as
necessary during contract nego-
tiations.
Step 2 entails the regular monitoring of
the work and determining whether the project
is progressing on schedule and within budget.
Key components in this step include identifi-
cation of actual time and costs accrued for each
task, and accurately reporting the progress of
each.
Step 3 consistsofreportinganyvarianceintheprogress
of the work and identifying a change to the
management plan if necessary

to keep the project back on track and in con-

C. An Effective Communications Process
The effectiveness of our communication with the City
of Santa Aha and all project participants is crucial to
successful consulting service. DMJM+HARRIS' project
manager, Pat Somerville, is dedicated to fostering a
productive conununication process and to providing
proactive design issue resolution, working with the

D. Quality Control Plan
DMJM+HARRIS employsaTotalQual-
ity Management Program. This pro-
gram incorporates a bottom-up as well
as top-down approach, and is continu-
ally reinforced during the project. There
are four key components to this ap-
proach to quality. These address all
aspects of the project and are per-
formed continuously and at major mile-
stones during project development.
They include:
1. Engineering Discipline Review:
during the project, prior to any formal
submittal, the design, reports, and PS&E
are reviewed by the discipline lead en-
gineers, Messrs. Cervantes, Brown,
Gipe and Ms. Capouya.
2. Coordination Review: The project
manager and discipline lead engineers
will review the construction documents
for coordination, accuracy, client draft-
ing standards, and definition of work.
Constructibility Review: Following review by the
lead engineers, the QA/QC Manager will coordinate
constructibility review to verify criteria compliance,
evaluate the comprehensive quality of the construction
documents, and identify potential constmctibility issues.
Quality Assurance/Quality Control Review: The
QAJQC Manager will conduct pre-set QA/QC reviews
as well as impromptu reviews of the work in progress.
These will be independent reviews led by the QA/QC
Manager with the involvement and management review

Mr. Somerville has more than 15 years experience in the
geometric design of roadways, storm drains, sewers and
water lines, pavements, on-site facilities relating to grading
and drainage, hydrology and hydraulics, traffic patterns,
street lighting systems and traffic signals, and parking
layouts. His experience also includes production of fea-
sibility studies, plans, specifications and estimates, com-
puter aided design in AutoCAD and Microstation, preparation
of right-of-way maps, acquiring permits to enter and
construct, preparation of stage construction plans, and
construction support services which includes field engi-
neering, RFI and submittal review, and claims analysis.
Mr. Somerville began his career with the City of Fullerton
and thoroughly understands agency processes, project
finance, and needs analysis, as well as technical and
contractual requirements in the design and construction
of projects.

Highland Avenue Grade Separation, Fullerton, Cali-
fornia: Project Manager for the City of Fullerton for the
$8.6 million federally-funded project. Responsible for all
feasibility studies, public bearings, preliminary alignments,
cross-sections, quantities, and cost estimates. Determined
requirements and prepared right-of-way maps. Developed
plans for temporary and permanent modifications to adjacent
parcels and building to main~in access and operations.
Provided QA/QC for the City through the design process.
C.B.D. Parking Upgrade, Fullerton, California: De-
veloped the site layout for the two main parking areas
for the Central Business District in downtown Fullarton.
Several parcels were acquired to accommodate these lots,
and the design balanced the need to maximize parking
and ingress/egress while creating a pedestrian friendly
environment with hardscapo and landscape improvements.
Additional design elements included the preparation of
demolition, site, grading, elec~ical, and hardscape plans,
coordination with utility companies for an Underground
Utility District.
Downtown Sidewalk Improvements, Fullerton, Cali-
fornia: Project Engineer for this project which constructed
decorative sidewalk in the downtown sector. Responsible
for determining the treatments to be used, including colored
concrete, exposed aggregate, concrete and brick banding
to enhance the pedestrian corridor. Extensive public
interaction was required with the local business owners,
informing them of the pending construction, provisions
being made to maintain pedesUian access to their business,
and to address their concerns.
Independence Park Improvements, Fullerton, Cali-
fornia: Prepared the conceptual layout for site and parking
improvements in conjunction with the expansion of this
City park. The existing parking area was reconfigured
to provide safer traffic circulation and maximize parking,
and a protected drop-off zone was provided. The plan
provides addilional parking by constructing two new parking
lots on the site. These lots will be constructed in phases
to minimize impacts during construction.
RichmanfvValnut Avenue Storm Drain, Fullerton,
California: Project Manager for this consultant designed
project that involves the installation of 6,000 lineal feet
of R.C.P., 1,700 l.f. of D.I.P. and 500 l.f. of V.C.P.
Coordinated this design with the consultant, provided QA/
QC for the City, verified location of all public and private
utilities, coordinated pothole efforts, and identified the
required relocations. Prepared the applications for the
two crossings of the BNSF facility, channel entry of the
County (OCFCD) facility, and the required OSHA permits
for the jack-boring operation.

qualified consultants, Leighton & Associates, Inc.,
Coast Surveying, Inc., and Lynn Capouya, Inc. to
provide geotechnical, survey and landscape design ser-
vices, respectively. Each of these firms are experienced
in local agency projects and have worked on projects w/thin
the City of Santa Ant.
Leighton & Associates provides geotechnical investiga-
tion, testing, analysis and mitigation in support of design
and construction projects in Orange and San Diego counties.
For the SR-91 Widening and Bridge Upgrades from Serfas
Club Drive to the Orange County line on SR-91, L~ighmn
performed investigations covering approximately 4.0-a:miles
of the 24-mile project. As lead geotechnical consultant
to Pepperdine University, Leighton has supported the
development and expansion of the campus for 25 years.
Leighton has also performed geologic, seismic and
geotechnical analysis, and evaluated the foundation design
for the landmark Emerald Plaza Wyndham Hotel and Office
Towers in downtown San Diego.
Coast Surveying, Inc., is a local surveying firm that
serves as a leading provider of land and hydrographic
surveying, aerial photogrammetric mapping, geographic
information systems, construction staking, and related
services. DMJM+HARRIS has a close working relation-
ship with Ruel del Castillo, who will provide survey and
mapping services on this project.
Lynn Capouya, Inc. is a woman-owned full-service land-
scape architectural firm founded in 1979. Ms. Capouya
provides individualized quality service to a broad range
of clients in the private and public sectors. LCI's full
service capabilities include site evaluation and planning,
landscape surveys and preservation, irrigation and plant
material selection. DMJM+HARRIS has worked closely
with Lynn Capouya on several recent projects including
the Highland Avenue Grade Separation for the City of
Fullerton, and SR-55 for OCTA.
In addition to these three subconsultants DMJM+HARRIS
will augment our capabilities as necessary with additional
specialty subconsuttants. The DMJM+HARRIS team stands
ready to work as an extension of the City's staff to deliver
design engineering, landscape and plan checking services
on an as-needed basis.
Project Experience
DMJM+HARRIS' past performance for completing projects
on time has been excellent. Over 70% of DMJM+HARRIS'
projects are from repeat clients. We feel this would not
