PROJECTS PROGRAM CONTRACT NO. 0016
THIS AMENDMENT NO. 2 to COOPERATIVE PROJECTS PROGRAM
CONTRACT NO. 0016, is made and entered into, to be effective this~_.~_ d~aay of
.~0~ ~)~F', 2002, by and between:
ORANGE COUNTY SANITATION DISTRICT,
hereinafter referred to as "DISTRICT";
AND
CITY OF SANTA ANA, hereinafter referred to
as "AGENCY".
RECITALS
WHEREAS, on November 6, 2000, DISTRICT and AGENCY entered into
a Cooperative Projects Program Contract ("Original Contract"), in connection with
DISTRICT's Cooperative Project Program; and
WHEREAS, on July 30, 2002, DISTRICT and AGENCY executed
Amendment No. 1 to Cooperative Projects Program Contract, for purposes of
extending the completion date in the Original Contract an additional six (6)
months, up to and including August 20, 2002; and
WHEREAS, the terms and conditions of both the Original Contract and
Amendment No. 1 will expire prior to the project completion, due to unforeseen or
unavoidable circumstances; and
WHEREAS, DISTRICT and AGENCY mutually desire to further extend the
term of the Original Contract and Amendment No. 1, in order to allow AGENCY
to complete the project; and
WHEREAS, pursuant to the terms of the Original Contract, any extension
beyond six (6) months shall be approved by DISTRICT's Board of Directors.
NOW, THEREFORE, in consideration of the foregoing, it is agreed
between the Parties hereto as follows:
Section 1: Paragraph 4 of the Original Contract, dated November 6,
2002, is hereby amended in full to read as follows:
"The term of this Contract is from August 20, 2002, which is the
project completion date in Amendment No. 1, through completion of
the project, or June 30, 2003, whichever occurs first, unless
terminated earlier as provided for in Paragraph 5 of the Original
Contract entitled 'Termination'. All project deliverables and
requests for reimbursement must be received by July 28, 2003.
Any extension beyond ten (10) months shall be approved by
DISTRICT's General Manager provided the time extension is
related to flow monitoring delays due to lack of rain. Extensions for
any other reason shall be approved by the DISTRICT's Board of
Directors."
Section 2: Except as modified herein, all other terms and
conditions of the Original Contract shall remain in full force and effect.

IN WITNESS WHEREOF, the Parties hereto have caused this
Amendment No. 2 to Cooperative Projects Program Contract to be duly
executed on their behalf by their authorized representatives.
