AGREEMENT BETWEEN THE CITY OF SANTA ANA
AND
TELFORDS

THIS AGREEMENT, is made and entered into this 18 dayofDecember, 2001, by and between
the City of Santa Ana, a charter city and municipal corporation duly organized and existing under the
Constitution and laws of the State of California ("City") and Telfords ("Vendor").
WHEREAS, the City desires to retain the services of Consultant to provide temporary technical
contract service persons and consulting services.
THEREFORE, in consideration of their mutual and respective promises, the parties hereto do hereby state
as follows:
1. Terms and Conditions
The term of this Agreement shall cover the period beginning on December 18, 2001 and ending on
December 17, 2002 with an option, at City's discretion, of four (4), one (1) year renewals (Exhibit A,
section 5.28).
All terms and conditions more fully set forth in:
(a) The City's Request for Proposal ("RFP"): "Temporary Technical Contract Service Persons and
Consulting Services", issued November 02, 2001 (Exhibit A)
(b) The Vendor's Proposal, dated November 26, 2001 (Exhibit B)
shall have full force and effect in this Agreement.
Said terms and conditions are attached hereto as Exhibit A and B, and incorporated herein by
reference·
2. Scope of Services
The Vendor has the requisite knowledge, skills, and expertise and agrees to perform the services
as fully set forth in the RFP (Exhibit A) for the categories of information services and business/
application/project consulting services (Exhibit A, section 1.4) and for payrolling (Exhibit A, section
2.4.c).
3. Compensation
The City will pay to Vendor total compensation under this Agreement which shall not exceed
$1,900,000. Said total compensation shall be divided between any and all of the Vendors selected by the
City, as determined at the City's discretion.
The City will pay the agreed upon percentage markup rate over the base hourly rate(s), as outlined
in Exhibit A (sections 2.4, 5.14, 5.17).
Payment by City shall be made within thirty (30) days following receipt of proper invoice
evidencing work performed and/or products purchased, subject to City accounting procedures. Payment
need not be made for work that fails to meet the standards of performance set forth in the Recitals which
may reasonably be expected by City.
4. Insurance
Prior to undertaking performance of work under this Agreement, Vendor shall maintain and shall
require its subcontractors, if any, to obtain and maintain insurance as described below:
a. Commercial General Liability Insurance. Vendor shall maintain commercial general liability
insurance naming the City, its officers, agents, volunteers, and employees as additional insured(s) and
shall include, but not be limited to protection against claims arising from bodily and personal injury,
including death resulting therefrom and damage to property, resulting from any act or occurrence arising
out of Vendor's operations in the performance of this Agreement, including, without limitation, acts
involving vehicles. The amounts of insurance shall be not less than the following: single limit coverage
applying to bodily and personal injury, including death resulting therefrom, and property damage, in the
total amount of $1,000,000 per occurrence. Vendor shall supply City with a fully executed additional
insured endorsement in substantially the form attached hereto as Exhibit C upon execution of this
Agreement and shall be approved in form by the City Attorney.
b. Business automobile liability insurance, or equivalent form, with a combined single limit of
not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non-
owned automobiles.
c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the
Labor Code, Vendor, if Vendor has any employees, is required to be insured against liability for worker's
compensation or to undertake self-insurance. Prior to commencing the performance of the work under this
Agreement, Vendor agrees to obtain and maintain any employer's liability insurance with limits not less
than $1,000,000 per accident.
d. The following requirements apply to the insurance to be provided by Vendor pursuant to this
section:

Vendor shall maintain all insurance required above in full force and effect for the
entire period covered by this Agreement.
Certificates of insurance shall be furnished to the City upon execution of this
Agreement and shall be approved in form by the City Attorney.
Certificates and policies shall state that the policies shall not be cancelled or
reduced in coverage or changed in any other material aspect without thirty (30)
days prior written notice to the City.
e. If Vendor fails or refuses to produce or maintain the insurance required by this section or fails
or refuses to furnish the City with required proof that insurance has been procured and is in force and paid
for, the City shall have the right, at the City's election, to forthwith terminate this Agreement. Such
termination shall not effect Vendor's right to be paid for its time and materials expended prior to
notification of termination. Vendor waives the right to receive compensation and agrees to indemnify the
City for any work performed prior to approval of insurance by the City.
5. Independent Contractor
Vendor shall, during the entire term of this Agreement, be construed to be an independent
contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to
create an employer-employee relationship, a joint venture relationship, or to allow the City to exercise
discretion or control over the professional manner in which Vendor performs the services which are the
subject matter of this Agreement; however, the services to be provided by Vendor shall be provided in a
manner consistent with all applicable standards and regulations governing such services. Vendor shall pay
all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to
employees and shall be responsible for all applicable withholding taxes.
6. Indemnification
Vendor agrees to and shall indemnify and hold harmless the City, its officers, agents, employees,
Vendors, special counsel, and representatives from liability: (1) for personal injury, damages, just
compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including
health, and claims for property damage, which may arise from the direct or indirect operations of the
Vendor or its contractors, subcontractors, agents, employees, or other persons acting on their behalf which
relates to the services described in section 1 of this Agreement; and (2) from any claim that personal
injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of the terms of
or effects arising from this Agreement. This inderm~ity and hold harmless agreement applies to all claims
for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been
suffered, by reason of the events referred to in this Section or by reason of the terms of, or effects, arising
from this Agreement. The Vendor further agrees to indemnify, hold harmless, and pay all costs for the
defense of the City, including fees and costs for special counsel to be selected by the City, regarding any
action by a third party challenging the validity of this Agreement, or asserting that personal injury,
damages, just compensation, restitution, judicial or equitable relief due to personal or property rights
arises by reason of the terms of, or effects arising from this Agreement. City may make ali reasonable
decisions with respect to its representation in any legal proceeding.
7. Confidentiality
If Vendor receives from the City information which due to the nature of such information is
reasonably understood to be confidential and/or proprietary, Vendor agrees that it shall not use or disclose
such information except in the performance of this Agreement, and further agrees to exercise the same
degree of care it uses to protect its own information of like importance, but in no event less than
reasonable care. "Confidential Information" shall include all nonpublic information. Confidential
information includes not only written information, but also information transferred orally, visually,
electronically, or by other means. Confidential information disclosed to either party by any subsidiary
and/or agent of the other party is covered by this Agreement. The foregoing obligations of non-use and
nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources;
(b) is, through no fault of the Vendor disclosed in a publicly available source; (c) is in rightful possession
of the Vendor without an obligation of confidentiality; (d) is required to be disclosed by operation of law;
or (e) is independently developed by the Vendor without reference to information disclosed by the City.
8. Conflict Of Interest Clause
Vendor covenants that it presently has no interests and shall not have interests, direct or indirect,
which would conflict in any manner with performance of services specified under this Agreement.
9. Notice
Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall be
in writing and shall be deemed to be properly given if delivered in person or mailed by first class or
certified mail, postage prepaid, or sent by telefacsimile or other telegraphic communication in the manner
provided in this Section, to the following persons:

A party may change its address by giving notice in writing to the other party. Thereafter, any
notice, tender, demand, delivery, or other communication shall be addressed and transmitted to the new
address. If sent by mail, any notice, tender, demand, delivery, or other communication shall be effective
or deemed to have been given three (3) days after it has been deposited in the United States mail, duly
registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, any
notice, tender, demand, delivery, or other communication shall be effective or deemed to have been given
twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting
facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends,
federal, state, County or City holidays shall be excluded.
10. Exclusivity and Amendment
This Agreement represents the complete and exclusive statement between the City and Vendor,
and supersedes any and all other agreements, oral or written, between the parties. In the event of a
conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement
shall prevail. This Agreement may not be modified except by written instrument signed by the City and
by an authorized representative of Vendor. The parties agree that any terms or conditions of any purchase
order or other instrument that are inconsistent with, or in addition to, that terms and conditions hereof,
shall not bind or obligate Vendor nor the City. Each party to this Agreement acknowledges that no
representations, inducements, promises or agreements, orally or otherwise, have been made by any party,
or anyone acting on behalf of any party, which are not embodied herein.
1 I. Assignment
Inasmuch as this Agreement is intended to secure the specialized services of Vendor, Vendor may
not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the
City and any such assignment, transfer, delegation or subcontract without the City's prior written consent
shall be considered null and void. Nothing in this Agreement shall be construed to limit the City's ability
to have any of the services which are the subject to this Agreement performed by City personnel or by
other Vendors retained by City.
12. Termination
This Agreement may be terminated by the City upon thirty (30) days written notice of termination,
without any early termination penalty. In such event, Vendor shall be entitled to receive and the City shall
pay Vendor compensation for all services performed by Vendor prior to receipt of such notice of termination,
subject to the following conditions:
a. As a condition of such payment, the Executive Director may require Vendor to deliver to the
City all work product completed as of such date, and in such case such work product shall be the property
of the City unless prohibited by law, and Vendor consents to the City's use thereof for such purposes as
the City deems appropriate.
b. Payment need not be made for work which fails to meet the standard of performance specified
in the Recitals of this Agreement.
13. Discrimination
Vendor shall not discriminate because of race, color, creed, religion, sex, marital status, sexual
orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the
recruitment, selection, training, utilization, promotion, termination or other employment related activities.
Vendor affirms that it is an equal opportunity employer and shall comply with all applicable federal, state
and local laws and regulations.
14. Jurisdiction - Venue
This Agreement and all questions relating to its validity, interpretation, performance, and
enforcement shall be governed and construed in accordance with the laws of the State of California. This
Agreement has been executed and delivered in the State of California and the validity, interpretation,
performance, and enforcement of any of the clauses of this Agreement shall be determined and governed
by the laws of the State of California. Both parties further agree that Orange County, California, shall be
the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason
of this Agreement.
15. Professional Licenses
Vendor shall, throughout the term of this Agreement, maintain all necessary licenses, permits,
approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by
the laws and regulations of the United States, the State of California, the City of Santa Ana and all other
governmental agencies. Vendor shall notify the City immediately and in writing of her inability to obtain
or maintain such permits, licenses, approvals, waiver

1. GENERAL BACKGROUND AND SCOPE OF SERVICES
1,1 Definitions
The following words as used in this RFP, shall be understood to refer respectively to:

"Vendor" The person, firm or corporation with whom the contract is made by said
City or the agent or legal representative who may be appointed to
represent such person, firm or corporation in the signing and performance
of said contract
"Proposer" The person, firm or corporation who is responding this to Request For
Proposal (RFP)
"Contract Service An employee/s of the Vendor who is assigned temporarily to the City to
Person/s" perform designated services for a period of time (referred to as a CSP)
1.1 Objective
The City of Santa Ana is soliciting proposals from qualified Vendors who can provide technical
contract service persons and consulting services on an as needed basis for a one year period,
with possible extensions of four (4) additional one year periods.
While the terms and conditions of this agreement will be extended to all City Departments
requiring these services, the primary source of required services will be the Information
Services Division of the Finance & Management Services Agency. (The Information Services
Division will administer agreement]s resulting from this RFP.)
It is anticipated that the services provided through these agreements would be used in five
distinct manners:
· Provide staff for temporary situations which do not justify the addition of regular City
staff.
Provide temporary contract service persons with unique technical skills to act as a
technical resource to project teams for projects which do not justify the addition of
regular staff.
· Provide/offer "outsourcing" alternatives to regular City employees.
· Provide additional resources for situations which exceed the capacity of existing City
staff.
· Provide project based consulting and implementation support.

1.3 Services Being Sought
The City seeks Vendors to provide temporary contract service persons with specific technical
skills to perform assignments of varying length.
In response to requests from the various City Departments, the Vendors shall:
· Research their roster of employees for potential candidates.
· Screen available candidates in order to match technical skills and work experience
with requirements of the City job assignments.
· Confirm candidate qualificationsincluding: technical skills, experience, work habits,
interpersonal skills, quality of work performed, etc.
· Establish candidate availability with respect to the schedule of the City assignments.
· Provide the City Departments with resumes of screened qualified candidates
(identifying skills, work experience, and education) and their charge (i.e. bill) rates.
Vendors will be responsible for all payments and benefits for contract service persons placed
on assignments with the City, including: payroll, taxes, other withholding, vacation, other
benefits, etc. (See Section 5.15)
Vendors will be responsible for the conduct of any temporary contract service persons placed
with the City. If, at the sole discretion of the City, a temporary contract service person is
determined to be unsatisfactory for any reason, the Vendor will withdraw the individual upon
notification by the City. The City will not be charged for the period of unsatisfactory service.
Vendors will be required to monitor the performance of their contract service persons on a
pedodic basis during the duration of their contract service with the City of Santa Ana.
There is no guarantee as to the number of times a Vendor will be used or the dollar amount that
will be expended with them. It is expected that up to $2,000,000 for all services may be
expended during a fiscal year. (See Section 5.6)
1.4 Description Of Technical Positions To Be Provided
The skills and services needed will be in the fields of:
Application & Development Services
· Business/Application/Project Consulting
· Telecommunications Services
· Computer & Networking Services
Specific abilities required will vary between the operations and projects involved. Detailed
identification of knowledge, skills, abilities, experience and education will be provided for each
temporary assignment.
Table 1.4.1 shows the four (4) categories of possible industry standard technical positions for
which the City may seek Vendors to provide temporary contract service persons. Under each

1.5 Approach to Proposal for Services
It is not expected that a proposing Vendor be able to provide candidates in all four of the
technical specialties (see Table 1.4.1) sought by the City. Selection of Vendors will be made
independently by the City for each of the four categories of technical specialties.
Proposers may bid to offer services in all or any individual or combination
of the four (4) categories of technical specialties of interest to the City.
In order to provide for like comparisons between submitted proposals, representative
specialties were selected for each of the four categories sought by the City. Each of these
specialties is identified as a benchmark position. A job classification is included (See
Appendix B) for each benchmark position.
Proposers must base price proposals and other position related responses on these
benchmark positions.
1.6 Schedule Of Pertinent Dates

a, The name, address, telephone number and facsimile number of the prime contact for
this proposal.
b. The Iocation/s from where the Vendor would provide services to the City.
A summary description of the organization, ownership and major product or service lines
of the Proposer's firm, the number of years the Proposer has been in the temporary
contract service personnel and consulting services business and any other information
the Proposer feels is relevant in helping the City gauge the Proposer's business stability,
overall experience and ability to perform these services.
A sample (no more than four) of the styles of resumes provided to clients. This will allow
the City to assess the readability of the formats and the usefulness of contents of the
resumes the City could expect from the Proposer. This is not to rate potential
candidates.
e. Identification of the types of technical specialties for which the Proposer provides
temporary placements.
f. Any unique qualifications and/or experience which distinguish the Proposer's ability to
provide temporary employees in the various technical specialties.
For example, a Proposer may provide 24 hour emergency placements, conduct in-depth
reference checking, conduct technical qualifying testing, use technical screeners to
evaluate candidates' skills, and track client satisfaction with candidates' performance,
etc. These are examples only and not mandatory services or qualifications.
To help the City assess the specialized qualifications of the Proposer to support the separate
categories of interest to the City, submit the following materials for each of the categories of
technical specialties being proposed:
g. Number, skill sets, and experience profile of the employees for possible consideration.
h. References. Proposer must supply a minimum of three (3) commercial firms or
government agencies that will attest to the Proposer's ability (in the last three years) to
provide services similar in scope and skills to those outlined in this proposal.
For each reference, provide the following information:
· The client organization's name, mailing address, contact name and telephone
number.
· The approximate period during which the services were provided.
· A summary of the type, quantity, and duration of placements.
2.4 Price Proposal
A price proposal is required for the temporary contract service persons outlined in the
Proposer's technical services and consulting proposal. In submitting proposals, Proposers are
asked to keep copies of the price proposal physically separate from the
other elements of their proposal in order to help the City conduct the technical

3. EVALUATION CRITERIA AND PROCESS
The City's evaluation of proposals will consist of two-phases: 1) a review of requested
submission items and 2) a review of the substantive content of proposals.
3.1 Review of Requested Submission Items
Proposals will be reviewed for completeness. Proposals with missing items may not be
considered. Submission items should include:
a. Correct delivery. Was the submission delivered to the correct place prior to the
specified closing date and time (see Section 5,1)?
b. Number of copies. Have the required number of copies of all submission requirements
been delivered (see Section 5.1)?
c. Complete inputs. Does the proposal include separate Sections describing: · Transmittal letter (see Section 2.1)?
· Service approach (see Section 2.2)?
· Proposer qualifications (see Section 2.3)?
· Pricing offered (see Section 2.4)?
d. Special inputs. Where applicable, was Proof of Authority to bind the corporation
provided (see Section 5.21)?
3.2 Review of Proposals
Selection shall be based upon a competitive selection process and not limited to price alone.
Proposers must satisfy the City of their ability to perform the services required.
Proposers may offer services to all or any set among the four (4) categories of technical
specialties of interest to the City. The City reserves the right to select Vendors for each
category independently.
All proposal material will be reviewed and evaluated by a select City team.
The City will apply the following weights to its evaluation:

5. INSTRUCTIONS TO PROPOSERS
5.1 Where and When to Submit Proposals
Proposals shall be prepared and submitted in accordance with the requirements set forth in this
RFP.
The Proposer is to submit three (3) copies of its proposal in a package bearing the firm's name
and address and clearly marked as follows:

Attendance at the pre-proposal conference is not mandatory but is recommended. The
purpose of the conference is to clarify any questions related to the specifications and to
respond to questions that may be pertinent to the request. Any significant changes to the
specifications, as a result of the discussions at the pre-proposal conference, will be mailed to all
companies that have received the proposal package.

5.8 Compliance With Equal Employment Opportunity and Nondiscrimination
Regulations
The City of Santa Ana is an equal opportunity Vendor. Qualified firms owned by women,
minorities and disabled persons are encouraged to apply.
Any Vendor performing under this contract shall not discriminate against any worker, employee,
or applicant, or any member of the public, because of race, creed, color, religion, sex or
national origin, nor otherwise commit an unfair employment practice.
5.9 Cancellation
The contract may be cancelled by either party with 30 days written notice.
5.10 Documents To Be Construed Together
The Request for Proposals, the Proposal, and all documents referred to in the complete
specifications and the Contract to be entered into between the Vendor and the City, and all
modifications of said documents, shall be construed together as one document.
5.11 Errors And Omissions
Proposer and/or the Vendor shall not be allowed to take advantage of any errors in or
omissions in the Request For Proposals. Full instructions will be given if such error or omission
is discovered and timely called to the attention of the City.
5.12 Firm Commitment Of Availability Of Service
Once a proposal is opened, a Proposer is otherwise expected to maintain an availability of
service as set forth in their proposal for the stated prices for the full contract term after date of
opening proposals.
5.13 Immigration Reform and Control Act
Vendor is required to comply with the Immigration Reform and Control Act of 1986 (IRCA)
which requires all individuals hired after November 6, 1986, to provide their employers with
proof of citizenship or authorization to work in the United States. Vendor, not City of Santa Aha,
is the "employer" of its temporary personnel and as such is responsible for compliance with this
law.
5.14 Invoices
Vendor will submit invoices on a twice per calendar month billing period basis (i.e. two billing
periods per calendar month).
As a basis for payment of invoices, temporaries must provide the Vendor with a timesheet for
each billing period, signed by their City of Santa Aha supervisor. This timesheet must show the
project assignment/s during the billing period and hours worked for each project.

The City does not pay temporary agency employees for holidays unless they are required to
work that day and their time has been approved by a Department Head and then only at a
straight time rate.

5.18 Patent Fees; Patent, Copyright, Trade Secret And Trademark Fees
Each Proposer shall include in the price bid. any patent fees, royalties and charges on any
patented article or process to be furnished or used in the prosecution of the Work.
All work performed by temporary employees of the City becomes the sole property of the City of
Santa Ana and the City retains all rights to that work.
5.19 Personnel Approval
The City of Santa Ana reserves the right to demand immediate removal and replacement of any
individual assigned under this agreement if, in the City's sole judgment, the person's
performance is unsatisfactory.
Vendor may offer a replacement for an unsatisfactory individual one time. If this replacement is
also unsatisfactory, replacement may be made by the next chosen Vendor under this contract.
The City reserves the right to dismiss any individual at any time and be liable for payment of
services only up to the time of dismissal, and provided then only if services rendered meet the
minimum requirements of the City.
5.20 Prices
No increase in price (in terms of either the base rate paid to employee, the percentage of
markup, or the total cost to the City) will be allowed during the period covered by this agreement
without the City's concurrence and approval. Adjustments shall be made to minimum wage that
are mandated by State and Federal Law.
Prices quoted shall be exclusive of all non-applicable Federal and State Taxes. Tax exemption
certificate will be furnished when required.
5.21 Proof Of Authority
If the Proposer is a corporation, formal proof of the authority of the officer signing the Proposer's
proposal to bind the corporation must be submitted will be required prior to the City's award of
the contract. A copy of the corporate resolution or minutes can be adequate proof, a simple
letter is not sufficient.

4. Insurance
Prior to undertaking performance of work under this Agreement, Vendor shall maintain and shall
require its subcontractors, if any, to obtain and maintain insurance as described below:
a. Commercial General Liability Insurance. Vendor shall maintain commercial general liability
insurance naming the City, its officers, agents, volunteers, and employees as additional insured(s) and
shall include, but not be limited to protection against claims arising from bodily and personal injury,
including death resulting therefrom and damage to property, resulting from any act or occurrence arising
out of Vendor's operations in the performance of this Agreement, including, without limitation, acts
involving vehicles. The amounts of insurance shall be not less than the following: single limit coverage
applying to bodily and personal injury, including death resulting therefrom, and property damage, in the
total amount of $1,000,000 per occurrence. Vendor shall supply City with a fully executed additional
insured endorsement in substantially the form attached hereto as Exhibit B upon execution of this
Agreement and shall be approved in form by the City Attorney.
b. Business automobile liability insurance, or equivalent form, with a combined single limit of
not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non-
owned automobiles.
c. Worker's Compensation Insurance. In accordance w/th the provisions of Section 3300 of the
Labor Code, Vendor, if Vendor has any employees, is required to be insured against liability for worker's
compensation or to undertake self-insurance. Prior to commencing the performance of the work under this
Agreement, Vendor agrees to obtain and maintain any employer's liability insurance with limits not less
than $1,000,000 per accident.
d. The following requirements apply to the insurance to be provided by Vendor pursuant to this
section:
(i) Vendor shall maintain all insurance required above in full force and effect for the
entire period covered by this Agreement.
(ii) Certificates of insurance shall he fumished to the City upon execution of this
Agreement and shall be approved in form by the City Attorney.
(iii) Certificates and policies shall state that the policies shall not be cancelled or
reduced in coverage or changed in any other material aspect without thirty (30)
days prior written notice to the City.
e. If Vendor fails or refuses to produce or maintain the insurance required by this section or fails
or refuses to furnish the City with required proof that insurance has been procured and is in force and paid
for, the City shall have the right, at the City's election, to forthwith terminate this Agreement. Such
termination shall not effect Vendor's right to be paid for its time and materials expended prior to
notification of termination. Vendor waives the right to receive compensation and agrees to indemnify the
City for any work performed prior to approval of insurance by the City.
5. Independent Contractor
Vendor shall, during the entire term of this Agreement, be construed to be an independent
contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to
create an employer-employee relationship, a joint venture relationship, or to allow the City to exercise

A party may change its address by giving notice in writing to the other party. Thereafter, any
notice, tender, demand, delivery, or other communication shall be addressed and transmitted to the new
address. If sent by mail, any notice, tender, demand, delivery, or other communication shall be effective
or deemed to have been given three (3) days after it has been deposited in the United States mail, duly
registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, any

twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting
facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends,
federal, state, County or City holidays shall be excluded.
10. Exclusivity and Amendment
This Agreement represents the complete and exclusive statement between the City and Vendor,
and supersedes any and all other agreements, oral or written, between the parties. In the event of a
conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement
shall prevail. This Agreement may not be modified except by written instrument signed by the City and
by an authorized representative of Vendor. The parties agree that any terms or conditions of any purchase
order or other instrument that are inconsistent with, or in addition to, that terms and conditions hereof,
shall not bind or obligate Vendor nor the City. Each party to this Agreement acknowledges that no

governmental agencies. Vendor shall notify the City immediately and in writing of her inability to obtain
or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for
termination of this Agreement.
16. Miscellaneous Provisions
a. Each undersigned represents and warrants that its signature hereinbelow has the power, authority
and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify City
fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such
authority or power is not, in fact, held by the signatory or is withdrawn.
b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the
body of this Agreement,

Description of Methodology for Job Assignment
The following methodology will be employed by Telfords to provide the City with
temporary contract service persons:
Review of Telfords' staff and core associates to determine the person with the
best match of technical skills and work experience for the assignment.
Assignment of the key resource for the duration of the job assignment.
The key resource assigned by Telfords will remain responsible for the successful
completion of the job assignment with the City. This responsibility includes but
is not limited to:
~' Performance of the job assignment with the City by this key technical
resource.
Recruitment of candidates that match the technical skills and work
experience of the job assignment.
~- Confirmation of candidate qualifications to perform the job assignment
with the City.
~ Monitoring of the performance of the job assignment.
Upon receipt of a job assignment request from the City, Telfords proposes the following
approach:
Review of job assignment with appropriate City staff.
Creation of a clear statement of work including timing, level of effort,
deliverables if applicable and performance criteria.
Review and assignment of Telfords' resources as defined above.
On going monitoring of the job assignment to ensure that desired objectives and
performance criteria are being met. This monitoring of performance includes
adjustment of resources, level of effort and focus as required.
Description of Methodology for Sourcing
Telfords Staff and Core Associates
The principals of Telfords work closely with each client. This direct involvement
with clients ensures the quality of the work provided. In every case, a principal
will be directly assigned to either deliver or monitor the performance of the job
assignment. Principals in Telfords have extensive ~vork experience and training.
When a project requires availability or technical specialties beyond that which can
be provided by the principals, Telfords will pull from a group of core associates
with whom it has had previous successful working relationships. This group of
associates has already been qualified and meets the profession standards required
by Telfords. These standards include technical competence, work ethic and
customer service orientation.
Resumes of principals and core associates will be submitted within 1 - 3 days
after the creation of a work statement.
Recruiting
In the case that recruitment is required in order to fill a job assigmnent, the
following steps will be taken to ensure quality:
Interviewing of former supervisors, clients and co-workers regarding technical
skills, work habits, quality of work performed and interpersonal skills.
Personal interviews by at least two Telfords principals.
Technical interview by a Telfords principal.
