CLERK OF COUNCIL DATE:$- ;u.-{)'t A-2004-012 c,:fWP [:r: .o4Þ'W] FIRST AMENDMENT TO CONSULTANT AGREEMENT THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into on January 20, 2004, by and between National Plant Services, Inc., a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The parties entered into an Agreement dated December 9, 2003, (hereinafter "said Agreement") by which Consultant has provided catch basin inspection and cleaning services. B. In accordance with the terms and conditions of the Agreement, the parties wish to renew the Agreement for an additional one-year period and to increase compensation to pay for inspection and cleaning services for additional catch basins. Wherefore, in consideration of the covenants contained in the Agreement, and subject to all the terms and conditions of the Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to read as follows: "Consultant shall provide those services as set forth in Exhibit A-I, attached to this Amendment." 2. Section 2, COMPENSATION, shall be amended to increase total compensation by $45,000.00 for a total not to exceed amount of $54,950.00, during the term of said Agreement. 3. Section 3, TERM, shall be amended to extend the term for an additional one year to October 31, 2005. 3. The parties agree that work to be performed pursuant to said Agreement is a municipal affair and not subject to State Prevailing Wage requirements. Consultant agrees to indemnify and hold harmless, City from any third party claim that this is a public work project requiring payment of prevailing wages.
