THIS AGREEMENT is entered into this _8th- day of _January- 2004, which date
is enumerated for purposes of reference only, by and between the COUNTY OF ORANGE, a political

subdivision of the State of California, hereinafter referred to

as "COUNTY",
and

hereinafter referred to as "SUBGRANTEE."
WHEREAS, COUNTY; acting through its Sheriff-Coroner Department in its capacity as the

lead agency for the Orange County Operational Area, has applied for, received and accepted a grant
from the State of California, acting thought its Department of Homeland Security, Office for Domestic
12

Preparedness, to enhance county-wide emergency preparedness, hereinafter referred to as "the grant", as
14
15
set forth in the grant documents that are attached hereto as Attachment A and incorporated herein by
reference.

WHEREAS, the terms of the grant require that COUNTY use certain grant funds to purchase
equipment that will be transferred to SUB GRANTEE to be used for grant purposes.

NOW, THEREFORE, IT IS MUTUALLY AGREED AS FOLLOWS:

COUNTY shall transfer to SUBGRANTEE equipment as specified in Attachment B

hereto. If COUNTY has not yet acquired any of said equipment, COUNTY shall transfer said
equipment to SUBGRANTEE as soon after acquisition by COUNTY as is reasonably practicable.

Throughout its useful life, SUBGRANTEE shall use any equipment acquired with grant
funds only for grant purposes.

SUBGRANTEE shall exercise due care to preserve and safeguard equipment acquired
with grant funds from damage or destruction and shall provide regular maintenance and such repairs for
said equipment as are necessary, in order to keep said equipment continually in good working order.

If equipment acquired with grant funds becomes obsolete, SUBGRANTEE shall dispose

of it only in accordance with the instructions of COUNTY or the agency from which COUNTY
received the grant funds.

By executing this Agreement, SUBGRANTEE agrees to comply with and be fully bound

by all applicable provisions of Attachment A hereto.
SUBGRANTEE shall notify COUNTY

immediately upon discovery that it has not abided or no longer will abide by any applicable provision of
Attachment A.

SUBGRANTEE and COUNTY shall be subject to examination and audit by the State

Auditor General with respect to this Agreement for a period of three years after final payment

hereunder.

SUB GRANTEE agrees to indemnify, defend and save harmless COUNTY and the

agency from which COUNTY received grant funds, and their officers, agents and employees from any
and all claims and losses accruing or resulting to any and all contractors, subcontractors, laborers, and
14
15
any other person, rum or corporation furnishing or supplying work services, materials or supplies in
connection with SUBGRANTEE's performance of this Agreement, including the Attachments hereto,
16

and from any and all claims and losses accruing or resulting to any person, firm, or corporation who may
be injured or damaged by SUBGRANTEE in the performance of this Agreement, including the
18

Attachments hereto.

No alteration or variation of the terms of this Agreement shall be valid unless made in
20

writing and signed by duly authorized representatives of the parties hereto, and no oral understanding or
agreement not incorporated herein shall be binding on any of the parties hereto.

SUBGRANTEE may not assign this Agreement in whole or in part without the express

written consent of COUNTY.

For a period of three years after final delivery hereunder or until all claims related to this
Agreement are finally settled, whichever is later, SUBGRANTEE shall preserve and maintain all
documents, papers and records relevant to the equipment acquired in accordance with this Agreement,

including the Attachments hereto.
For the same time period, SUBGRANTEE shall make said

documents, papers and records available to COUNTY and the agency from which COUNTY received

grant funds or their duly authorized representative(s), for examination, copying, or mechanical
reproduction on or off the premises of SUBGRANTEE, upon request during usual working hours.

SUBGRANTEE shall provide to COUNTY all records and information requested by
COUNTY for inclusion in quarterly reports and such other reports or records as COUNTY may be
required to provide to the agency from which COUNTY received grant funds or other persons or
agencies.

COUNTY may terminate this Agreement and be relieved of the delivery of any
consideration to SUBGRANTEE if a) SUBGRANTEE fails to perform any of the covenants contained
in this Agreement, including the Attachments hereto, at the time and in the matter herein provided, or b)
COUNTY loses funding under the grant. In the event of termination, COUNTY may proceed with the
work in any manner deemed proper by COUNTY.

SUB GRANTEE and its agents and employees shall act in an independent capacity in the
performance of this Agreement, including the Attachments hereto, and shall not be considered officers,
agents or employees of COUNTY or of the agency from which COUNTY received grant funds.

SUB GRANTEE and its officers, agents, employees shall abide by all applicable federal,
State and local Jaws, including, but not limited to those set forth in Attachment A hereto.

Orange County Operational Area
PROGRAM NARRATIVE
Problem Statement
Orange County is the second most populous county in California with the 31st largest
economy in the world. It encompasses 798 square miles (O.C. Planning Department)
with a resident population of 2.9 million (U.S. Census Bureau 2000) and 37.9 million
visitors annually. Further, the County includes 34 incorporated cities, in addition to 205
square miles (25.7%) of unincorporated area.
Recent intelligence information indicates the most likely CBRNE act of terrorism to
occur in the County of Orange may be of an explosive nature. Some primary targets for
these types of attacks include 42 miles of coastline, 3 harbors, numerous internationally
known tourist attractions, technicallmanufacturing locations, shopping malls including
the 3rd largest retail establishment in the nation, John Wayne Airport, various venues
hosting national and international sporting events, and large convention centers.
The operational Area will have equipped the majority of emergency responders with
basic Personal Protective Equipment through previous grants administered through the
State. Additional equipment including level "B" PPE, detection and decontamination
equipment, medical supplies, pharmaceuticals, intelligence gathering/sharing equipment
and CBRNE support vehicles will further equip the Operational Area for prevention,
response, and mitigation of a terrorist attack,
Currently law enforcement, emergency responder ambulance personnel, and Command
Staff are not adequately trained in the use of PPE and the specific role their discipline
has in the event of a terrorist attack.
Priorities
The Operational Area has a detailed plan in place to develop priorities and
interoperability for equipment, exercises, training, planning, and administration. The
process of the Training and Equipment committee, Ad Hoc Committee, and Law" Fire,
Health Anti-Terrorism Advisory Group was in place prior to the distribution of the Fiscal
Year 2003'Homeland Security Grant. As a result, the Operational area is following a
strategic plan set forth by the above committees. The Five Member Approval Authority
is following the guidelines set forth in this Strategic Plan. The initial goal was to equip
and train emergency responders within the Operational Area to prevent, respond to, and
mitigate a WMD incident. The next phase of the plan is training with the recently
purchased equipment.
EQuipment Priorities

Exercises
Planned exercises will be conducted through various. grants available to the
Operational Area, including the Fiscal Year 2003 Homeland Security grant part I.
No additional exercises are requested through the term of this grant.
Traininq
The Training and Equipment Committee has examined the training needs for the
Operational Area and made recommendations to the Five Member Approval
Authority. The law enforcement discipline is in need of additional training above
the awareness level (29 CFR 1910.120) for responding to and handling WMD
incidents. A sixteen hour Force Protection Course has been submitted to POST
for certification. This course is specific to the law enforcement mission and
includes training in perimeter control, command post and decontamination
security, evidence protection, use of PPE and scene safety. For unity in
response capabilities, law enforcement agencies in the OA have agreed to send
their emergency responders to this Force Protection Course.
There is an additional need for emergency responder ambulance and emergency
room hospital staff to receive training in responding to and handling a WMD
incident. An ODP Awareness level course will be utilized via the ODP website.
A command level course for fire (With the intention to integrate law) was
recommended. This course will enhance an administrator's ability to operate a
command post during a WMD incident. This will include follow up instruction in
Unified Command and the Incident Command System.
Planninq/Administration
Planning for the Op~rational Area has been satisfied through the FY 2003
Homeland Security Grant part I funding. No additional monies are requested to
augment the Needs Assessment and Strategy due September 30, 2003.
An administration fee of 2% is request~d by the Operational Area to cover
employee costs, supplies, and equipment tracking throughout the grant process.
