N.- .J-l1D3 ~ /5~ - Di FIRST AMENDMENT TO CONSULTANT AGREEMENT THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into this 27th day of October 2004, by and between Korve Engineering, Inc. ("Consultant") and the City of Santa Ana ("City"). Recitals: A. The parties entered into Agreement N-2003-152 dated December 1,2003, (hereinafter "said Agreement") by which Consultant has performed a Grade Crossing Mobility Study. B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term of said Agreement for an additional six-month period. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 3, TERM, shall be amended to extend the term six months to December 31, 2004, in accord with the parties' intent. 2. Except as herein modified, all terms and conditions of said Agreement shall remain in full force and effect.
