City of Santa Ana Revised 8-7-03 Clerk of the Council A-2004-148 AMENDMENT TO AGREEMENT THIS AMENDMENT, made and entered into this 1 st day of July, 2004, by and between the Santa Ana Unified P School District ("Contractor") and the City of Santa Ana, a charter city and municipal corporation duly organized G' and existing under the Constitution and laws of the State of California ("City"). RECITALS A. The City and Contractor entered into that certain Agreement dated October 1, 2003, hereinafter referred to as "said Agreement", to provide career preparation and basic skills services for disadvantaged youth who are in -school. B. The parties hereto now desire to amend the "City's Obligations" amount found in Section 2 and the "Time Period of Agreement" term of Section 3 of said Agreement, as well as substituting an updated Exhibit B 1. WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as follows: I. The "City's Obligation" section of said Agreement will be amended to read: ..a sum not to exceed %228 344_" 2. The "Time Period of Agreement" section of said Agreement will be amended to read: 11 ... shall have been performed by Tuly 30 2005." 3. "Exhibit B" to said Agreement will be replaced by 2004/05 Program Activity Work Plan commencing on July 1, 2004 ("Exhibit B 1"), attached hereto and incorporated herein by this reference. 4. Except as hereinabove modified, the terms and conditions of said Agreement remain unchanged and in full force and effect. Box 1988-M73 Santa Ana, CA 92702 Re: Self -Insurance 12004-05 WIA Youth Contract, Santa Are WIB/Youth Council The purpose of this letter is to advise that the Santa Ana Unified School District is legally self - insured for comprehensive general liability, including sexual misconduct liability, in the amount of $1,000,000 and auto liability in the amount of $1,000,000. Additionally the District has $14,000,000 in excess liability insurance with Schools Excess Liability Fund (SELF). The District is self -insured and self adminstered for workers' compensation. The District's workers' compensation self-insurance retention limit is that required by California statutes. It is hereby understood and agreed this insurance shall not be canceled, limited, or non -renewed by Santa Ana Unified School District without 30 days prior written notification to Santa Ana WIB/Youth Council. Santa Ana Unified School District agrees to defend, indemnify and hold Santa Ana WIB/Youth Council, its officers employees and agents, harmless from and against any and all liability, loss, expense, attorney's fees, or claims for injury or damages arising out of the performance of this Memorandum of Understanding but only in proportion to and to the extent such liability, loss, expense, attorney's fees, or claims for the injury or damages are caused by or result from the negligent or intentional acts or omissions of Santa Ana Unified School District, its officers, agents, or employees. Santa Ana WIB/Youth Council agrees to defend, indemnify and hold Santa Ana Unified School District, its officers employees and agents, harmless from and against any and all liability, loss, expense, attorney's fees, or claims for injury or damages arising out of the performance of this Memorandum of Understanding but only in proportion to and to the extent such liability, loss, expense, attorney's fees, or claims for the injury or damages are caused by or result from the negligent or intentional acts or omissions of Santa Ana WIB/Youth Council, its officers, agents, or employees.
