"ì , 2004, by and between P&D Environmental, a division of P&D Consultants, a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The parties entered into Agreement A-2004-135, dated July 16,2004, (hereinafter "said Agreement") by which Consultant has provided environmental consulting services to update the French Park Traffic Management Plan traffic, noise and air studies. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Services to include additional analysis. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to add a second paragraph, "b", which shall read as follows: "b. Consultant shall perform the following additional analyses for the French Park Neighborhood Traffic Plan: . Delete from the report, the 2002 analysis and any reference to the Willdan report . Incorporate the new City provided traffic count for Bush Street . Add a new alternate 2010 analysis, "2010 without One Broadway Plaza Project" that 0 Removes all One Broadway Plaza projected traffic and mitigation measures 0 Includes all other previously identified cumulative projects 0 Includes the "Mid- Town Specific Plan" mitigation measure of adding a third northbound lane on Main Street. 2. Section 2, COMPENSA nON, shall be amended to include a new 2.c., which shall read as follows: "c. Regarding the additional services which are the subject of the First Amendment to Agreement, City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A-I, attached to this Amendment and incorporated by reference. The total sum to be expended for the I' . , .. . additional analyses shall not exceed $10,000.00. The total sum to be expended under said Agreement, including this Amendment, shall not exceed $45,000.00." 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
