FIRST AMENDMENT TO
CONSULTANT AGREEMENT

nus FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into
this -M!:aay of Nð'lM.hfJÝ , 2004, by and between Demsey, Filliger &
Associates, LLC ("Consultant") and the City of Santa Ana, a charter city and municipal
corporation of the State of California ("City").
Recitals:
A. The parties entered into Agreement No. N-2004-130, dated August19, 2004,
(hereinafter "said Agreement") by which Consultant has provided actuarial consulting
services.
B. The City has requested additional actuarial scenarios be included in the study.
C. In accordance with the terms and conditions of said Agreement, the parties wish to
increase the Scope of Services and Compensation to pay for the increased services.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this First
Amendment to Consultant Agreement, the parties agree as follows:
I. Section I, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with a
new Section I to read as follows:
"Consultant shall perform an actuarial valuation of the retiree health subsidy plan
(Fund 84) for the Firemen's Benevolent Association (FBA) employees of the City of
Santa Ana. Said valuation shall include all alternative scenarios requested by City.
Consultant will compile a report of findings regarding the study and the outcomes
using the various scenarios."
2. Section 2, COMPENSATION, shall be amended to increase compensation by Two
Thousand Five Hundred Dollars ($2,500.00). The total payment for Consultant's
services shall not exceed Seven Thousand Five Hundred Dollars ($7,500.00) during
the term of said Agreement.
3. Section 9, NOTICE, shall be amended to change Consultant's address as follows:

IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.
