RESOLUTION NO. 94-06
RESOLUTION OF THE HOUSING AUTHORITY OF THE
CITY OF SANTA ANA AUTHORIZING EXECUTION
OF AMENDMENT NO.4 TO PART I OF THE
ANNUAL CONTRIBUTIONS CONTRACT NO. SF-503 (K)
SECTION 8 MODERATE REHABILITATION PROGRAM
WHEREAS, the Housing Authority of the city of Santa Ana is
authorized to administer the "Housing Assistance Program for the
section 8 Moderate Rehabilitation Program" for the united States
Department of Housing and Urban Development (HUD); and
WHEREAS, the Housing Authority of the City of Santa Ana has
previously entered into an Annual contributions Contract Part I for
Moderate Rehabilitation Program with the united States of America,
acting by and through the Secretary of Housing and Urban
Development (Government), and now proposes to enter into Amendment
No.4 to said contract;
NOW, THEREFORE, be it resolved by the Public Housing Agency
(PHA) as follows:
1. The proposed Amendment, designated "Amendment No.4 to
Part I of the Annual Contributions Contract No. SF-503 (K), is
hereby approved and accepted both as to form and substance.
2. The Chairman is hereby authorized and directed to execute
said Amendment in three counterparts on behalf of the PHA, and the
Secretary is hereby authorized to impress the official seal of the
PHA on such counterpart and to forward such executed counterpart to
the government together with such other documents evidencing the
approval and authorizing the execution thereof as may be required
by the government.
3.
This Resolution shall take effect immediately.

RESOLUTION NO. 94-06
A RESOLUTION OF THE HOUSING AUTHORITY OF THE CITY OF
SANTA ANA APPROVING ASSUMPTION OF REMARKETING
AGENT DUTIES AND AUTHORIZING AND DIRECTING THE
EXECUTION AND DELIVERY OF DOCUMENTS AND ACTIONS TO
BE TAKEN IN CONNECTION THEREWITH IN CONJUNCTION
WITH THE VINTAGE APARTMENTS PROJECT
WHEREAS, the Housing Authority of the city of Santa Ana (the
"Issuer:) has issued its Variable Rate Demand Multifamily Housing
Revenue Bonds (Vintage Apartments Project), 1986 Series A in the
aggregate initial principal amount of $8,400,000 (the "Bonds ")
pursuant to an Indenture of Trust (the "Indenture"), dated as of
December 1, 1986, by and between the Issuer and seattle-First
National Bank, as trustee (the "trustee")¡ and
WHEREAS, vintage Apartments, a California general
partnership, the owner of the project financed with the proceeds
of the Bonds (the "Developer"), has requested that the Issuer
approve the assumption of Remarketing Agent duties by citicorp
Securities, Inc. pursuant to section 1303 of the Indenture and
section 5 of that certain Remarketing Agreement, dated as of
December 1, 1986, by and among Prudential-Bache Securities Inc.,
the Issuer and the Developer (the "Remarketing Agreement").
NOW THEREFORE, BE IT RESOLVED BY THE HOUSING AUTHORITY OF
THE CITY OF SANTA ANA AS FOLLOWS:
1.
The assumption by citicorp Securities, Inc. of the
duties of the Remarketing Agent set forth in the
provision of the Remarketing Agreement is hereby
approved. The Executive Director of the Issuer is
hereby authorized and directed, for and in the name and
on behalf of the Issuer, to execute and deliver any and
all documents, certificates or consents, and to take
any and all actions and do any and all things as are
necessary to effect the assumption of the duties of the
Remarketing Agent by citicorp Securities, Inc.
